At the written request of the Seller, and at Seller's sole expense, Edison shall measure actual transformer losses. 8.4 For purposes of monitoring the Generator operation and the determination of standby charges, Edison Buyer or Buyer’s representative shall have the right to requirebe present during any calibration of the Metering Devices and Seller shall provide reasonable notice to Buyer of any such calibration.
(b) The Buyer shall have the right to inspect and require a test of the Metering Devices (to be performed by Seller) from time to time at its discretion, and any inaccuracy disclosed by such tests shall be promptly corrected. If errors greater than one-half of one percent (0.5%) are discovered, the test shall be at Seller's ’s expense. Upon reasonable notice, Seller shall provide the Buyer access to the Metering Devices at Buyer’s expense during normal business hours and from time to time for the purposes of reading, inspecting and witnessing any testing of such equipment.
(c) If any Metering Device used to determine the amount of Delivered Energy is found to be in error by more than three quarters of one percent (0.75%), the installation payments for Delivered Energy made since the previous test of generation meteringsuch Metering Device shall be adjusted to reflect the corrected measurements determined pursuant to this Article VI. Metering. 8.1 All 7.1 Purchaser shall be metered with existing profile metering equipment. Such metering equipment has been installed such that both power and energy provided by Seller can be measured during time intervals of not more than fifteen (15) minutes. Purchaser has provided at the identified metering point(s) at the Xxxxxx plant site, telephone lines so that the meters can report their measurements to Seller, or so that the meter(s) can be interrogated by Seller. Purchaser has provided dedicated telephone line(s) where necessary. Purchaser shall pay all charges related to the operation and maintenance of such telephone lines.
7.2 Seller has provided and installed suitable metering equipment, including panels, to obtain measurements needed for its operating purposes and in connection with settlements hereunder. The metering equipment is installed in Purchaser’s substations made available by Purchaser without charge. The metering equipment including panels, the location of the substations, and the installation have been approved by Purchaser and any changes contemplated to said metering equipment shall require Purchaser’s prior approval, which will not be unreasonably withheld.
7.3 Seller shall provide, maintain, and test meters and metering equipment used required for the measurement purposes of electric power for determining Edison's payments to settlement hereunder except any potential transformer and current transformers owned by Purchaser. Seller pursuant to this Contract shall be provided, owned, maintain and maintained by Edison at Seller's expense periodically test such meters and metering equipment in accordance with Edison's Tariff Rule No. 21.
8.2 All meters generally accepted practices and equipment used for billing Seller for electric service provided to Seller by Edison under Operating Options II or III shall be provided, owned, and maintained by Edison at Edison's expense in accordance with Edison's Tariff Rule Noits Electric Service Regulations. 16Upon reasonable request by Seller, Purchaser will allow Seller’s designated agents access to such metering equipment at all reasonable times and shall permit Seller to install and operate from time to time any testing equipment needed in conjunction with operations or settlements hereunder. In exercise of the rights granted by this Section, Seller shall not interfere with the operation of Purchaser and shall schedule any activity to minimize any interference with Purchaser operations.

Metering. 8.1 All meters (a) The Billing Meters shall at all times during the Term meet the requirements set by the Transmission Provider and equipment used all applicable Governing Authorities. Buyer shall provide metering quantities, in analog and/or digital form, to Seller upon Seller's Tariff Rule No. 21request.
8.2 All meters (c) The Transmission Owner's and equipment Buyer's Billing Meters, which are shown on Exhibit D, shall be used for billing Seller for electric service provided to Seller by Edison measurements under Operating Options II or III this Agreement and shall be provided, ownedsufficient to permit an accurate determination of the quantity and time of delivery of Energy delivered to Buyer. 7.4 Edison's meters shall be sealed and the seals shall be broken only when the meters are to be inspected, tested, or adjusted by Edison; Seller shall be given reasonable notice of testing and have the right to have its Operating Representative present on such occasions.
7.5 Edison's meters installed pursuant to this Contract shall be tested by Edison, at Edison's expense, at least once each year and at any reasonable time upon request by either Party, at the requesting Party's expense. If Seller makes such request, Seller shall reimburse said expense to Edison within thirty days after presentation of a xxxx therefor.
7.6 Metering equipment found to be inaccurate shall be repaired, adjusted, or replaced by Edison such that the metering accuracy of said equipment shall be within two percent. If metering equipment inaccuracy exceeds two percent, the correct amount of Energy and Contract Capacity delivered during the period of said inaccuracy, and the appropriate compensation adjustments, shall be estimated by Edison and agreed upon by the Parties.

Metering. 8.1 All meters (a) The Seller will, at its cost:
(i) operate and maintain the Meter at a location approved by the Buyer at the Seller’s Plant;
(ii) supply and install any other metering device or communications equipment used for required by the measurement of electric power for determining Edison's payments to Seller pursuant to this Contract shall be providedBuyer;
(iii) supply and install current transformers and voltage transformers that have been approved by Measurement Canada on an unconditional and final basis; and
(iv) ensure that the Seller’s Plant is equipped with correctly commissioned SCADA and telemetry capability, owned, and maintained by Edison at Seller's expense in accordance with Edison's Tariff Rule Nothe Buyer’s Technical Interconnection Requirements published on the Buyer’s website (as may be updated by the Buyer from time to time), and will ensure that all such equipment and capability is functional at all times and is in good operating condition, including by removing or promptly repairing any equipment that interferes with or adversely impacts the Meter from time to time. 21Without limiting the foregoing, the Seller will, at its cost, comply with all revenue metering requirements and metering guidelines published by the Buyer on its website from time to time and work with the Buyer to make amendments to the Project Interconnection Requirements set out in the Interconnection Agreement to ensure that they accurately reflect the equipment and other requirements specified in paragraphs (i) through to (iv) above, including any upgrades, alterations or modifications made to the same during the Term.
8.2 (b) The Buyer may, at its cost, install a duplicate meter(s) at the Seller’s Plant at a location agreed to by the Seller, acting reasonably. The Seller will allow the Buyer to access the Seller’s Plant to install, inspect and maintain any such duplicate meter(s). The Seller will make equipment and telecommunications access available to the Buyer as required for any duplicate meter.
(c) All meters and equipment used for billing information collected or recorded by the Meter will be electronically transmitted directly to the Buyer or provided by the Seller for electric service provided to Seller the Buyer, as reasonably required by Edison under Operating Options II or III shall be providedthe Buyer.
(d) If there is any dispute regarding the accuracy of the Meter, owned, and maintained by Edison at Edison's expense either Party may give notice to the other Party of the dispute. In that case the Parties will resolve the matter in accordance with Edison's Tariff Rule No. 16the Electricity and Gas Inspection Act (Canada).

The time of the first periodical appraisal, which is conducted within the transition time between the current period to a new period, shall be based on the expiry date on the appraisal stamp of the equipment, and shall conform with the annual appraisal plan agreed by both parties. The inspection and appraisal of metering equipment or certification the confirmation of their accuracy of the equipment thereof must shall be carried out by a competent organization or an authorized organization. All metering equipment must be sealed and lead sealed- off after being appraised.
8.2 All meters d) In necessary cases, one party has the right to request the inspection and equipment used for billing Seller for electric service provided to Seller by Edison under Operating Options II or III shall be provided, owned, and maintained by Edison at Edison's expense in accordance with Edison's Tariff Rule No. 16.
8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located on the side supplementation of the Interconnection Facilities as specified by Seller in Section 1.13metering equipment or unscheduled appraisal of equipment and system thereof. If the metering equipment request is located on the Seller's side of the Interconnection Facilities, then a loss compensation factor agreed upon made by the Parties shall be applied. At the written request of the Seller, and it must be sent at Seller's sole expense, Edison least 07 (seven) days in advance or at least 14 (fourteen) days in advance before the request date. Metering. 8.1 All (a) Power Provider shall install and maintain a standard revenue quality meter with electronic data acquisition system (“DAS”) capabilities at the Generating Facility. The meter shall measure the alternating current output of the Generating Facility on a continuous basis. Power Provider shall be responsible for maintaining the metering equipment in good working order and, if Purchaser so requests, for testing at Purchaser’s sole expense the same once per calendar year and certifying the results of such testing to Purchaser. In the event of a failure of the electronic meter reading system and until such failure has been corrected, Power Provider shall be responsible for conducting monthly on-site readings of the standard electricity meter to determine the output of the Generating Facility delivered to Purchaser. Data retrieved from any such meter shall serve as the basis for invoicing Purchaser for all delivered energy.
(b) Power Provider shall maintain all DAS data and shall provide to Purchaser a report of the Site’s individual metered energy, as read and collected on a monthly basis, once each month within fourteen (14) business days after the last day of the preceding month. Power Provider shall verify and adjust all DAS data at least once per calendar year based on readings from the foregoing standard meter. Subject to Section 8(a), such data, as verified and adjusted, shall serve as the basis for invoicing Purchaser for all delivered energy. Power Provider shall preserve all data compiled hereunder for a period of at least two (2) years following the compilation of such data.
(c) As may be periodically requested by Purchaser, Purchaser shall have the right to audit all such DAS data upon reasonable notice, and any such audit shall be at Purchaser’s sole cost (unless an audit reveals at least a ten percent (10%) overcharge to Purchaser, in which case Power Provider shall bear the cost of that audit). Purchaser shall have a right of access to all meters at reasonable times and equipment used with reasonable prior notice for the measurement purpose of electric power for determining Edison's payments to Seller pursuant to this Contract shall be provided, owned, verifying readings and maintained by Edison at Seller's expense in accordance with Edison's Tariff Rule No. 21.
8.2 All meters and equipment used for billing Seller for electric service provided to Seller by Edison under Operating Options II or III shall be provided, owned, and maintained by Edison at Edison's expense in accordance with Edison's Tariff Rule No. 16.
8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located on the side of the Interconnection Facilities as specified by Seller in Section 1.13calibrations. At Purchaser's request, Seller will test the metering equipment, or Purchaser may request that the metering equipment be tested by a third party mutually agreed upon; however, in either event, if the metering equipment is found to be registering within two percent (2%) plus or minus of one hundred percent (100%), the installation cost of generation metering. Edison may also require such test shall be paid for by Purchaser.
(c) If any test of the installation metering facility establishes that the metering equipment is not accurate, (regardless of telemetering whether the inaccuracy is within plus or minus 2%), Seller shall repair, replace or adjust the metering equipment at Seller's expense and shall make an appropriate adjustment in Purchaser's billing, for Generating Facilities equal the entire period of inaccuracy of the meter measured from the date that the inaccuracy began. If such date cannot be determined to the reasonable satisfaction of both Parties, the billing adjustment shall be made for the last one-half of the period between the date of the last prior successful meter test and the date of the current test disclosing the inaccuracy.
(d) If either Party believes that there has been a meter failure or greater than 10 MWinterruption, it shall immediately notify the other Party. Should a meter be determined to have failed to operate at any time, the quantities of electric energy to be billed for such period of meter failure will be estimated by Seller based upon good engineering practices, which shall include any one or more of the following methods: previous usage history; 30-day average sales to Purchaser; average hourly sales when the meter was properly operating; or review of any records of Purchaser-installed meters, if available.

Metering. 8.1 All meters 11.1 Seller shall install or shall cause the Interconnecting Utility to install and maintain metering equipment used as specified and provided by the Interconnecting Utility at the Point of Interconnection, pursuant to an interconnection agreement to be entered into between Seller and the Interconnecting Utility, to allow monitoring by the Parties and the Interconnecting Utility and to record and measure kilowatthours and time. Seller shall bear all costs of generation meteringadditional meter equipment, installation, ownership and administration and all costs for inspecting and testing such equipment.
11.3 The Parties shall seal all meters used to determine xxxxxxxx hereunder. The seals shall be broken only when the meters are to be inspected, calibrated or adjusted. Edison may also require the installation of telemetering equipment shall, at Seller's expense for Generating Facilities equal cost, inspect and calibrate, or shall request that the Interconnecting Utility inspect and calibrate, all meters upon their installation and annually thereafter. If requested to do so by Seller, or greater than 10 MWif at any reading, the metering inaccuracy exceeds 2%, the meters shall be calibrated promptly. Each Party shall give reasonable notice, both oral and written, to the other Party, of at least five (5) working days of when any inspection or calibration is to take place. The other Party may have representatives present at the calibration or inspection. If metering equipment inaccuracy exceeds 2%, the Operating Representatives shall estimate and agree upon the correct amount of Net Energy delivered during the period of inaccuracy.
11.4 Each Party shall within ten (10) days after written notice to the other Party have the right of access during regular business hours to all metering and billing records relevant to the purchase of Net Energy under this Agreement.

Metering. 8.1 All meters (a) The Billing Meters shall at all times during the Term meet the requirements set by the Transmission Provider and equipment used all applicable Governing Authorities. Following the Effective Date, Seller shall bear all reasonable, documented costs associated with the operation, testing, maintenance, or replacement of the Billing Meters at the start-up transformer or the standby transformer. Buyer shall provide metering quantities, in analog and/or digital form, to Seller upon Seller's Tariff Rule No. 21request.
8.2 All meters (c) The Transmission Owner’s and equipment Buyer’s Billing Meters, which are shown on Exhibit D, shall be used for billing Seller for electric service provided to Seller by Edison measurements under Operating Options II or III this Agreement and shall be provided, ownedsufficient to permit an accurate determination of the quantity and time of delivery of Energy delivered to Buyer. Metering. 8.1 All meters 7.1 The Seller is permitted to use the existing metering installation under the Electricity Supply Agreement as the Metering Installation under this Agreement subject to such metering installation meeting the requirements for a Metering Installation under this Agreement and equipment used provided further that the Seller obtains all relevant consents as may be required under the Electricity Supply Agreement. 7.2 The purpose of the Metering Installation shall be to measure the Commercial Energy delivered by the Seller at the Delivery Point pursuant to this Contract Agreement.
7.3 If the Metering Installation is the metering installation under the Electricity Supply Agreement, the Seller shall be providedat its sole risk and cost procure, ownedinstall, test, commission, operate and maintained by Edison at Seller's expense maintain the Metering Installation in accordance with Edison's Tariff Rule No. 21this Agreement and the terms of the Electricity Supply Agreement.
8.2 All meters 7.4 The Buyer shall have full access to inspect all metering equipment installed for the purposes of this Agreement. In this regard,
7.4.1 Where applicable, the Seller shall provide meter configuration details including the remote access information;
7.4.2 If the Seller has a valid metering Code exemption which may negatively impact remote access to the meters, such details need to be revealed upon the conclusion of the Agreement in which event the Seller will be required to co-operate or put alternate measures in place to the satisfaction of the Buyer to enable the Buyer to obtain the required remote access to the Metering Installation. The Buyer reserves its right to contest any exemption granted; and
7.4.3 Where applicable, the Seller shall provide commissioning and equipment used latest maintenance reports for billing Seller for electric service provided to Seller by Edison the Metering Installation at the request of the Buyer.
7.5 If the Metering Installation is not the metering installation under Operating Options II the Electricity Supply Agreement, the Metering Installation will be sealed at all times and such sealing or III removal thereof shall be provided, owned, and maintained by Edison at Edison's expense done in accordance with Edison's Tariff Rule No. 16.
8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located on the side presence of the Interconnection Facilities as specified by Seller in Section 1.13Buyer or its nominated agent(s). If the metering equipment Metering Installation is located on the Seller's side of the Interconnection Facilities, then a loss compensation factor agreed upon by the Parties shall be applied. At the written request of the Seller, and at Seller's sole expense, Edison shall measure actual transformer losses. If the actual measured value differs from the agreed-upon loss compensation factorsealed, the actual value shall be applied prospectively. If the meters are placed on Edison's side of the Interconnection Facilities, service shall be provided at the available transformer high-side voltage.
8.4 For purposes of monitoring the Generator operation and the determination of standby charges, Edison Buyer shall have the right to requireinspect and either accept the sealed meter or request the Seller to re-seal the meters in the presence of the Buyer’s nominated agent.
7.6 The Buyer shall be responsible for interrogating and retrieving data from the Metering Installation(s) for the purpose of compiling a report to the Seller, at Seller's expensewhich the Seller shall thereafter incorporate into a tax Invoice for payment of the Commercial Energy pursuant to this Agreement. In the event that the remote interrogation is not functional, the Seller shall, within two (2) Business Days of the end of a Billing Period, retrieve the metering data from the Metering Installation and furnish same to the Buyer for this purpose.
7.7 If the Metering Installation is not the metering installation under the Electricity Supply Agreement, the Metering Installation(s) shall be tested by the Seller as often as may be necessary but in any event within 30 (thirty) days of generation meteringthe Buyer’s written request for such test and the Buyer shall have the right to be represented at the conduct of any such test.
7.8 If the Metering Installation is not the metering installation under the Electricity Supply Agreement, the Seller shall promptly provide the Buyer with a test report including all supporting metering data and records, if so requested by the Buyer in writing. Edison may also require The Seller shall promptly and in full answer any questions of the Buyer concerning such test report.
7.9 The Seller shall not, interfere in any manner whatsoever with the proper functioning of the Metering Installation(s) save in the presence of duly authorised representatives of both Parties.
7.10 Neither Party shall re-locate the Metering Installation(s) without the prior written approval of the other Party.
7.11 In the event of an upgrade being required to the existing metering installation of telemetering equipment at Seller's expense to comply with the requirements for Generating Facilities equal to or greater than 10 MWthe Metering Installation under this Agreement, the Seller shall be responsible for such an upgrade and the associated costs.

7.2 The purpose of the Metering Installation shall be to measure the Commercial Energy delivered by the Seller at the Delivery Point pursuant to this Contract Agreement.
7.3 The Buyer may at its sole cost procure, install, test, commission, operate and maintain check metering installation(s) at the Delivery Point(s).
7.4 The Seller shall enable the process for the Buyer to install, test, commission, operate and maintain the check metering installation(s) at the Delivery Point(s), if the Buyer elects to have a check metering installation.
7.5 The Buyer shall have full access to inspect all metering equipment installed for the purposes of this Agreement. In this regard,
7.5.1 The Seller shall provide meter configuration details including the remote access information for site and installation verification purposes;
7.5.2 If the Seller has a valid metering Code exemption which may negatively impact remote access to the meters, such details need to be revealed upon the conclusion of the Agreement in which event the Seller will be required to co-operate or put alternate measures in place to the satisfaction of the Buyer to enable the Buyer to obtain the required remote access to the Metering Installation. The Buyer reserves its right to contest any exemption granted; and
7.5.3 The Seller shall provide commissioning and latest maintenance reports for the Metering Installation at the request of the Buyer.
7.6 The Metering Installation will be sealed at all times and such sealing or removal thereof shall be provided, owned, and maintained by Edison at Seller's expense done in accordance with Edison's Tariff Rule No. 21.
8.2 All meters and equipment used for billing Seller for electric service provided to Seller by Edison under Operating Options II or III shall be provided, owned, and maintained by Edison at Edison's expense in accordance with Edison's Tariff Rule No. 16.
8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located on the side presence of the Interconnection Facilities as specified by Seller in Section 1.13Buyer or its nominated agent. If the metering equipment Metering Installation is located on the Seller's side of the Interconnection Facilities, then a loss compensation factor agreed upon by the Parties shall be applied. At the written request of the Seller, and at Seller's sole expense, Edison shall measure actual transformer losses. If the actual measured value differs from the agreed-upon loss compensation factorsealed, the actual value shall be applied prospectively. If the meters are placed on Edison's side of the Interconnection Facilities, service shall be provided at the available transformer high-side voltage.
8.4 For purposes of monitoring the Generator operation and the determination of standby charges, Edison Buyer shall have the right to requireinspect and either accept the sealed meter or request the Seller to re- seal the meters in the presence of the Buyer’s nominated agent.
7.7 The Seller shall be responsible for interrogating and retrieving data from the Metering Installation(s) for invoicing purposes. The Buyer shall be responsible for interrogating and retrieving data from the Metering Installation(s) for reporting and verification purposes.
7.8 The Metering Installation(s) shall be tested by the Seller as often as may be necessary but in any event within 30 (thirty) days of the Buyer’s written request for such test and the Buyer shall have the right to be represented at the conduct of any such test.
7.9 The Seller shall promptly provide the Buyer with a test report including all supporting metering data and records, at Seller's expenseif so requested by the Buyer in writing. The Seller shall promptly and in full answer any questions of the Buyer concerning such test report.
7.10 The Seller shall not, interfere in any manner whatsoever with the installation proper functioning of generation metering. Edison may also require the installation Metering Installation(s) save in the course of telemetering equipment at Seller's expense for Generating Facilities equal to an inspection, testing, maintenance or greater than 10 MWagreed adjustment in the presence of duly authorised representatives of both Parties.
7.11 Neither Party shall re-locate the Metering Installation(s) without the prior written approval of the other Party.

Metering. 8.1 All Buyer shall acquire and own all revenue metering equipment and Seller shall own all metering equipment for AC Service Power if used solely for that purpose. Seller shall maintain, control and repair all revenue meters and station service meters, conduct meter accuracy and tolerance tests, and prepare all calibration reports required for equipment used that measures energy transfers between Buyer and Seller. Such reports shall be in accordance with NEPOOL CRS-13, as amended from time to time, and any applicable requirements of state public utilities commissions. The Parties agree that if the meter equipment and the Interconnection Point are not at the same location electrically, the meter shall be compensated to record delivery of electricity in a manner that accounts for energy losses occurring between the meter and the Interconnection Point, both when the generating unit is delivering energy to Seller and when Seller is delivering AC Service Power to the Buyer. If at any time any metering equipment owned by the Buyer is found to be inaccurate by a margin of error greater than that allowed under the applicable NEPOOL Criteria, Rules and Standards and such equipment cannot be repaired, Seller shall cause such metering equipment to be replaced at Buyer's expense. Meter readings for the period of inaccuracy shall be corrected so far as corrections can be reasonably ascertained. Each Party shall comply with any reasonable request of the other concerning the sealing of meters, the presence of a representative of the other Party when the seals are broken and the tests are made, and other matters affecting the accuracy of the measurement of electric power electricity delivered to or from each Acquired Asset. If either Party believes that there has been a meter failure or stoppage, it shall immediately notify the other. Revenue Meter locations at the Effective Date are set forth on Schedule B hereto. In order for determining Edison's payments Seller to meet its reporting obligations to the ISO, Buyer shall provide Seller pursuant daily telephone access to this Contract hourly interval data recording meters enabling Seller to derive (1) net generation at the Interconnection Point and (2) generating station service loads when a plant is not generating. The data recording meters may be either net generation meters or a combination of gross generation and generation station service load meters. In the event of telephone communication failure, Buyer shall be provided, owned, and maintained by Edison at Seller's expense in accordance with Edison's Tariff Rule No. 21.
8.2 All meters and equipment used for billing Seller for electric service provided report the hourly interval net generation data 19 values to Seller by Edison under Operating Options II or III shall be provided, owned, and maintained facsimile by Edison at Edison's expense in accordance with Edison's Tariff Rule No. 16.
8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located 8:00 a.m. on the side day following the day of generation. In the event of meter failure, Buyer shall provide Seller informed and intelligent estimates of the Interconnection Facilities as specified hourly net generation data by Seller in Section 1.13. 8.4 For purposes expense of monitoring Buyer. In the Generator operation and event that any meter is found to be inaccurate after the determination initial year, Buyer will repair or replace the same as soon as possible at the expense of standby charges, Edison Seller. Each Party shall have the right at all reasonable times; upon giving not less than five (5) days notice to requirethe other Party for the purpose of permitting the other Party to be present at the inspection, to inspect, and test said meters and, if found defective, Buyer shall adjust, repair or replace the same at the expense of Seller. Any test or inspection requested by a Party shall be at the expense of that Party. Seller shall have the right, but not the obligation, to read all meters installed and maintained pursuant to this Section. Buyer agrees to make available to Seller, at no additional cost, all information of the kind which is available to the Buyer as of the Consummation Date and which is captured by the Buyer's meter including, but not limited to, reactive power and voltage support services. Upon written request, Buyer shall provide Seller's expenseoperating personnel with appropriate written instructions and training to enable such personnel to read the meters. If a meter fails to register, or if the measurement made by a meter is found to be inaccurate by more than the limits defined in 16 NYCRR Part 92, then an adjustment shall be made correcting all measurements made by the inaccurate or defective meter for (a) the actual period during which inaccurate measurements were made, if that period can be determined to the satisfaction of the Parties; or (b) if the actual period cannot be determined to the mutual satisfaction of the Parties, one-half of the period from the date of the last previous test of the meter. To the extent that the adjustment period covers a period of deliveries for which payment has already been made by Buyer, a payment corresponding to the adjustment for that period shall be made by the Party against whom the adjustment runs, to the other Party, not later than the twenty- fifth (25) day of the month following the month in which the paying Party receives notice from the other Party that such a payment is due. Seller may elect to install its own metering equipment in addition to Buyer's metering equipment. Such metering equipment shall meet the requirements of 16 NYCRR Part 92. Should any metering equipment installed by Buyer fail to register during the term of this Agreement, the installation of generation metering. In addition, at Seller's expenseany time during the term of this Agreement, Buyer may request that Seller schedule a test of the Billing Meters whereupon Seller shall make arrangements to have the Billing Meters tested. Buyer shall pay for the test unless the test reveals a percentage error in measurements by the Billing Meters of greater than 1%. If, upon testing, the installation Billing Meters are found to be in error by not more than plus or minus 1%, measurements of generation meteringenergy deliveries taken from the previous recordings of such Billing Meters and used in computation of amounts owed hereunder shall be considered accurate, and no adjustment in payment shall be made. Edison may also require If, however, upon testing, the installation Billing Meters are found to be inaccurate by more than plus or minus 1%, then any previous recording by the Billing Meters used in computations of telemetering equipment payment hereunder shall be adjusted to reflect the corrected measurements. The corrected quantity of energy deliveries over the period of time of such inaccuracy shall be determined (i) by the registration of back-up or check meters, if any, installed and registering accurately, adjusted for losses; or (ii) in the event that there are no accurately registering back-up or check meters, by mathematical calculation, if upon a calibration test of the Billing Meters a percentage error is ascertainable; or (iii) in the absence of an installed and/or properly registering back-up or check meters or an ascertainable percentage of error, by agreement of the Parties; or (iv) barring any of the foregoing, by the average of each Party’s best good faith estimate based upon quantities of energy measured during periods of similar conditions when the Billing Meters were accurately registering. If no reliable information exists as to the period of time over which the Billing Meters were inaccurate by more than 1%, the Parties agree to assume for correction purposes that the inaccuracy began at Seller's expense for Generating Facilities equal a point in time midway between the current testing date and the last previous date on which the Billing Meters were tested and found to or greater be accurate, but in no event more than 10 MWthree (3) months. The current invoice shall reflect, and any invoices prepared based on billing information obtained after the previous test of the Billing Meters shall be adjusted to reflect the corrected measurements. Payments in respect of invoices adjusted pursuant to this Section 20, shall be made within one (1) month of a corrected billing statement.

TVA shall, at Seller's its expense, make periodic tests and inspections of its metering equipment in order to maintain a high standard of accuracy. If requested by Company, TVA shall make additional tests and inspections of its metering equipment; if such additional tests show that the installation measurements are accurate within 1 percent fast or slow at the average load during the preceding 30 days, the cost of generation meteringmaking such additional tests or inspections shall be paid by Company. Edison TVA shall give Company reasonable notice of tests, so that Company may also require have a representative present if it wishes, If any tests or inspections show TVA’s meters to De inaccurate by more than 1 percent, an offsetting adjustment shall be made to Company’s bills for any known or agreed to period of inaccuracy; in the installation absence of telemetering such knowledge or agreement, the adjustment shall be made for the 60 days prior to the date of such tests. If the request is made by the Parties shall be applied. At the written request of the Seller, and it must be sent at Seller's sole expense, Edison least 7 (seven) days in advance or at least 14 (fourteen) days in advance before the request date. The Seller shall measure actual transformer lossesorganize the inspection and/or accreditation after receiving the request from the Buyer. 8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located 8:00 a.m. on the side day following the day of generation. In the event of meter failure, Buyer shall provide Seller informed and intelligent estimates of the Interconnection Facilities as specified hourly net generation data by Seller in Section 1.13. If the metering equipment is located 8:00 a.m. on the Seller's side day following the day of the Interconnection Facilities, then a loss compensation factor agreed upon by the Parties shall be applied. Metering. 8.1 All meters 9.1 Parties hereto shall comply with the current “Law for Metrology of the People’s Republic of China” and equipment used its rules for implementation.
9.2 The standard and correction of measuring errors of metering instruments as well as measurement disputes and the like shall be settled as agreed in Annex A hereof during gas supply period.
9.3 Regarding the payment of gas volumes during the gas supply period, if Buyer has an objection to Seller’s gas volume measurement and payment, it shall submit it in writing within seven (7) days from the date when the objection arises, and provide relevant explanation. Parties hereto can deal with the issue according to related provisions in Annex A. Before the dispute is settled, Buyer shall make the due payment on time and in full amount against Seller’s invoice and shall not refuse to pay on the excuse of dispute.
9.4 The calibration of measurement instruments shall be performed by a State authorized institution. The calibration department shall issue a calibration certificate after each calibration. The original calibration certificate shall be kept by Seller, and Buyer can keep a copy of the certificate.
9.5 In case of any objection to the measurement of electric power instruments during calibration, either Party hereto may request for determining Edison's payments to Seller pursuant to this Contract re-calibration, advance calibration or change, which will take place after consultation and agreement between the Parties hereto. If the calibration result indicates that the measurement instrument is normal, the cost shall be providedborne by the requesting Party; and if the calibration result indicates a problem, ownedthe cost shall be borne by Seller.
9.6 If the measuring system can not normally work and carry out the gas measurement for other causes than artificial reasons, and maintained by Edison the settlement for gas volume during the interruption shall be made based on the actual condition.
9.7 The CBM gas measurement management at Seller's expense the Delivery Point under the contract shall be executed in accordance with Edison's Tariff Rule No. 21Annex B of the Contract.
8.2 All meters 9.8 Seller shall construct, install, maintain, operate and monitor equipment used and instruments required for billing CBM measurement at the Delivery Point (hereinafter referred to as “Seller’s metering instruments” for short) as approved by the Parties hereto. Buyer understands and confirms that the written report submitted by Seller for electric on the compliance test of metering instruments from the qualified manufacturer and on their normal service provided will serve as the sufficient basis that Parties hereto have approved the normal operation of Seller’s metering instruments. The measurement of CBM delivered hereunder is subject to Seller the measurement by Edison under Operating Options II or III Seller’s metering instruments. Parties agree that the metering point shall be provided, owned, and maintained by Edison the flow meter at Edison's expense the outlet end of Shouyang gas station at the Delivery Point. Parties further agree that reading of the CBM flow through this metering point shall be taken as the delivered quantity of CBM.
9.9 The quantity unit for CBM measurement shall be the standard cubic meter defined in Article 1-3 herein. The CBM delivery volume shall be measured in accordance with Edison's Tariff Rule No. 16the applicable natural gas measurement method.
8.3 The meters 9.10 In the Contract Term, Seller shall test, adjust and equipment used calibrate the Seller’s metering instruments once a year in accordance with its instructions and requirements for measuring the Energy sold metering instruments. Buyer is entitled to Edison appoint a representative to witness the aforesaid operations on site.
9.11 During the Contract Term, if Buyer requests to test, adjust or calibrate Seller’s metering instruments, it shall be located on the side of the Interconnection Facilities as specified by notify Seller 48 hours in Section 1.13advance for related preparations. If the result indicates that Seller’s metering equipment is located on instruments do not exceed the Seller's side of the Interconnection Facilitiespermissible error limits, then a relevant expenses shall be borne by Buyer; and if the result shows that Seller’s metering instruments do exceed the permissible error limits, then relevant testing expenses shall be borne by Seller. Parties hereto shall work out the total errors for prior volumes sold by calculation based on error limits and the error period. Parties hereto shall compensate accordingly the Party suffering from loss resulting from the aforesaid error by modifying the paid CBM cost or other method as agreed to in separate consultation by Parties hereto. Parties hereto agree that the error compensation factor agreed upon period is the time between the current test, adjustment or calibration for the metering instruments and the last test, adjustment or calibration. Parties hereto agree that the test, adjustment or calibration of metering instruments shall not affect both Parties’ normal gas delivery and acceptance obligations.
9.12 The CBM measurement data shall be exchanged everyday by Buyer and Seller, and confirmed by their authorized representatives by signing and sealing, which will serve as testimony for the deal by the Parties shall be applied. At the written request of the Seller, and at Seller's sole expense, Edison shall measure actual transformer losses. If the actual measured value differs from the agreed-upon loss compensation factor, the actual value shall be applied prospectively. 8.5 Edison's meters shall be sealed and the seals shall be broken only when the meters are to be inspected, tested, or adjusted by Edison. Seller shall be given reasonable notice of testing and have the right to have its Operating Representative present on such occasions.
8.6 Edison's meters installed pursuant to this Contract shall be tested by Edison, at Edison's expense, at least once each year and at any reasonable time upon request by either Party, at the requesting Party's expense. If Xxxxxx makes such request, Seller shall reimburse said expense to Edison may also require within thirty days after presentation of a bill therefor.
8.7 Metering equipment found to be inaccurate shall be repaired, adjusted, or replaced by Edison such that the installation metering accuracy of telemetering said equipment at Seller's expense for Generating Facilities equal to or greater than 10 MWshall be within two percent. If metering equipment inaccuracy exceeds two percent, the correct amount of Energy and Contract Capacity delivered during the period of said inaccuracy shall be estimated by Edison and agreed upon by the Parties.

9.2 Customer shall permit DES to install Metering Equipment in Customer's Premises or on Customer's premises in the installation area adjacent to the Point of generation meteringDelivery or such other area as may be specified by mutual agreement of the parties, taking into account accessibility and Customer's need for Premises security.
9.3 DES shall own and maintain DES Metering Equipment in good repair and operating condition at DES's expense.
9.4 Any electricity required for the operation or maintenance of the Metering Equipment shall be supplied by Customer at Customer's expense.
9.5 Customer shall promptly notify DES if at any time Customer has reason to believe the Metering Equipment is not accurately measuring the Thermal Energy used by the Premises Heating System or Customer's Capacity.
9.6 DES shall cause such testing and calibration of the Metering Equipment as a Customer shall request, provided that the cost of any such testing and calibration shall be borne by the Customer if such testing does not disclose an inaccuracy of more than five percent (5%) in measuring utilization of Thermal Energy or Capacity. Edison may also require Upon the installation discovery of telemetering equipment any such inaccuracy, the Metering Equipment shall be promptly adjusted or replaced at SellerDES's sole expense for Generating Facilities equal to accurately measure utilization of Thermal Energy or Capacity. If any measuring inaccuracy of greater than 10 MWfive percent (5%) is discovered, an appropriate adjustment to the Customer's Service Bill shall be made in respect of the month immediately preceding such discovery and until the time of repair or replacement, based on the assumption that the same degree of inaccuracy existed throughout such period until repair or replacement unless a particular event or accident is reasonably shown to have caused meter inaccuracy, in which event the date for billing adjustment shall be established thereby. No other adjustments shall be made except an appropriate adjustment may be also made to earlier Service Bills (hereinafter defined) at DES's election if DES has reasonable cause to believe that a Customer did not timely act in good faith to notify DES of a suspected measuring inaccuracy.
9.7 Notwithstanding the foregoing Section 9.6, in any Billing Period during which the Metering Equipment shall fail to register utilization of Thermal Energy by a Customer, the amount of Thermal Energy utilized by such Customer during such period shall be estimated by DES based on the Thermal Energy utilized by the Customer in the past and the Thermal Energy utilized by other Customers with similar usage characteristics during the period in question.

Metering. 8.1 All meters 10.1 The Retailer shall arrange for XXXXX compliant Metering Equipment to be installed at each Customer’s Point of Supply except where the Distributor and equipment used the Retailer otherwise agree.
10.2 Where agreed by the Parties the Metering Equipment may be provided and owned, by the Distributor, the Distributor's Agent, or another metering service provider and the Retailer shall purchase the Metering Services from the Distributor or another metering service provider. If Metering Services are provided to the Retailer by the Distributor, the charges for the measurement of electric power for determining Edison's payments to Seller pursuant to this Contract these services shall be provided, owned, agreed separately.
10.3 The Retailer shall ensure that the Metering Equipment installed at Customers’ Points of Supply is:
(a) installed prior to any supply of electricity to that Customer’s Point of Supply; and
(b) equipment which is installed and maintained by Edison at Seller's expense in accordance with Edison's Tariff Rule No. 21the Metering Code of Practice of ENANZ or any other relevant and accepted industry standard, such as XXXXX.
8.2 All meters 10.4 The Distributor may at its own cost maintain in service an additional set of Metering Equipment at any Customer’s Point of Supply for checking and equipment used for billing Seller for electric service provided to Seller Distribution Network management purposes.
10.5 The measurements taken by Edison under Operating Options II the Retailer or III the Retailer’s Agent from the Metering Equipment shall be providedbinding on the Parties unless either of the Parties disputes the accuracy of the Metering Equipment by giving written notice to the other Party. In the event such written notice is given:
(a) each Party shall provide the other with any available information relevant to the checking of the Metering Equipment; and
(b) the Metering Equipment shall be checked for defective or inaccurate functioning or calibration consistent with Good Industry Practice, owned, and maintained by Edison at Edison's expense such as the ENANZ Metering Code of Practice.
10.6 If it is discovered that the Metering Equipment used in the determination of Charges is not measuring accurately then the quantity of electricity conveyed or maximum demand during the Period of Inaccuracy shall be determined in accordance with Edison's Tariff Rule No. 16the appropriate provisions of the XXXXX agreement.
8.3 The meters 10.7 All information obtained from Metering Equipment is the property of the Retailer, but is also available to the Distributor under Clauses 12 and equipment 19.
10.8 Where the Retailer purchases Metering Services from the Distributor or the Distributor's Agent, the Distributor or the Distributor's Agent:
a) shall not allow the Metering Equipment or the data it measures to be used for measuring the Energy sold to Edison shall be located on the side of the Interconnection Facilities any purpose other than as specified by Seller in Section 1.13. If the metering equipment is located on the Seller's side of the Interconnection Facilities, then a loss compensation factor agreed upon specifically provided for by the Parties to this Agreement
b) shall be applied. At vest in the written request of the Seller, and at Seller's sole expense, Edison shall measure actual transformer losses. Metering. 8.1 All meters and equipment used 7.1 The Metering Installation as installed by the Seller at its sole cost, at the Delivery Point(s), shall be the Metering Installation(s) for the measurement purposes of electric power for determining Edison's payments this Agreement.
7.2 The purpose of the Metering Installation shall be to measure the Commercial Energy delivered by the Seller at the Delivery Point pursuant to this Contract Agreement.
7.3 The Buyer may at its sole cost procure, install, test, commission, operate and maintain check metering installation(s) at the Delivery Point(s).
7.4 The Seller shall enable the process for the Buyer to install, test, commission, operate and maintain the check metering installation(s) at the Delivery Point(s), if the Buyer elects to have a check metering installation.
7.5 The Buyer shall have full access to inspect all metering equipment installed for the purposes of this Agreement. In this regard,
7.5.1 The Seller shall provide meter configuration details including the remote access information for site and installation verification purposes;
7.5.2 If the Seller has a valid metering Code exemption which may negatively impact remote access to the meters, such details need to be revealed upon the conclusion of the Agreement in which event the Seller will be required to co-operate or put alternate measures in place to the satisfaction of the Buyer to enable the Buyer to obtain the required access to the Metering Installation. The Buyer reserves its right to contest any exemption granted; and
7.5.3 The Seller shall provide commissioning and latest maintenance reports for the Metering Installation at the request of the Buyer.
7.6 The Metering Installation will be sealed at all times and such sealing or removal thereof shall be provided, owned, and maintained by Edison at Seller's expense done in accordance with Edison's Tariff Rule No. 21.
8.2 All meters and equipment used for billing Seller for electric service provided to Seller by Edison under Operating Options II or III shall be provided, owned, and maintained by Edison at Edison's expense in accordance with Edison's Tariff Rule No. 16.
8.3 The meters and equipment used for measuring the Energy sold to Edison shall be located on the side presence of the Interconnection Facilities as specified by Seller in Section 1.13Buyer or its nominated agent. 8.4 For purposes of monitoring the Generator operation and the determination of standby charges, Edison Buyer shall have the right to requireinspect and either accept the sealed meter or request the Seller to re-seal the meters in the presence of the Buyer’s nominated agent.
7.7 The Seller shall be responsible for interrogating and retrieving data from the Metering Installation(s) for invoicing purposes.
7.8 The Metering Installation(s) shall be tested by the Seller as often as may be necessary but in any event within 30 (thirty) days of the Buyer’s written request for such test and the Buyer shall have the right to be represented at the conduct of any such test.
7.9 The Seller shall promptly provide the Buyer with a test report including all supporting metering data and records, at Seller's expenseif so requested by the Buyer in writing. The Seller shall promptly and in full answer any questions of the Buyer concerning such test report.
7.10 The Seller shall not, interfere in any manner whatsoever with the installation proper functioning of generation metering. Edison may also require the installation Metering Installation(s) save in the course of telemetering equipment at Seller's expense for Generating Facilities equal to an inspection, testing, maintenance or greater than 10 MWagreed adjustment in the presence of duly authorised representatives of both Parties.
7.11 Neither Party shall re-locate the Metering Installation(s) without the prior written approval of the other Party.

8.4 For purposes of monitoring the Generator operation and the determination of standby charges, Edison shall have the right to requireinstall and maintain meters adjacent to TVA’s meters, as a check on TVA’s meters. Should TVA’s meters fail to register for any period, the consumption during such period shall be determined from Company’s meters or from the best information available. TVA shall, at Seller's its expense, make periodic tests and inspections of its metering equipment in order to maintain a high standard of accuracy. If requested by Company, TVA shall make additional tests and inspections of its metering equipment; if such additional tests show that the installation measurements are accurate within 1 percent fast or slow at the average load during the preceding 30 days, the cost of generation meteringmaking such additional tests or inspections shall be paid by Company. Edison TVA shall give Company reasonable notice of tests, so that Company may also require have a representative present if it wishes. If any tests or inspections show TVA’s meters to be inaccurate by more than one percent, an offering adjustment shall be made to Company’s bills for any known or agreed to period of inaccuracy; in the installation absences of telemetering such knowledge or agreement, the adjustment shall be made for the 60 days prior to the date of such tests. Any TVA metering equipment at Seller's expense for Generating Facilities equal found to be inaccurate by more than one percent shall be promptly replaced, repaired, or greater than 10 MWreadjusted by TVA.
