Microsoft Office 365. 3.7.1 Some of the features available with the Core Product rely upon interoperation and/or integration with Microsoft Office 365. Your licence to use Microsoft Office 365 is between you and Microsoft® only and you must accept this (i) via a click through process as part of your installation (or similar) if you purchase Microsoft Office 365 through Sage or (ii) directly with Microsoft® or an authorised Microsoft® partner if you purchase other than through Sage. In the case of a conflict between this Agreement and your licence to use Microsoft Office 365, this Agreement takes precedent in relation to your payment obligations, support and the sale of Microsoft Office 365 only. 3.7.2 Where you licence Microsoft Office 365 directly with Microsoft® or through an authorised Microsoft® partner, you acknowledge and agree that it is your responsibility to ensure that such licences are compatible with the Core Product. 3.7.3 As a result of any interoperation and/or integration with Microsoft Office 365, you acknowledge and agree that Microsoft® will have access to your Customer Data and Microsoft® responsibilities and obligations in respect of your Customer Data are set out in the license between you and Microsoft®. In addition, you grant us permission to provide Microsoft® with such data as is required for the provisioning of Microsoft Office 365 license. We are not responsible for any disclosure, modification or deletion of such information resulting from access by Microsoft® and/or its affiliates and/or third party contractors. 3.7.4 If you have previously purchased a licence directly with Microsoft® for Office 365 and wish to purchase a new licence through Sage for the use of Microsoft Office 365 in accordance with this Agreement, you accept that your data held under your previous licence will not be available under your new licence and that you are responsible for making a back-up copy of such data prior to purchasing a new licence through Sage. 3.7.5 If you purchase a licence for Microsoft Office 365 through Sage, we will send you a link for you to install and access Microsoft Office 365. You acknowledge that you will be liable to pay the relevant Subscription Fees for such licence to Sage (or Sage Partner as applicable) whether or not you proceed to then install and use Microsoft Office 365 until termination of such licence in accordance with this Agreement.

Microsoft Office 365. If Client has selected Microsoft Office 365 for hosted Microsoft Exchange email services, Client acknowledges that Run Networks is not the vendor of such product and has no control over the performance, mail delivery, data backup, or availability of such service. Run Networks will coordinate any service requests that occur with Microsoft Office 365 for Client, but may have to escalate to Microsoft for ultimate resolution. Microsoft may also be providing the email sanitation, or Spam filtering service. Email backup is also performed by Microsoft. Email is kept on the vendor's backup system for fourteen (14) days. All data hosted at Microsoft is stored on the Microsoft network. If Client desires a secondary backup, Cloud to Cloud Backup services are available managed by Run Networks through a third-party provider.
Microsoft Office 365. 3.7.1 Some of the features available with the Core Product rely upon interoperation and/or integration with Microsoft Office 365. Your licence to use Microsoft Office 365 is between you and Microsoft® only and you must accept this (i) via a click through process as part of your installation (or similar) if you purchase Microsoft Office 365 through Sage or (ii) directly with Microsoft® or an authorised Microsoft® partner if you Certain Modules (subject to availability), as detailed in your Documentation, may be made available to you for 12 months or less from the Effective Date (as applicable to the relevant Module) as provided in the Documentation, in all cases, after the expiry of the relevant period, you will be presented with different options to subscribe to the Module at the then current subscription price. We will give you reasonable notice of the price to allow you to decide if you would like to upgrade your subscription to include the Module. These Modules, Apps and Remote Data Access may require the Customer Data to be uploaded, copied and/or transferred to Sage where it will be stored securely. Should you choose to subscribe to the Module, these terms or the then current Subscription Licence shall govern your use of the Solution.

  • Searchable Whois Notwithstanding anything else in this Agreement, Registry Operator must offer a searchable Whois service compliant with the requirements described in Section 1.10 of Specification 4 of this Agreement. Registry Operator must make available the services only to authenticated users after they logged in by supplying proper credentials (i.e., user name and password). Registry Operator must issue such credentials exclusively to eligible users and institutions that supply sufficient proof of their legitimate interest in this feature (e.g., law enforcement agencies).

  • AT&T-12STATE acknowledges that CLEC may have an embedded base of one-way trunks ordered and installed prior to the Effective Date of this Agreement that were used for termination of CLEC’s Section 251(b)(5)/IntraLATA Toll Traffic to AT&T-12STATE (Embedded Base). To the extent that CLEC has such an Embedded Base, CLEC shall only augment trunk groups in the Embedded Base with the mutual agreement of the Parties. CLEC shall not order any new one-way trunk groups following the Effective Date of this Agreement. Moreover, the Parties agree that the Embedded Base will be converted to two-way trunk groups under the following circumstances: 4.2.1.1 With reasonable notification from AT&T-12STATE and upon AT&T-12STATE’s request, CLEC shall convert all of its Embedded Base to two-way trunks. 4.2.1.2 At any time an Embedded Base trunk group (either originating or terminating) requires augmentation, AT&T-12STATE can require the associated originating and terminating trunks to be converted to a single two-way trunk group prior to the augmentation. 4.2.1.3 When any network changes are to be performed on a project basis (i.e., central office conversions, tandem re-homes, etc.), upon request and reasonable notice by AT&T-12STATE, CLEC will convert all of its Embedded Base affected by the project within the intervals and due dates required by the project parameters. 4.2.1.4 In addition to the foregoing, CLEC may choose, at any time, to convert its Embedded Base to two-way trunk groups. 4.2.1.5 The Parties will coordinate any trunk group migration, trunk group prioritization and implementation schedule. AT&T-12STATE agrees to develop a cutover plan within thirty (30) days of notification to CLEC of the need to convert pursuant to Section 4.2.1.1 above and Section 4.2.1.3 above.

  • FORMAT AND CONTENT FOR REGISTRY OPERATOR MONTHLY REPORTING Registry Operator shall provide one set of monthly reports per gTLD, using the API described in draft-­‐xxxxxx-­‐icann-­‐registry-­‐interfaces, see Specification 2, Part A, Section 9, reference 5, with the following content. ICANN may request in the future that the reports be delivered by other means and using other formats. ICANN will use reasonable commercial efforts to preserve the confidentiality of the information reported until three (3) months after the end of the month to which the reports relate. Unless set forth in this Specification 3, any reference to a specific time refers to Coordinated Universal Time (UTC). Monthly reports shall consist of data that reflects the state of the registry at the end of the month (UTC).

  • Availability of Verizon Telecommunications Services 3.1 Verizon will provide a Verizon Telecommunications Service to Z-Tel for resale pursuant to this Attachment where and to the same extent, but only where and to the same extent, that such Verizon Telecommunications Service is provided to Verizon’s Customers. 3.2 Except as otherwise required by Applicable Law, subject to Section 3.1, Verizon shall have the right to add, modify, grandfather, discontinue or withdraw, Verizon Telecommunications Services at any time, without the consent of Z-Tel. 3.3 To the extent required by Applicable Law, the Verizon Telecommunications Services to be provided to Z-Tel for resale pursuant to this Attachment will include a Verizon Telecommunications Service customer-specific contract service arrangement (“CSA”) (such as a customer specific pricing arrangement or individual case based pricing arrangement) that Verizon is providing to a Verizon Customer at the time the CSA is requested by Z-Tel.
