Nature of Consulting Services. The field of consultation will be clinical development of oncology products (“Field”). The consulting services provided by Consultant under this Agreement (“Services”) will include the following activities: (i) advising and informing OSI of developments within the Field; (ii) assisting OSI in solving research, development and other problems within the Field; (iii) making suggestions and recommendations to OSI for new drug products and for improvements of existing drug products related to the Field; and (iv) attending scientific advisory board meetings as requested.
Nature of Consulting Services. To the extent reasonably requested by Corporation, Swindells shall consult with and advise Corporation with respect to acquisitions and strategic planning, capital expenditures, product development and general corporate and organizational matters. The Corporation shall not direct the manner or means by which Swindells performs services under this Agreement. The consulting services shall be provided in Portland, Oregon at times determined by Swindells except as the parties may otherwise agree. Corporation shall provide Swindells with adequate information and resources to allow Swindells to perform effectively the services contemplated by this Agreement.
Nature of Consulting Services. During the Term, Consultant shall provide Buyer with general advisory services relating to the infrastructure and operations of the Casino in connection with Buyer’s strategic planning processes and the proposed transactions Buyer is contemplating with Third Party Operators and others as mutually agreed to by Consultant and Buyer (the “Consulting Services”), which shall primarily include planning and analysis relating to past, current, and prospective operating results, operating procedures, information systems, and strategic transformation.
Nature of Consulting Services. It is expected that Tornier will pay all direct out-of-pocket expenses in connection with the Consulting Services, provided that Consultant obtains Tornier’s advanced written authorization before obligating Tornier for any such out-of-pocket expenses.
Nature of Consulting Services. To the extent reasonably requested by Corporation, Consultant shall serve in the capacity of founder and will assist with marketing and public relations efforts for the sales of the company’s products. Also, per this agreement, Txxxx X. Xxxxxx will work to procure introductions to and develop relationships with celebrities, business persons, finance sources, and others that will serve to further the business affairs of Corporation and its affiliate organizations. The Consultant shall, at all times, be an independent consultant and not a Consultant, officer or agent of the Company. The consulting services shall be provided in Houston, Texas at times determined by Consultant except as the parties may otherwise agree. Corporation shall provide Consultant with adequate information and resources to allow Consultant to perform effectively the services contemplated by this Agreement.
Nature of Consulting Services. During the Consulting Period, the Consultant shall perform such services for the Company as may be requested from time to time by the Company, including, but not limited to, those services set forth in ATTACHMENT A hereto (the "Consulting Services"). The Consultant shall report directly to the Chief Executive Officer of the Company and shall provide the Consulting Services in accordance with the instructions of the Chief Executive Officer of the Company.
Nature of Consulting Services. While Chairman, President and Chief Executive Officer, I was integrally involved in the development of a business plan for Seller and Seller Bank, which resulted in Seller and Seller Bank remaining competitive in a highly competitive market area. Seller Bank's market area is at a considerable geographic distance from the market areas served by the Company's banks, and such market area has demographics and competitive factors that are significantly different from those in the market areas served by the Company's banks. To ensure that the Company possesses the necessary knowledge and experience to successfully operate in Seller Bank's market area, thereby assuring continuation of the excellent performance and growth of Seller Bank's branch offices, I agree to provide the Company with:
(a) CONSULTING SERVICES REGARDING MARKET AREA OF SELLER BANK. I will consult with Company management to provide the expertise that I have gained during my tenure as the chief executive of Seller regarding Seller Bank's market area. I will work with management to ensure that Seller Bank's branch offices continue to experience growth in the area of deposits and loans and remain competitive. In addition, I will work with Company management to ensure that the Company continues to serve the needs of the low- and moderate-income families in Seller Bank's market area.
Nature of Consulting Services. Consultant will provide such corporate governance, research and development, strategic planning, management and other related services as the Company may request during the term of this Agreement (the “Services”).
Nature of Consulting Services. Only the Company’s Chief Executive Officer or President may request that Consultant provide consulting services to the Company pursuant to this Consulting Agreement. Consultant shall report the results of his consulting services to the Company’s Chief Executive Officer or President. Except (i) as may expressly be authorized by the Chief Executive Officer or the President of the Company, and (ii) for such contact (if any) as may reasonably be authorized by the Company’s Board of Directors (“Board”) and arranged through the Chief Executive Officer for Consultant to fulfill his obligations as a member of the Board, and (iii) for contact (if any) with the Company’s Board of Directors and/or employees at the level of Senior Executive Vice President or higher (in each case under this clause (iii), only if such contact occurs while Consultant is a director of the Company), Consultant shall not have any business contact with any other officer or employee of the Company or its affiliates.
Nature of Consulting Services. (a) Subject to the terms and conditions of this Agreement, the Company shall retain the Consultant, and the Consultant shall render consulting services to the Company. In such capacity, the Consultant shall have and exercise responsibility for providing consulting services as to the operation of the business of Don Cook Motors and Ready Finance, Inc. and assist in an orderly traxxxxxxx of ownership, participating in all aspects of the Company's day-to-day automobile sales business, together with such other similar or related duties as may be assigned to the Consultant from time to time by the Company's executive management. The Consultant may also be given additional duties, and responsibilities on behalf of certain of the Company's affiliates, without requirement of additional compensation hereunder.
(b) Throughout the period of his consulting employment hereunder, the Consultant shall: (i) devote his full business time, attention, knowledge and skills, faithfully, diligently and to the best of his ability, to the active performance of his duties and responsibilities hereunder on behalf of the Company; (ii) observe and carry out such reasonable rules, regulations, policies, directions and restrictions as may be established from time to time by the Company's executive management, including but not limited to the standard policies and procedures of the Company as in effect from time to time; and (iii) do such traveling as may reasonably be required in connection with the performance of such duties and responsibilities; provided, however, that the Consultant shall not be assigned to regular duties that would reasonably require him to relocate his permanent residence from that first set forth above.
