No Unauthorized Disclosure. During the term of Executive’s employment and thereafter, make or cause to be made any unauthorized disclosure of Employer’s confidential information or its activities and operations, except to the extent reasonably necessary or appropriate in connection with the performance of Executive’s authority and responsibility under this Agreement or as may be legally required; provided, however, that nothing herein contained shall preclude the use or disclosure of any information known generally to the public;
No Unauthorized Disclosure. Recipient agrees to use its best efforts to prevent and protect the Confidential Information, or any part thereof, from disclosure to any person(s) or entity(ies), even if authorized or directed under any law, without the express permission of the Discloser. Discloser, notwithstanding, shall have the right to deny such disclosure of the Confidential Information being detrimental to the security interests of the Discloser and/or its premises and employees.
No Unauthorized Disclosure. In addition to Participating Institution’s obligations of non- disclosure of Human Subject Data as set forth in Section 3.1, Participating Institution shall not allow unauthorized disclosure or copying of any part of the Portal Services, including without limitation software, Third Party Data, or any information obtained from the use of the Portal Services.
No Unauthorized Disclosure. Subject only to Article 9.3, the written personnel record of an counsel may not be revealed to anyone without counsel’s express written consent, except, the employer’s managers and administrative staff who have responsibilities with respect to the personnel file, and members of a selection panel before which counsel appears, and legal and medical counsel providing advice on matters directly related to the counsel’s employment.
No Unauthorized Disclosure. The written personnel record of an employee may not be revealed to anyone without the employee's express written consent, except, the Employee's managers and administrative staff who have responsibilities with respect to the personnel file.
No Unauthorized Disclosure. Recipient shall not disclose Discloser’s Confidential Information to any third party, unless and until expressly authorized in writing by Discloser or by the terms of this Agreement. Recipient shall exercise at least the same degree of care (but in no event less than reasonable care) to avoid unauthorized disclosure of Discloser’s Confidential Information that Recipient normally accords to its own proprietary trade secret information. Recipient shall disclose Discloser’s Confidential Information only to Recipient’s employees and/or consultants (including but not limited to legal counsel) who have a need to know and who understand and agree to the terms of this Agreement. Recipient shall be responsible for any actions taken by such persons that would be deemed to be a breach of this Agreement if Recipient had taken such actions. Discloser may, prior to disclosure, require all such employees and/or consultants of Recipient to sign Acknowledgement Agreements, wherein such persons shall acknowledge and agree in writing to the terms of this Agreement.
No Unauthorized Disclosure. Recipient covenants and agrees to take all reasonable steps to ensure that access to Confidential Information is appropriately restricted and that all reasonable precautions are taken to assure that Confidential Information is not misappropriated or disclosed in whole or in part without authorization in writing from VCRE. No employee or agent of Recipient may be given access to Confidential Information unless such person is bound by agreement or otherwise not to use or disclose such information. Recipient understands, acknowledges and agrees that Recipient is fully responsible for the actions and conduct of its employees and agents with regard to the Confidential Information, and any violation of the provisions of this Agreement by an employee or agent of Recipient shall be considered a breach of this Agreement by Recipient.

During the term of Executive’s employment and thereafter, make or cause to be made any unauthorized disclosure or other use of any confidential information regarding the Employer or any of its activities and operations, except to the extent reasonably necessary or appropriate in connection with the performance by Executive of Executive’s authority and responsibility under this Agreement or as may be legally required; provided, however, that nothing herein contained shall preclude the use or disclosure of any information known generally Typical CEO Employment Agreement to the public (other than as a result of disclosure by Executive in violation of this section 13(d)); (e)

No Unauthorized Disclosure. Undersigned agrees that, without the prior written consent of Owner, Undersigned shall not, at any time disclose to any other person the fact that the Confidential Material has been made available to Undersigned, that discussions or negotiations are taking place concerning a possible transaction involving Owner or any of the terms, conditions, or other facts with respect thereto (including the status thereof), unless in the written opinion of Undersigned’s counsel such disclosure is required by law and then only with as much prior written notice to Owner as is practical under the circumstances.
