Use of Portal. Parents/guardians and students are required to adhere to the following guidelines: 1. Parents/guardians and students agree to act in a responsible, ethical, and legal manner. 2. Parents/guardians and students will not attempt to harm or destroy the school, the district's data, or networks. 3. Parents/guardians and students will not attempt to access information concerning any students other than that of themselves for students or their own child(ren) for parents/guardians or any account assigned to another person. 4. Parents/guardians and students will not use the Portal or the MSAD 40 network for any illegal activity, including, but not limited to violation of Federal and State Data Privacy laws. Anyone found to be in violation of these laws will be subject to civil and/or criminal prosecution. 5. Parents/guardians and students who identify a security problem within the Portal must notify their school immediately, without demonstrating the problem to anyone else. 6. Parents/guardians and students will not share their password or allow anyone other than himself or herself to use their Portal account. 7. Parents/guardians and students will not set any computer to automatically log in to the Portal. 8. Parents/guardians and students will log out of their Portal user account when they are not at their computer. 9. Parents/guardians and students who are identified as a security risk will be denied access to the site.

Use of Portal. 5.1 The Customer shall access the Portal as specified in clause 4.1 and use the Software and Documentation only as provided for in clauses 3, 4 and 5 and subject always to any usage limitations specified in the Order Form or in this Agreement. Unless FEI otherwise agrees in writing (acting in its sole discretion), the Customer shall not permit any third party to access the Portal and/or use the Software and/or the Documentation or itself use the Software and/or the Documentation on behalf of or for the benefit of any third party by way of trade or otherwise. 5.2 The Customer acknowledges that FEI may from time to time issue updates to and/or make improvements to the functionality offered by the Software, provided always that FEI will provide the Customer with reasonable advance notice of any material updates or improvements. 5.3 In order for the Customer to access the Portal and for any Software to function, the Customer acknowledges that it must comply with the Minimum Requirements and FEI shall have no liability for any defect or non-performance of the Software or the Portal which results from the failure of the Customer to ensure that its information technology estate meets the Minimum Requirements. 5.4 The Customer shall follow all reasonable instructions given from time to time by XXX with regard to access to the Portal and the use of the Software and in particular: 5.4.1 the Customer has no right (and shall not permit any third party) to copy, adapt, reverse engineer, decompile, disassemble, modify, adapt or make error corrections to the Software or Portal in whole or in part except to the extent that any reduction of the Software to human readable form is performed by XXX or is performed by such persons as may be authorised by XXX and subject always to any conditions which FEI may, in its absolute discretion, impose in such respect; 5.4.2 the Customer may not use any such information provided by FEI or obtained by the Customer pursuant to this Agreement to create any software whose expression is substantially similar to that of the Software or Portal (including where such activities are to build a product or service which competes with the Software or Portal) nor use such information in any manner which would be restricted by any copyright subsisting in it; 5.4.3 the Customer shall not store, distribute, introduce or transmit through the Portal, the Software or Services: 5.4.3.1 any Virus, 5.4.3.2 any Vulnerability; or 5.4.3.3 any material that is u...
Use of Portal. Customer agrees to use the Portals and any additional electronic or web-based services offered by Masergy in accordance with this Agreement. Customer must designate portal users as either an administrative user with full access to Customer’s records, or as a guest user with limited access to Customer’s records. Administrative users may add or remove Services or additional Service features. Customer acknowledges and agrees that the person using Customer's username and password for the Portals is an authorized administrative user and such administrative user has the capacity and authority to make modifications that may increase or decrease the Customer’s monthly recurring fees electronically on behalf of Customer.
Use of Portal. During the Subscription Period, Customer will have access to and use of the Portal available at xxx.xxxxxxxxxxxxxx.xxx, a website managed by Nutrien. Nutrien will assign to Customer a unique User Name, temporary account password, and temporary admin password for Customer’s use of AGBRIDGE™. Customer is responsible for establishing and maintaining Customer’s own secure passwords thereafter via use of the Portal. These secure passwords are required to enable the use of the App and the Sync Client. Customer will control access to and use of the user name and password(s) by Customer’s employees, and Customer will promptly notify Nutrien of any unauthorized use of the user name or password(s). Customer will not (i) permit access to or use of the Portal via the Customer user name and/or password by any third parties, or (ii) assign or transfer access to the Portal or use the Portal except as set forth in Section 7.6 of this Contract. However, Customer assumes full responsibility for the actions of any such third party with respect to AGBRIDGE™. To use the Portal, Customer will contract with an Internet Service Provider (“ISP”) of Customer’s choosing. Nutrien will not have any responsibility for the ISP connection or any Internet communications link between Customer’s computer and the Server. Nutrien will not have any liability for any interruption or break in the Portal services as a result of downtime or failure of any Internet or ISP connection.
Use of Portal. To enhance our services to you, we may utilize a portal - a collaborative, virtual workspace in a protected, online environment. The portal permits real-time collaboration across geographic boundaries and time zones and allows us and you to share data, engagement information, knowledge, and deliverables in a protected environment. The portal allows for the delivery of all types and sizes of documents. It is internet-based and allows for the transmission of documents that we or you place in a secure location for your or our access and downloading. The portal is designed with security involving virus scanning, the use of secure transmission technology, and utilization of passwords for the protection of your documents. It is your responsibility to protect the use of your passwords and ensure that only authorized users have access to the portal. We will use reasonable efforts to keep communications and data secure through the portal; however, you recognize and accept that we have no control over unauthorized interception of or access to the portal. You agree that we have no responsibility for the activities of the portal, and you agree to indemnify and hold us harmless with respect to any and all third party claims against us (including from your employees) arising from or related to the use or operation of the portal that do not result from our gross negligence or willful misconduct. Document Management & Retention: We prefer to receive documents in electronic format. If we receive any documents from you in paper format, we may scan them or otherwise convert them to an electronic format and destroy the paper documents unless you have previously requested in writing that we return any paper documents to you. With respect to all participant-related documentation, we will scan it to the individual’s participant record on the PensionEdge® web portal once we have reviewed the documentation and determined it to be complete, after which we will destroy any paper documents we have received; provided that we will return to you all original participant-completed documents, including documents with a raised seal, annually (or more frequently if you request), and we will return to participants at their home address any original back-up documentation such as birth certificates,
Use of Portal. You may access, download, and use material displayed on TCEH for internal use only in accordance with the terms of this Agreement. You may not make derivative works, distribute, modify or otherwise use TCEH content for public purposes without prior written permission from PSL’s licensors, as applicable. Access to TCEH is granted in the absolute discretion of PSL and its clients, and may be terminated at any time. Access is permitted by user name and password only. You are responsible for protecting the confidentiality of all user name and password registered to your account, and you accept responsibility for all actions which occur under such names and/or passwords. If you believe that your user name or password has been compromised, you must contact PSL immediately.

  • Use of websites (a) The Borrower may satisfy its obligation to deliver any public information to the Lenders by posting this information onto an electronic website designated by the Borrower and the Administrative Agent (the “Designated Website”) by notifying the Administrative Agent (i) of the address of the website together with any relevant password specifications and (ii) that such information has been posted on the website; provided, that in any event the Borrower shall supply the Administrative Agent with one copy in paper form of any information which is posted onto the website. (b) The Administrative Agent shall supply each Lender with the address of and any relevant password specifications for the Designated Website following designation of that website by the Borrower and the Administrative Agent. (c) The Borrower shall promptly upon becoming aware of its occurrence notify the Administrative Agent if: (i) the Designated Website cannot be accessed due to technical failure; (ii) the password specifications for the Designated Website change; (iii) any new information which is required to be provided under this Agreement is posted onto the Designated Website; (iv) any existing information which has been provided under this Agreement and posted onto the Designated Website is amended; or (v) the Borrower becomes aware that the Designated Website or any information posted onto the Designated Website is or has been infected by any electronic virus or similar software. If the Borrower notifies the Administrative Agent under Section 5.3(c)(i) or Section 5.3(c)(v) above, all information to be provided by the Borrower under this Agreement after the date of that notice shall be supplied in paper form unless and until the Administrative Agent is satisfied that the circumstances giving rise to the notification are no longer continuing.
