Non-Confidential. Notwithstanding anything to the contrary contained in this Agreement, all persons may disclose to any and all persons, without limitation of any kind, the U.S. federal, state and local tax treatment of the Trust Certificates, the Notes and the Trust, any fact that may be relevant to understanding the U.S. federal, state and local tax treatment of the Trust Certificates, the Notes and the Trust, and all materials of any kind (including opinions or other tax analyses) relating to such U.S. federal, state and local tax treatment and that may be relevant to understanding such U.S. federal, state and local tax treatment, other than the name of the parties or any other person named herein, or information that would permit identification of the parties or such other persons, and any pricing terms or other nonpublic business or financial information that is unrelated to the U.S. federal, state and local tax treatment of the Trust Certificates, the Notes and the Trust to the taxpayer unless any such information is relevant to understanding the U.S. federal, state and local tax treatment of the Trust Certificates, the Notes and the Trust to the taxpayer.
Non-Confidential. If a Participant wishes certain Data to be treated as Non- Confidential, Participant shall clearly designate such Data at the time of submission or generation as Non-Confidential Data. All such Non-Confidential Data may be disseminated to any parties, whether or not they are DNS-OARC Participants.
Non-Confidential. Unless otherwise specified at the time of submission, all Information shall be deemed non-confidential and may be disseminated to any parties, whether or not they are DNS-OARC Participants.
Non-Confidential. Notices provided by Member under Section 4 are not confidential, and will be made available to End Users and Members upon request to RESO at RESO’s sole discretion and may otherwise be made available at RESO’s sole discretion. However, if a Member has filed a provisional or non-provisional patent application with the USPTO or patent application with the Canadian Intellectual Property Office that has not yet become public prior to RESO’s receipt of a Section 4 notice, that Member may note on the notice that the Member Claimed Intellectual Property is contained in a non-public patent application. Member shall provide further explanation of that Member Claimed Intellectual Property and how the RESO Product may infringe it under a separate confidentiality agreement with RESO. OWNERSHIP, LICENSES, MODIFICATION OF RESO PRODUCTS
Non-Confidential. Notwithstanding anything herein or in any express or implied agreement or understanding to the contrary, any party to this Agreement (and any employee, representative or other agent of any party to this Agreement) may disclose to any and all persons, without limitation of any kind, the tax treatment and tax structure of the transactions contemplated by this Agreement and all materials of any kind (including opinions or other tax analyses) that are provided to it relating to such tax treatment and tax structure; provided, however, that such disclosure may not be made to the extent required to be kept confidential to comply with any applicable federal or state securities laws; and provided further that (to the extent not inconsistent with the foregoing) such disclosure shall be made without disclosing the names or other identifying information of any party.
Non-Confidential. Upon issuance of the press release described in Section 19, the existence of this Agreement and its named parties will not be confidential.
Non-Confidential. Notwithstanding anything to the contrary contained in this Agreement, all persons may disclose to any and all persons, without limitations of any kind, the U.S. federal income tax treatment of any Transaction, any fact that may be relevant to understanding the U.S. federal income tax treatment of any Transaction, and all materials of any kind (including opinions or other tax analyses) relating to such U.S. federal income tax treatment.
Non-Confidential. Individuals may agree to file a report non-confidentially. Complainants agreeing to make their complaint non-confidential will be informed that due process requirements may require that the district release all of the information that it has regarding the complaint to any individuals involved in the incident, but that even then, information will still be restricted to those with a need to know, both during and after the investigation. The district will, however, fully implement the anti- retaliation provision of this policy and procedure to protect complainants and witnesses.
Non-Confidential. The parties acknowledge and understand that mediation with Xxxxxxxxx & Xxxxxxxxxx, LLP is not confidential. If any Xxxxxxxxx & Xxxxxxxxxx, LLP attorney is called to testify in any court proceeding relating to this matter, the subpoenaing party shall pay the attorney’s hourly rate for such testimony.
Non-Confidential. Contributions are not confidential, and no Contribution may contain confidential information. Contributors are aware that all Contributions may be made publicly available on the TVAF web and ftp sites or otherwise.
