Non-solicit; Non-compete. During the Employee’s employment with Company and for 24 months after the Employee’s termination of employment, the Employee shall not, directly or indirectly, either as an individual or as an employee, agent, consultant, advisor, independent contractor, general partner, officer, director, stockholder, investor, lender, or in any other capacity whatsoever, of any person, firm, corporation or partnership: (i) induce or attempt to induce any person who at the time of such inducement is an employee of Company to perform work or service for any other person or entity other than Company or (ii) participate or engage in the design, development, manufacture, production, marketing, sale or servicing of any erectile dysfunction drug.
Non-solicit; Non-compete. (a) In connection with the transactions contemplated by the Acquisition, from the Closing until occurrence of the Voting Fall-Away Date, Shareholder shall not and shall cause each the CPPIB Restricted Party not to, directly or indirectly, solicit or hire (or cause to be directly or indirectly solicited or hired) whether as an employee, consultant or independent contractor or otherwise, any director (other than a Shareholder Director), officer, manager, or senior executive or full-time consultant (“Service Provider”) of the Company or its Subsidiaries; provided, that, the foregoing restriction shall not apply to (i) generalized searches by use of advertising or recruiting efforts (including the use of search firms) that are not specifically targeted at such Service Providers or hiring any individual who responds to any such general solicitation or (ii) soliciting or hiring any Service Provider who is no longer employed by the Company or any of its Affiliates and has not been so employed by the Company or its Affiliates for at least one hundred and eighty (180) days prior to such solicitation or hiring.
Non-solicit; Non-compete. For a period of 6 months following the effective date of expiration or termination of this Agreement, the Consultant will not directly or indirectly solicit business from Client’s customers or other consultants without Client’s advance written permission.
Non-solicit; Non-compete. 16.1 The parties agree that a breach by the Broker of clause 3.3 or 3.5 (non-compete, non-solicitation provisions) of the Master Separation Agreement which has not been remedied in accordance with clause 3.6 of the Master Separation Agreement by the expiration of the time for remedy specified in such clause 3.6 shall give rise to a right of termination by the PCC pursuant to clause 17.5.5 of this Agreement.
Non-solicit; Non-compete. Each of the Vendors agrees that, other than as consented to in writing by the Purchaser, he or she shall not (A) carry out acts or operations that (i) solicits or attempts to entice away, hires or engages any person who is at any time employed or engaged to perform services by the Purchaser or the Company (or their subsidiaries), or (ii) competes directly, seeks to compete, or adversely interferes with Purchaser or the Company (or their subsidiaries’) business activities, or (B) participate, personally, professionally, or by way of an interest in any entity, in the cultivation, manufacturing, marketing, or import or export of psychoactive or non-psychoactive cannabis (including hemp) or any of its derivatives.
Non-solicit; Non-compete. (a) Non-solicit of Employees. In light of each Member’s access to Confidential Information and position of trust and confidence with the Company, each Member further agrees that, while such Member is a member of the Company and for a period of one (1) year after such Member is no longer a member of the Company (the “Restricted Period”), he shall not, directly or indirectly through one or more of any of their respective Affiliates, hire or solicit, or encourage any other Person to hire or solicit, any individual who has been employed by the Company or any Company Subsidiary within six (6) months prior to the date of such hiring or solicitation, or encourage any such individual to leave such employment. This Section 11.02(a) shall not prevent a Member from hiring or soliciting any employee or former employee of the Company or any Company Subsidiary who responds to a general solicitation that is a public solicitation of prospective employees and not directed specifically to any Company or Company Subsidiary employees.
Non-solicit; Non-compete. In consideration of your employment and the terms of this Agreement, you agree that for a period of 6 months following the termination of your employment from EOL, regardless of reason, you will not directly or indirectly, contact, solicit or direct any person, firm, or corporation to contact or solicit, any of EOL’s customers, prospective customers, or business partners for the purpose of selling or attempting to sell, any products and/or services that are the same or substantially similar to the products and services provided by EOL to its customers during your employment. In addition, you will not (a) disclose the identity of any such business partners, customers, or prospective customers, to any person, firm, corporation, association, or other entity for any reason or purpose whatsoever; (b) directly or indirectly, engage or carry on in any manner (including, without limitation, as principal, shareholder, partner, lender, agent, employee, consultant, or investor (other than a passive investor with less than a 5% interest), trustee or through the agency of any corporation, partnership, limited liability company, or association) in any business that is in competition with the business of EOL and has an office located within 150 miles of EOL’s New York City office; or (c) solicit on your own behalf or on behalf of any other person, the services of any person who is an employee of EOL, or solicit any of EOL’s employees to terminate employment with EOL.
Non-solicit; Non-compete. (a) Without obtaining Purchaser’s prior written consent, for a period of one (1) year after the Closing Date, Seller and its Affiliates (other than any Acquired Company) will not, directly or indirectly, solicit for employment, hire, or retain the services of, any person who is an employee of the Acquired Business. Notwithstanding the foregoing, nothing herein shall preclude Seller from (i) engaging in, offering employment to and hiring as a result of, general solicitations of employment by means of general advertisements or through a professional recruiter who was not instructed to target any employee of the Acquired Companies, or (ii) offering employment to, and hiring, any former employee of the Acquired Companies that has not been an employee of the Acquired Business for a period of six (6) months.

The paragraph titled “Non-solicit; non-compete” is hereby deleted and replaced with the following: In consideration of your continued employment and the terms of this Agreement , you hereby agree that for a period of twelve (12) months from your last date of employment not to directly or indirectly, contact, solicit or direct any person, firm, or corporation to contact or solicit, any of EOL’s or its affiliates’ customers, prospective customers, or business partners for the purpose of selling or attempting to sell, any products and/or services that are the same or substantially similar to the products and services provided by EOL or its affiliates to its customers during your employment. In addition, you will not (a) disclose the identity of any such business partners, customers, or prospective customers, to any person, firm, corporation, association, or other entity for any reason or purpose whatsoever; (b) directly or indirectly, engage or carry on in any manner (including, without limitation, as principal, shareholder, partner, lender, agent, employee, consultant, or investor (other than a passive investor with less than a five percent (5%) interest), trustee or through the agency of any corporation, partnership, limited liability company, or association) in any business that is in competition, or could potentially be in competition, with the business of EOL or its affiliates; or (c) solicit on your own behalf or on behalf of any other person, the services of any person who is an employee of EOL or its affiliates or has been an employee of EOL or its affiliates during the preceding twelve (12) months prior to such solicitation, or solicit any of EOL’s or its affiliates’ employees to terminate employment with EOL or its affiliates, as applicable.
