Office/Secretary. During the Term, the Company will provide Consultant with an office and a secretary whose sole job responsibilities will consist of providing support to Consultant. Such secretary will be Xxxxx Xxxxxx (“Xxxxxx”) for so long as she is employed by the Company. The Company will continue to pay Xxxxxx her base salary in effect at the commencement of the Term, subject to adjustment from time to time in the ordinary course of business. For so long as she remains employed by the Company during the Term, Xxxxxx will be eligible to participate in the Company’s benefit plans and programs made available to similarly situated employees of the Company, subject to the terms and conditions of such plans and programs as in effect from time to time; provided, however, that in no event will the Company be required to provide Xxxxxx with any incentive compensation opportunities or long-term incentive plan awards in respect of her employment during the term.
Office/Secretary. The Companies shall make a suitable office (at a mutually acceptable location) and secretarial support available to you for three (3) years from the Resignation Date. Compensation for your secretary (who shall be Xxxx Xxxx so long as she remains employed by PAHI), who shall be an employee of PAHI, shall not exceed $60,000 per year.

The Assistant Secretary, or if there be more than one, the Assistant Secretaries in the order determined by the Board (or if there be no such determination, then in order of their election), shall, in the absence of the Secretary or in the event of the Secretary’s inability to act, perform the duties and exercise the powers of the Secretary and shall perform such other duties and have such other powers as the Board may from time to time prescribe.

  • Certificate of Chief Financial Officer On the date of this Agreement and on the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

  • Vice President In the absence of the President or in the event of the President’s inability to act, the Vice President, if any (or in the event there be more than one Vice President, the Vice Presidents in the order designated by the Directors, or in the absence of any designation, then in the order of their election), shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice Presidents, if any, shall perform such other duties and have such other powers as the Board may from time to time prescribe.
