Officers Agents and Employees. County officers, agents, and employees are prohibited from receiving any pecuniary or material benefit from Purchaser in violation of ORS Chapter 244 or County's policy on employee ethics set forth in County Personnel Rule 20.1. Purchaser shall not confer any appreciable pecuniary or material benefit on any officer, employee, or agent of County during the term of this contract.

BHSIC, NICO & NLF POA (2023) VENDOR SUPPLEMENTAL INFORMATION TIPS permits Vendors to submit supplemental documentation and information (“Vendor Supplemental Information”) with their proposals to display to TIPS Member Customers their qualifications, offerings, and special terms. The following documents are for marketing and informational purposes only. They are not terms of Vendor’s TIPS Contract. If the Vendor Supplemental Information herein contains any warranties, terms, or conditions, the TIPS Member Customer may review and determine whether or not those are applicable and acceptable for any TIPS purchase before proceeding. If the Vendor Supplemental Information contains any licenses or certificates, TIPS encourages the TIPS Member Customer to ensure current accuracy at the time of a TIPS purchase. For purposes of this Section VIII, references to City or County shall be deemed to include the officers, employees and agents of either Party, acting within the scope of their authority. Transporters or generators of waste who are not officers or employees of the City or County are not included as agents of the City or County for purposes of this Section.

Evidence of at least $1 million in general liability insurance shall be furnished to the Calcasieu Parish School Board prior to use of the facilities in the form of a certificate and the insurance afforded under such policies shall be primary. The certificate shall reflect the Calcasieu Parish School Board as an Additional Insured under the appropriate portion of the coverage and shall be mailed to Calcasieu Parish School Board Risk Management Department, P.O. Box 800, Lake Charles, Louisiana 70602. Failure to provide proof of insurance as required shall not relieve Lessee of its obligations under this Agreement.

The Advisor represents and warrants that each of its officers, agents and employees who may have contact with Confidential Information or who may otherwise be involved with the provision of services by the Advisor hereunder shall be bound by agreements relating to the non-disclosure of confidential information and assignment of inventions on terms substantially identical to those contained in Section 4.

No commissioner, director, officer, agent, employee, or other representative of either party may be charged personally nor held contractually liable by the other party for the enforcement, attempted enforcement, or breach of this Agreement if acting within the scope of their duties. This provision shall have no effect upon any liability of DOT&PF or AIRLINE for the acts of these persons that are within the scope of their duties.
