Other Business Affiliations. Subject to the provisions of Section 5.1, Executive agrees that, without the approval of the CEO, Executive shall not, during the period of employment with the Company, devote any time to any business affiliation which would interfere with or derogate from Executive’s duties and obligations under this Agreement.

The Executive agrees that, without the approval of the Chief Executive Officer, the Executive shall not, during the period of employment with the Company, devote more than 15% at any time to any other business affiliation which would interfere with or derogate from Executive's obligations under this Agreement. Subject to the provisions of Paragraph 7 --------------------------- hereof, Executive agrees that, without the approval of the Board of Directors the Company, he shall not, during the term hereof, devote any time to any business affiliation which would interfere with or derogate from his obligations under this Agreement other than that with the Company and any of its subsidiaries, parents or affiliates, other than assumption of positions as a member of a Board of Directors with outside companies, for which Executive shall be unrestricted in becoming a member, provided his fiduciary duties to Company are at all times maintained.

Subject to the provisions of Sub-paragraph 9(b) hereof, ** agrees that, without the express written approval of SERENA, he SHALL NOT, during the term hereof, devote any time to any business affiliation which would interfere with or derogate from his obligations under this Agreement other than that with SERENA and any of its subsidiaries, parents or affiliates.

The Executive agrees that, without the approval of the Board, the Executive shall not, during the period of employment with the Company, devote any time to any business affiliation which would interfere with or derogate from Executive’s obligations under this Agreement. Notwithstanding the foregoing, the Board agrees that the Executive may serve as a director of China Bio Energy Holding and as an advisor of Beijing Xxxxxxxx Xxxxxxxx Business Management Company; provided, however, that in no event shall the Executive (i) devote more than a total of 20 business hours in any month to his service as such director and advisor or (ii) fail to give priority in all circumstances to his service to the Company hereunder, in the event of a timing conflict between his obligations hereunder and his obligations in his capacity as such director and advisor. The Executive represents and warrants that his service as such director and advisor does not create any conflict of interest in relation to his duties and obligations to the Company hereunder, and agrees that in the event such a conflict arises, he will promptly report it to the Board and terminate his service that creates such a conflict. The Executive has provided to the Board copies of his service agreement with China Bio Energy Holding and his advisory agreement with Beijing Xxxxxxxx Xxxxxxxx, and any other related documents requested by the Board.
Other Business Affiliations. In addition to Key Executive's obligations under Section 8, Key Executive agrees that, without the approval of the Board of Directors of the Company, he shall not, during the term hereof, devote any time to any business affiliation which would interfere with or derogate from his obligations under this Agreement with respect of the Company and any of its subsidiaries, parents or affiliates, except that Key Executive may serve as a member of a Board of Directors with outside companies, for which Key Executive shall be unrestricted in becoming a member, provided his fiduciary duties to Company are at all times maintained and Key Executive has received prior approval from the Board of Directors.
Other Business Affiliations. During Employee’s employment with the Company, Employee will devote Employee’s entire business time, attention, skill and energy on a full-time and exclusive basis to the business of the Company, and will perform the duties and carry out the responsibilities assigned to Employee to the best of Employee’s ability, in a diligent, trustworthy, businesslike and efficient manner for the advancement of the best interests of the Company. During Employee’s employment with the Company, Employee will not, without the prior written consent of the Company, assume any other employment, engage in any other business or occupation, become an officer, employee, agent or consultant for any other company, firm or individual, or otherwise devote any time to any business affiliation which would prevent Employee from performing, conflict with, or create an appearance of conflict with Employee’s duties and obligations under this Agreement.
