Other Reporting Obligations. Each Notice provided pursuant to Section 3.5(b)(i) and (b)(ii) that includes notice of an Outage or Instructed Operations shall include all such information concerning such Outage, change or limitation as the Transmission Provider may require to be reported by Seller or by Buyer, in its capacity as Buyer or as the Units’ SC. Each such Notice from Seller to Buyer shall be made by providing Notice in accordance with the PG&E Outage Reporting Protocols to the Hour-Ahead Trading Desk. During the Services Term, Buyer is responsible for providing to the Transmission Provider notice of each Outage to the extent required by Law, CAISO Tariff, [or tariff of the interconnecting Transmission Provider] or contract. During the Services Term, each of Seller and Buyer shall promptly communicate to the other all information received by it from the Transmission Provider or other Governmental Authority regarding planned or in-progress Outages or Instructed Operations. Seller is responsible for providing regulatory bodies such as FERC and the CPUC with Outage information (for example but not limited to, NERC outage reporting requirements) as required by Law, tariff or regulation.

Other Reporting Obligations. The Intermediary shall promptly supply to the Counterparty any document or report which is reasonably requested by the Counterparty (whether for itself or on behalf of JHF) to enable the Counterparty to comply with its reporting obligations vis-à-vis the National Authorities or otherwise.
Other Reporting Obligations. (a) During any period in which the Corporation is not subject to the reporting requirements of Section 13 or 15(d) of the Exchange Act, the Corporation shall deliver to the Purchaser by mail and without cost to the Purchaser the following reports in the form that the Corporation would have been required to file with the SEC pursuant to Section 13 or Section 15(d) of the Exchange Act as if the Corporation were subject thereto as well as the other documents listed herein: (i) as soon as practicable, but in any event within the time frame prescribed for the filing of an annual report pursuant to the Exchange Act after the end of each fiscal year, an annual report on Form 10-K, and to the extent not included in such Form 10-K, an income statement of the Corporation for such fiscal year, a balance sheet of the Corporation and statement of stockholders’ equity as of the end of such fiscal year, and a statement of cash flows for such fiscal year, such year-end financial reports to be prepared on a consolidated basis, in reasonable detail, prepared in accordance with GAAP, and audited and certified by independent public accountants of nationally recognized standing selected by the Corporation; and (ii) as soon as practicable, but in any event within the time frame prescribed for the filing of a quarterly report pursuant to the Exchange Act for each fiscal quarter of each fiscal year of the Corporation, a quarterly report on Form 10-K, and to the extent not included in such Form 10-Q, an unaudited income statement and statement of cash flows for such fiscal quarter and an unaudited balance sheet and a statement of stockholder’s equity as of the end of such fiscal quarter prepared on a consolidated basis. (b) The Corporation at its sole cost and expense shall furnish to the Purchaser (in each case, for the avoidance of doubt, subject to the provisions of Section 9.5): (i) as soon as practicable, but in any event at least 30 days prior to the end of each fiscal year, a budget for the next fiscal year, prepared on a monthly basis, including income statements, balance sheets, and statements of cash flows for such months, and, as soon as prepared, any other budgets or revised budgets prepared by the Corporation; (ii) as soon as practicable, but in any event no later than 60 days after the end of each calendar year, annual fair value statements, with a December 31 year-end, prepared in accordance with International Financial Reporting Standards (“IFRS”); and (iii) as soo...

During the Forecast Period, Seller is responsible for providing to PJM notice of each Outage to the extent required by Law, the PJM Tariff or other PJM Agreements or contracts. During the Forecast Period, each of Seller and Buyer shall promptly communicate to the other all information received by it from PJM or any Governmental Authority regarding planned or in-progress Outages or Instructed Operations. Seller is responsible for providing regulatory bodies such as FERC and the Commission with Outage information (for example but not limited to, NERC outage reporting requirements) as required by Law, Permit, tariff or regulation.
Other Reporting Obligations. AMS shall prepare and file all other EH&S related reports required by federal, state, or local laws or regulations which are associated with the operation of the Business including, but not limited to, OSHA reports, reports required under the Emergency Planning and Community Right to Know Act, reports under the Toxic Substances Control Act, reports required under the Resource Conservation and Recovery Act, and/or reports required under Environmental Requirements. Upon reasonable request from Maxtor, copies of these reports shall immediately be made available by AMS to Maxtor. Requested copies of such records shall not be unreasonably withheld or delayed in delivery by AMS.
Other Reporting Obligations. Subject always to Clause 8, the Chargor shall promptly inform the Agent of any material additions to or deletions from the Collateral and shall agree to (i) any consequential amendments to any relevant Schedules with the Agent and (ii) any replacement of such Collateral as the Agent may reasonably require. If (i) the Chargor becomes aware of any action, event or circumstance which would adversely affect the value, saleability or use of any Collateral or (ii) the Chargor becomes aware of any action or proceeding by a creditor, supplier or other person to seize or repossesses any of the Collateral, then in each case it shall promptly notify the Agent in writing and provide details of the same, and at the cost of the Chargor, it shall take such action as the Agent may reasonably require regarding such action, event, circumstance or proceeding.
