Outage Planning. (i) No later than ninety (90) days prior to the Commercial Operation Date, and no later than September 1 of each year during the Delivery Term, Seller shall provide to Buyer a proposed schedule of outages planned for maintenance of the Project (each such outage a “Planned Outage”. The maximum number of hours of Planed Outage permitted in a Contract Year shall be 200 hours. Seller shall not schedule any Planned Outage that reduces the Storage Facility charging or discharging capability by more than ten percent (10%) during the months of June, July, August, and September unless (i) such outage is required to avoid significant and material damage to the Storage Facility, (ii) such maintenance is necessary to maintain equipment warranties and cannot be scheduled outside the months of June through September, (iii) such outage is required in accordance with Prudent Utility Practices, or (iv) the Parties agree otherwise in writing. (ii) Seller shall use commercially reasonable efforts to minimize the impact of any Outage, including by scheduling or completing, as applicable, such Outage during hours other than Heavy Load Hours and by minimizing the portion of Storage Contract Capacity subject to an Outage at any time. (iii) Seller shall promptly provide Buyer with notice of any Unplanned Outage, including the amount of the Storage Contract Capacity that is not available because of such Unplanned Outage and the expected return date and time of such capacity. Seller shall update such report as necessary to advise Buyer of changed circumstances. Seller shall in writing confirm any oral notice of a Unplanned Outage as soon as practicable following such notice.

Planned outages on Xxxxx-Xxxx 1 and 2 are to be co-ordinated with the other HVDC links of the Nordic area.
Outage Planning. Svenska Kraftnät shall plan the following in consultation with Statnett: - Outages or other measures on the Swedish network impacting upon the - Outages on the 400 kV line between Midskog and Järpströmmen or the 400/300 kV transformer at Järpströmmen. - Outages on one of the 220 kV lines between Grundfors and Gejmån or the 400/220 kV transformer at Grundfors. - Outages causing a major reduction of the transmission capacity in constraints 1 or 2, or the West Coast constraint in Sweden. - Control facility works at Skogssäter, Borgvik, Porjus, Ritsem and Vietas. Statnett shall plan the following in consultation with Svenska Kraftnät: - Outages or other measures on the Norwegian network impacting upon the - Outages entailing that, on the Norwegian network, there is no link between Ofoten and Rössåga. - Outages entailing that, on the Norwegian network, there is no link between Rössåga and Nea. - Outages entailing that, on the Norwegian network, there is no link between Nea and Hasle.
Outage Planning. (i) Seller shall use commercially reasonable efforts to avoid or mitigate outages during the Delivery Period. (ii) No later than the Commercial Operation Date and, thereafter, on or before first day of each Operating Year during the Delivery Period commencing with the second Operating Year, Seller shall provide Buyer with an annual schedule of all planned maintenance at the Facility for the upcoming Operating Year. (iii) Seller shall give Buyer prompt notice of any forced or unplanned outage events at the Facility if such events will curtail or adversely affect scheduled Energy deliveries or any Energy forecasts provided to Buyer. Such notice must include a description of the cause of the outage and an estimate of the duration of the outage. Seller shall provide Buyer regular and frequent updates regarding any changes of status set forth in the initial notice.
Outage Planning. The Parties shall cooperate in the advance planning of outages and switching operations reasonably anticipated to materially affect one another, including, without limitation, the loading or distribution of loads on the other Party’s Delivery Facilities. Each Party shall use Due Diligence to schedule such outages and switching operations at a time mutually acceptable to both Parties. Outage planning shall follow all applicable PJM Requirements. The impact of congestion will be considered as it affects each Party’s load in the scheduling of outages.
Outage Planning conduct effective outage planning that is designed to minimize outage time and maximize Plant availability and coordinate with and support Gulf Power’s power sales requirements.
Outage Planning. At a mutually agreed date in each Calendar Year, Contractor’s representative(s), CSA Contractor’s representative(s) and Owner’s representative(s) shall meet to discuss (i) the anticipated Covered Unit(s) outages and Planned Maintenance plan for the next Calendar Year, which will form the basis of the next Calendar Year’s Production Plan and (ii) the status of the current year outage maintenance plan.   • Transition Planning The AGENCY will be responsible for the development of the student’s Transition Plan, which begins upon entry and is completed prior to the student’s exit.

  • Business Continuity Planning Supplier shall prepare and maintain at no additional cost to Buyer a Business Continuity Plan (“BCP”). Upon written request of Buyer, Supplier shall provide a copy of Supplier’s BCP. The BCP shall be designed to ensure that Supplier can continue to provide the goods and/or services in accordance with this Order in the event of a disaster or other BCP-triggering event (as such events are defined in the applicable BCP). Supplier’s BCP shall, at a minimum, provide for: (a) the retention and retrieval of data and files; (b) obtaining resources necessary for recovery, (c) appropriate continuity plans to maintain adequate levels of staffing required to provide the goods and services during a disruptive event; (d) procedures to activate an immediate, orderly response to emergency situations; (e) procedures to address potential disruptions to Supplier’s supply chain; (f) a defined escalation process for notification of Buyer, within two (2) business days, in the event of a BCP-triggering event; and (g) training for key Supplier Personnel who are responsible for monitoring and maintaining Supplier’s continuity plans and records. Supplier shall maintain the BCP and test it at least annually or whenever there are material changes in Supplier’s operations, risks or business practices. Upon Xxxxx’s written and reasonable request, Supplier shall provide Buyer an executive summary of test results and a report of corrective actions (including the timing for implementation) to be taken to remedy any deficiencies identified by such testing. Upon Xxxxx’s request and with reasonable advance notice and conducted in such a manner as not to unduly interfere with Supplier’s operations, Supplier shall give Buyer and its designated agents access to Supplier’s designated representative(s) with detailed functional knowledge of Supplier’s BCP and relevant subject matter.

  • Multi-Year Planning The CAPS will be in a form acceptable to the LHIN and may be required to incorporate (1) prudent multi-year financial forecasts; (2) plans for the achievement of performance targets; and (3) realistic risk management strategies. It will be aligned with the LHIN’s then current Integrated Health Service Plan and will reflect local LHIN priorities and initiatives. If the LHIN has provided multi-year planning targets for the HSP, the CAPS will reflect the planning targets.

  • Strategic Planning Facilitate the effective alignment of IT requirements/ Information Resource Management (IRM) plans with strategic business plans and program initiatives. Management Improvements: Development and implementation of improved systems and business practices to optimize productivity and service delivery operations (e.g., analysis, and implementation of improvements in the flow of IT work and program processes and tool utilization, including business system analysis, identification of requirements for streamlining, re-engineering, or re-structuring internal systems/business processes for improvement, determination of IT solution alternatives, benchmarking).

  • Selection Planning Prior to the issuance to consultants of any requests for proposals, the proposed plan for the selection of consultants under the Project shall be furnished to the Association for its review and approval, in accordance with the provisions of paragraph 1 of Appendix 1 to the Consultant Guidelines. Selection of all consultants’ services shall be undertaken in accordance with such selection plan as shall have been approved by the Association, and with the provisions of said paragraph 1.

  • Planning The Operating Committee shall implement the transmission system expansion process described in Article 18. The Operating Committee shall review and approve ISO staff assessments of proposed projects that impact transmission capability to confirm that those projects meet all applicable reliability criteria. The Operating Committee shall review and approve the NYS Transmission Plan prepared by the ISO staff and reliability assessments performed using such NYS Transmission Plan, to ensure conformance with the Reliability Rules. The Operating Committee shall review and approve illustrative NYS Transmission System expansion options developed by ISO staff in response to PSC requests. The Operating Committee, at the request of a Committee member, may review the adequacy of cost recovery mechanisms for transmission expansion.

  • Financial Planning Services The Executive shall receive financial planning services, on an in-kind basis, for a period of eighteen (18) months following the Date of Termination. Such financial planning services shall include expert financial and legal resources to assist the Executive with financial planning needs and shall be limited to (i) current investment portfolio management, (ii) tax planning, (iii) tax return preparation, and (iv) estate planning advice and document preparation (including xxxxx and trusts); provided, however, that the Company shall provide such financial planning services during any taxable year of the Executive only to the extent the cost to the Company for such taxable year does not exceed $25,000. The Company shall provide such financial planning services through a financial planner selected by the Company, and shall pay the fees for such financial planning services. The financial planning services provided during any taxable year of the Executive shall not affect the financial planning services provided in any other taxable year of the Executive. The Executive’s right to financial planning services shall not be subject to liquidation or exchange for any other benefit. Such financial planning services shall be provided in a manner that complies with Treasury Regulation Section 1.409A-3(i)(1)(iv).

  • Discharge Planning If further care at home or in another facility is appropriate following discharge from the Hospital, Blue Shield will work with the Member, the attending Physician and the Hospital discharge planners to determine the most appropriate and cost effective way to provide this care.
