OUTLINE OF TERMS. Simultaneously with the execution of this Agreement, the Parties are executing the Outline of Terms. The Outline of Terms and Definitive Agreement, together with that certain Development and Licensing agreement dated May 11, 1990, between Tanox and Ciba (the "D & L Agreement"), shall among them govern the development and commercialization of one or more Anti-IgE Antibodies which have been identified and synthesized by Tanox, Ciba, or Genentech before July 1, 1996. The Parties also acknowledge that, contingent on the occurrence of certain events as set forth in Paragraphs 3.2 through 3.5 below, the Cross-License Provisions shall become effective in lieu of or in addition to the Outline of

Xxxxxx, County Judge EXHIBIT “A” INTERLOCAL AGREEMENT FOR THE ESTABLISHMENT, OPERATION AND MAINTENANCE OF THE XXXXXXXXXX COUNTY RADIO COMMUNICATIONS SYSTEM THE STATE OF TEXAS ' ' KNOW ALL BY THESE PRESENTS: COUNTY OF XXXXXXXXXX ' This Interlocal Agreement (the “Agreement”) is made and entered into by and between XXXXXXXXXX COUNTY, the CITY OF GEORGETOWN, the CITY OF ROUND ROCK, the CITY OF CEDAR PARK, and the CITY OF HUTTO/ESD #3, all of which are local governments defined as counties, municipalities, and special districts, and all of which are political subdivisions of the State of Texas.
OUTLINE OF TERMS. Under this Agreement, under the conditions described below, Stanford will lease to the City, for fifty-one years, the Xxxxxxxx Site at the corner of Page Mill Road and El Camino Real, for use by the City for the purposes defined in the lease. The City in turn will grant to Stanford the vested right to demolish and relocate 300,000 square feet of existing office development and to build 000 Xxxxxxxx Units on the cleared sites, in accordance with the rules described below. Stanford will have the vested right to use this, and certain other existing or rebuilt square footage in the Research Park, for office/research and development uses until this Agreement expires. Under this Agreement, Stanford will be permitted to exceed the floor area ratio currently allowed on certain sites by the zoning by no more than twenty five percent. The total square footage available for non-residential development in the Research Park is not increased by this Agreement. In addition City will accept the lease of the Xxxxxxxx Site as mitigation for any community service impacts on the City resulting from all future development at Stanford that was authorized by the General Use Permit approved by the County of Santa Xxxxx in December of 2000. The City also agrees not to reduce the floor area ratio in the Stanford Research Park until 2011, the year in which the City plans to review its Comprehensive Plan. Stanford agrees to build at least 250 units of housing in the Research Park at the identified sites.
OUTLINE OF TERMS. Stanford Hospital and Clinics and Xxxxxx Xxxxxx Packard Children’s Hospital provide substantial and important public benefits through operation of world-class health care facilities and provision of a Level 1 trauma center located in the City of Palo Alto. The Stanford School of Medicine, which is part of Stanford University, provides substantial and important public benefits through research that will be translated into life-saving and life-enhancing medical treatments and procedures. To comply with the requirements of state law and to provide state-of-the-art medical and research facilities, the SUMC Parties intend to replace, retrofit and enhance their facilities in the City of Palo Alto. In conjunction with certain state-mandated retrofit and replacement work, the SUMC Parties also intend to expand their hospital, clinic and medical office facilities to meet patient demand. To facilitate this, the SUMC Parties have applied to the City for a development agreement pursuant to Sections 65864-65869.5 of the California Government Code and the City’s Resolution No. 6597. Pursuant to this development agreement, the SUMC Parties would provide certain community benefits and voluntary mitigations measures. In exchange for these community benefits and voluntary mitigation measures, and in recognition of the substantial public benefits provided by the SUMC Parties’ facilities and operations, the City would vest for a period of thirty (30) years the SUMC Parties’ rights to develop and use their facilities in Palo Alto in accordance with the Project Approvals, and would streamline the process for obtaining Subsequent Approvals, as described in this Agreement.

  • Glossary of Terms Affected System - An electric system other than the transmission system owned, controlled or operated by the Connecting Transmission Owner that may be affected by the proposed interconnection. Affected System Operator - Affected System Operator shall mean the operator of any Affected System. Affected Transmission Owner -The New York public utility or authority (or its designated agent) other than the Connecting Transmission Owner that: (i) owns facilities used for the transmission of Energy in interstate commerce and provides Transmission Service under the Tariff, and (ii) owns, leases or otherwise possesses an interest in a portion of the New York State Transmission System where System Deliverability Upgrades or System Upgrade Facilities are installed pursuant to Attachment Z and Attachment S to the ISO OATT. Applicable Laws and Regulations - All duly promulgated applicable federal, state and local laws, regulations, rules, ordinances, codes, decrees, judgments, directives, or judicial or administrative orders, permits and other duly authorized actions of any Governmental Authority, including but not limited to Environmental Law. Applicable Reliability Standards - The criteria, requirements and guidelines of the North American Electric Reliability Council, the Northeast Power Coordinating Council, the New York State Reliability Council and related and successor organizations, or the Transmission District to which the Interconnection Customer’s Small Generating Facility is directly interconnected, as those criteria, requirements and guidelines are amended and modified and in effect from time to time; provided that no Party shall waive its right to challenge the applicability of or validity of any criterion, requirement or guideline as applied to it in the context of Attachment Z to the ISO OATT and this Agreement. For the purposes of this Agreement, this definition of Applicable Reliability Standards shall supersede the definition of Applicable Reliability Standards set out in Attachment X to the ISO OATT.

  • SUMMARY OF TERMS The following is a summary of the principal terms of the Lease. Any capitalized term set forth below shall, for the purposes of this Lease, have the meaning ascribed to it in this Section 1.

  • Modification of Terms The Contract contains all the terms and conditions agreed upon by the parties, which terms and conditions shall govern all transactions between the Customer and the Contractor. The Contract may only be modified or amended upon mutual written agreement of the Customer and the Contractor. No oral agreements or representations shall be valid or binding upon the Customer or the Contractor. No alteration or modification of the Contract terms, including substitution of product, shall be valid or binding against the Customer. The Contractor may not unilaterally modify the terms of the Contract by affixing additional terms to product upon delivery (e.g., attachment or inclusion of standard preprinted forms, product literature, “shrink wrap” terms accompanying or affixed to a product, whether written or electronic) or by incorporating such terms onto the Contractor’s order or fiscal forms or other documents forwarded by the Contractor for payment. The Customer's acceptance of product or processing of documentation on forms furnished by the Contractor for approval or payment shall not constitute acceptance of the proposed modification to terms and conditions.

  • Nondisclosure of Terms Each of the parties hereto agrees not to disclose the terms of this Agreement to any Third Party without the prior written consent of the other party hereto, which consent shall not be unreasonably withheld; provided that a party may disclose the terms of this Agreement without such consent to such party’s attorneys and advisors, to Third Parties in connection with due diligence or similar investigations, to potential Third Party investors, and others on a need to know basis, in each case under terms of confidentiality that are appropriate for the circumstances, or to the extent required by law.
