Participating Addenda. Participating Addenda will not be construed to diminish, modify, or otherwise derogate any provisions in this Master Agreement between the Lead State and Contractor. Participating Addenda will not include a term of agreement that exceeds the term of the Master Agreement.

The termination of this Agreement shall not result in the termination of any outstanding Participating Addendum that has not been terminated by a JBE, and this Agreement shall continue to apply to any such Participating Addendum until such time as all Work under such Participating Addendum has been completed by its terms or is terminated as provided in this Section 7; provided, however, that the term of such Participating Addendum may not exceed the expiration date of this Agreement. Issuance and acknowledgement of any Participating Addendum (as evidenced by the JBE’s and Contractor’s signature on the Participating Addendum) must be completed before the termination or expiration of this Agreement.

i. A Statement of Work addressing items specific to the Participating Entity’s engagement such as:
1. Financial Considerations such as Maximum Compensation Amount, Invoicing, Terms and Payment terms
2. Schedule of Events
3. Milestones and deliverables 4. Testing and Acceptance Requirements 5. Warranties
Participating Addenda. Participating Entities, including the state of Idaho, may negotiate additional and/or different terms and conditions in a Participating Addendum, which will take precedence over the terms of the Master Agreement in the event of conflict. Participating Entities may not negotiate the addition of services not contemplated by this RFP.

Any Request for Services placed under this Master Agreement consists of a Participating Entity’s Participating Addendum (“PA”), substantially in the form attached hereto as Exhibit B, including any Participating Entity specific terms. A Participating Entity’s specific terms in its Participating Addendum may include but are not limited to applicable methods or processes available to Purchasing Entities and their Travelers to create accounts and request Services, conditions on the security and privacy of information on individuals, and conditions on software licenses or user terms for online, on-premises, or mobile software and services.
2.2. In the event of a conflict between the terms and provisions of this Master Agreement and the terms and conditions of a Participating Addendum entered into between a Participating Entity and Contractor, the terms and provisions of the Participating Entity’s Participating Addendum will control for conflicts under that Participating Addendum.

Provisions specific to the Participating Entity’s engagement such as those relating to indemnification, taxes, limitation of liability, bonding, insurance requirements, termination, assignment, subcontracting, and approval requirements for changes to contractor staffing iv. Ordering Procedures specific to the Participating Entity
