Passwords, Access and Notification. Customer shall authorize access to and assign unique passwords and user names to its Users. Customer will be responsible for the confidentiality and use of User’s passwords and user names. Customer will also be responsible for all Electronic Communications, including those containing business information, account registration, account holder information, financial information, Customer Data, and all other data of any kind contained within emails or otherwise entered electronically through the Cloud Service or under Customer’s account. Oracle will act as though any Electronic Communications it receives under Customer’s passwords, user name, and/or account number will have been sent by Customer. Customer shall use commercially reasonable efforts to prevent unauthorized access to or use of the Cloud Service and shall promptly notify Oracle of any unauthorized access or use of the Cloud Service and any loss or theft or unauthorized use of any User’s password or name and/or Cloud Service account numbers.

Customer will provide and assign unique password and user names to each authorized User for each license purchased. Customer agrees to notify Vendor if Customer becomes aware of any loss or theft or unauthorized use of any of Customer’s passwords, user names, and/or account number. The foregoing shall also apply to any Purchase Order Forms submitted by the Customer for further User licenses.

User logins are for designated Users and cannot be shared or used by more than one User, but any User login may be reassigned to another User as needed. Any User login credentials may be reassigned to another currently employed User as needed during the current annual period (except in the case of the Onboarding Hosted Service where neither a User account nor the associated login credentials may be reassigned). Client shall use commercially reasonable efforts to prevent unauthorized access to or use of the Hosted Service and shall promptly notify Rival of any unauthorized access or use of the Hosted Service and any loss or theft or unauthorized use of any User’s password or name and/or Hosted Service account numbers.

Customer is responsible for controlling employee access and is prohibited from sharing passwords and/or user names with any unauthorized user. Any electronic communications that MARKING SERVICES receives via Customer’s accounts will be deemed to have been sent by Customer. Customer agrees to immediately notify MARKING SERVICES if Customer becomes aware of any loss or theft or unauthorized use of any of Customer’s user names, password, and/or account number.

User logins are designated to specific Users and cannot be shared or used by more than one User. Customer will be solely responsible for securely storing, managing and deploying any passwords or other security devices not a part of the System which may be used by Customer and/or Users to protect Customer Data and may be required from time to time to access the Service. Customer will also be responsible for all means of all transfers of signs, signals, text, images, sounds, data or intelligence of any nature transmitted in whole or part electronically through the Service (“Electronic Communications”), including those containing business information, account registration, account holder information, financial information, Customer Data and all other data of any kind contained within emails or otherwise entered electronically through the Service or under the Customer’s account. IVDesk shall have no responsibility for unauthorized access to Customer Data or Confidential Information that results from Customer’s actions or failure to keep their assigned passwords secure. IVDesk reserves the right to change passwords and User Name whenever, in its sole discretion, IVDesk deems it necessary to protect the Service. In the rare instance that such change is made by IVDesk, it will be immediately made available to Customer.
