Performance of Management Functions. Company shall use its best efforts to manage the day-to-day operations of the Main Practice Office and any Satellite Offices in a business-like manner. Company shall provide or arrange for the services set forth in this Article V, the cost of all of which shall be included in Clinic Expenses. Company is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Practice Office operations in accordance with the general standards approved by the Policy Board and to maintain the lease agreements for each of the Practice Offices, including, without limitation, performance of some of the business office functions at locations other than the Main Practice Office. ROAII will not act in a manner which would prevent Company from efficiently managing the day-to-day operations of the Main Practice Office and maintaining the operations of the Satellite Offices in a business-like manner.
Performance of Management Functions. IPS shall provide or arrange for the services set forth in this Article 4, the cost of which shall be included in Practice Expenses (hereinafter defined). IPS is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day to day requirements of practice operations in accordance with the general standards approved by the Policy Board, including, without limitation, performance of some of the business office functions at locations other than the Practice locations. Provider will not act in a manner which prevents IPS from efficiently managing the day to day operations of the Practice in a business like manner.
Performance of Management Functions. Manager may provide or arrange for others to provide the Managerial Services called for by this Agreement; provided, however, before any party other than Manager may provide such services, QCN, Ltd. must have approved the provision of such services by such party in writing. Manager shall perform the Managerial Services in accordance with those general standards and instructions of QCN, Ltd. which have been provided to Manager in writing. Manager covenants and agrees that, at all times during the performance of its Managerial Services, it will adhere to the Mission, Vision, Values and Policy on Quality of MHS, a copy of which is attached hereto as EXHIBIT "B" and incorporated herein by reference for all purposes, and further covenants and agrees that it will adhere to the Social Principles of The United Methodist Church in the form attached hereto as EXHIBIT "C" and incorporated herein by reference for all purposes.
Performance of Management Functions. PHYN shall provide or arrange for the services set forth in this Article 5 in a competent and efficient manner, and in accordance with the operating and capital budgets approved by the Operating Board. The cost of all of such services shall be included in Clinical Facility Expenses. PHYN shall be responsible for paying all Clinical Facility Expenses. PHYN is hereby expressly authorized to perform its services hereunder in a manner it determines in good faith to be reasonably appropriate to meet the day-to-day requirements of the Practice's operations. The Practice will not act in a manner which would prevent PHYN from efficiently managing the day-to-day operations of the Practice in a business-like manner, and PHYN will not interfere with any physician-patient relationship.

Response shall provide or arrange for the services set forth in this Article 5, the cost of all of which shall be paid by Response and included in Clinic Expenses. Response is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Clinic operations in accordance with the general standards approved by the Oversight Committee, including, without limitation, performance of some of the business office functions at locations other than a Clinic. Oncology will not act in a manner which would prevent Response from efficiently managing the day-to-day operations of each Clinic in a business-like manner.
Performance of Management Functions. RHS and the Clinic hereby delegate to Manager and PhyCor (to the extent set forth herein), and Manager and PhyCor (to the extent set forth herein) hereby assume the responsibility to provide or arrange for the services set forth in this Section 2 for the benefit of the Clinic and its operations. Manager and PhyCor shall use their best efforts to implement and follow the policies and directives as dictated by the Policy Board or the RHS Board of Directors, as applicable, in performing their duties hereunder, and in a manner consistent with the mission of RHS and the Clinic. RHS and the Clinic agree to cooperate to the fullest extent possible in Manager's day-to-day management operations of the Clinic to assist the Manager in accomplishing the goals and objectives of the Work Plan, and the goals and directives established by the Policy Board and the Chief Executive Officer of RHS. RHS and the Clinic hereby acknowledge that Manager shall, subject to patient confidentiality legal requirements, be granted reasonable access to the data and systems of RHS and the Clinic relating to the operations of the Clinic in the performance of Manager's duties pursuant to this Agreement.

Beginning with the effective date of this Agreement, Manager shall provide or arrange for the services set forth in this Article V and otherwise as set forth in this Agreement, the cost of all of which shall be included in Manager Expenses. Manager is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Practice operations in accordance with the decisions of the Policy Board, including, without limitation, performance of some of the business office functions at locations other than Practice. Practice will not act in a manner which would prevent Manager from efficiently managing the day-to-day operations of Practice in a business-like manner.

Beginning with the effective date of this Agreement, Manager shall, as a fiduciary of the Practice, provide or arrange for the services set forth in this Article V and otherwise as set forth in this Agreement, the cost of all of which shall be included in Manager Expenses. Manager is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Practice operations in accordance with the decisions of the Policy Board, including, without limitation, performance of some of the business office functions at locations other than Practice. Practice will not act in a manner which would prevent Manager from efficiently managing the day-to-day operations of Practice in a business-like manner. Notwithstanding the foregoing, Manager may not assign its obligations hereunder or contract with a third party for the performance of substantially all of its obligations hereunder except as expressly permitted by Section 12.1 below.

Manager is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of Practice operations in accordance with the decisions of the Executive Committee, including, without limitation, performance of some of the business office functions at locations other than Practice. It is the intention of the parties hereto that Manager shall fulfill its obligations hereunder through the Executive Director and his utilization of the assets and employees of Practice and third parties to do so. Practice will not act in a manner which would prevent Manager from efficiently managing the day-to-day operations of Practice in a business-like manner. It is specifically agreed that Manager shall not be in default hereunder due to the absence of an Executive Director if Manager is diligently trying to find an individual to serve in that position and is using other resources to manage the Clinic in the 9 interim.

Manager is hereby expressly authorized to perform its services hereunder in whatever manner it deems reasonably appropriate to meet the day-to-day requirements of IPA operations in accordance with the general standards approved by the governing body of IPA, including, without limitation, performance of some of the business office functions at locations other than the office of IPA. IPA will not act in a manner that would prevent Manager from efficiently managing the day-to-day operations of IPA in a business-like manner.
