Personnel and Payroll. Premier will consult with the Orthodontic Entity on its staffing needs. Premier will employ the staff determined by the Orthodontic Entity to be necessary for the Center's operations, as specified on Exhibit 1.3, except for the Orthodontists and orthodontic and hygienist staff, who will be employed by the Orthodontic Entity. At the election of the Orthodontic Entity, Premier will additionally assist in staff scheduling, administer the Center's payroll and provide payroll accounting services. The parties expressly agree that the Orthodontic Entity will have discretion and control over all personnel and staffing matters in respect to the Center's staff.
Personnel and Payroll. PQC shall arrange for the provision to --------------------- Medical Group of all administrative personnel deemed necessary by PQC, in consultation with the Joint Policy Board, for the operation of Medical Group (the "Administrative Staff"). PQC shall also arrange for the provision to Medical Group of all Clinical Staff reasonably deemed necessary by PQC, in consultation with Medical Group and the Joint Policy Board, for the efficient, professional operation of Medical Group. All members of the Clinical Staff shall be employees of Medical Group. All members of the Administrative Staff on the Effective Date shall be employees of Medical Group. Subject to the provisions of Section 2.5 and this Section and in consultation with Medical Group and the Joint Policy Board, PQC shall be responsible for recruiting, hiring, discharging and determining the compensation, benefits and conditions of employment of the Administrative Staff and Clinical Staff. PQC shall perform all payroll and payroll accounting transactions for the Administrative Staff, the Clinical Staff and the Medical Group Physicians. Any member of the Administrative Staff and Clinical Staff may, upon assignment by PQC following consultation with the affected Pods, provide services to more than one (1) Pod. If any Medical Group Physician is dissatisfied with the services of any employee who provides services for such Medical Group Physician at a Practice Location, PQC, after consultation with the Joint Policy Board, shall in good faith determine whether the performance of that employee could be brought to acceptable levels through counsel and assistance, or whether the employment of such employee should be terminated. If PQC determines to retain such employee and the Medical Group Physician is still dissatisfied with such employee's services after a two (2) month period, PQC shall either relocate such employee or otherwise cease to use such employee unless PQC reasonably determines that such termination may expose Medical Group to liability.

Subject to the foregoing, CDS will consult with and advise the Dental Practice Entity on the Dental Centers' staffing needs and on the hiring and employment of the Dental Centers' staff. CDS will employ all of the Dental Centers' staff, except for the Dentists and dental hygienists, if any, as required by the Dental Practice Entity. Additionally, CDS will be responsible for staff scheduling and for the performance of all payroll and payroll accounting functions in accordance with Dental Practice Entity's instructions. CDS will advise the Dental Practice Entity on the establishment of incentive and profit sharing plans for the Dental Centers' staff to reward individuals for contributing to increased productivity in the Dental Center.

Except for the Surgeons and other personnel required by applicable state laws or regulations to be employed by the Practice, BII shall employ all of the staff reasonably required for the operation of the Center, as determined by the Practice in consultation with BII. Additionally, BII shall be responsible for the performance of all payroll and payroll accounting functions.

OTX shall employ or otherwise retain all management, clerical, secretarial, bookkeeping, accounting, payroll, billing and collecting, and other nonprofessional or nonlicensed personnel (the "Staff") as OTX deems reasonably necessary and appropriate for the Orthodontix Professional and shall be responsible for Staff scheduling, provided, however the Orthodontix Professional shall have complete and absolute authority over and control all decisions related to hours of operation of the Orthodontix Professional. OTX shall have the sole responsibility and authority for determining the salaries and fringe benefits of personnel employed by or retained by OTX, and for paying such salaries and fringe benefits. The parties acknowledge that OTX personnel retained by OTX may from time to time perform services for persons other than the Orthodontix Professional and this Agreement shall not prevent OTX from performing such services for others or restrict OTX from using its personnel to provide services to others, provided, that such activity does not materially, adversely affect the services to be provided by OTX hereunder.
