PIPELINES AND FACILITIES. [Note: For Deep Sea Blocks] 16.1 At any time following the declaration of Commercial Discovery, Contractor shall have the right to construct and to operate one or more Pipeline(s) or alternative transportation facilities within or from the Contract Area to one or more points in Bangladesh for the purpose of transporting Petroleum, from any Production Area to Measurement Point(s) in Bangladesh, at Contractor's option or jointly with other parties. For the purpose of this Contract, a Pipeline shall include related facilities. 16.2 If the Contractor constructs and operates the Pipeline(s), Contractor shall submit a Development Plan for construction of such Pipeline(s) to Petrobangla, which includes the following information and components: (a) the right of way and surface acreage for the trunk line or spur lines and any loops, lateral lines, feeder lines or branch lines, any pumping stations, measurement stations, valves, compressor stations, storage tanks, loading facilities (excluding port and terminal facilities) and any other facilities for the pumping, compression, measurement, or handling of the Petroleum or cleaning or maintenance of the pipeline and other related facilities; (b) the anticipated throughputs and capacity of the various components of the Pipeline; (c) a proposed operating cost and tariff arrangement between the various companies utilizing the Pipeline. (d) an estimate of the anticipated capital investments and operating costs related to the Pipeline; (e) the technical description of the Pipeline and the specifications and standards used for construction and operations; (f) the proposed construction methods and testing procedures; (g) the remedial measures that may be required to remedy environmental or other damages as well as contingency plans in case of any accidents or spills; (h) a draft pipeline agreement for construction; and (i) such other information as may be required by existing pipeline regulations. 16.3 Petrobangla shall review such information and suggest such changes as may be essential in the national interest or as may be required by applicable law or conditions in the Pipeline development plan by Contractor. 16.4 Priority in the use of Pipeline built by Contractor will be given to transportation of Petrobangla’s and Contractor’s Petroleum from the Contract Area or any other area in Bangladesh held by Contractor. PIPELINES AND FACILITIES. The Company and the Company Subsidiaries, as applicable, have good and valid title to all of the material Pipelines and Facilities free and clear of all Liens other than Permitted Liens. To the Knowledge of the Company, the Pipelines and Facilities are in such working order and state of repair (subject to ordinary wear and tear, maintenance and repairs made in the Ordinary Course of Business, and provided that various expansion projects will be in progress as of the Closing), as to be adequate taken as a whole, in all material respects, for normal operations consistent with the Company’s and Company Subsidiaries’ current practices and operations.

PIPELINES AND FACILITIES. Farmor currently has a pipeline on the Lease under Right-of-Way OCS-G 25263, Segment No. 14221 which ties in to the High Island 52 "A" Platform. Should Farmee earn as assignment as provided herein, Farmee shall have the right to tie-in to Farmors' pipeline if it so desires. Should Farmee tie-in to said pipeline, then Farmor shall have the option to assign said Right-of-Way OCS-G 25263 to Farmee and Farmee shall have the responsibility and liability to abandon said pipeline. Farmor shall also have the option to assign and convey to Farmee any facilities owned by Farmor on the High Island 52 "A" Platform and Farmee shall have the responsibility and liability to abandon said facilities.

  • Services and Facilities The Procuring Entity shall make available to the Service Provider the Services and Facilities listed under Appendix F.

  • Underground Facilities All underground pipelines, conduits, ducts, cables, wires, manholes, vaults, tanks, tunnels, or other such facilities or attachments, and any encasements containing such facilities, including without limitation those that convey electricity, gases, steam, liquid petroleum products, telephone or other communications, cable television, water, wastewater, storm water, other liquids or chemicals, or traffic or other control systems.

  • Pipelines Developer shall have no interest in the pipeline gathering system, which gathering system shall remain the sole property of Operator or its Affiliates and shall be maintained at their sole cost and expense.

  • Interconnection Facilities 4.1.1 The Interconnection Customer shall pay for the cost of the Interconnection Facilities itemized in Attachment 2 of this Agreement. The NYISO, in consultation with the Connecting Transmission Owner, shall provide a best estimate cost, including overheads, for the purchase and construction of its Interconnection Facilities and provide a detailed itemization of such costs. Costs associated with Interconnection Facilities may be shared with other entities that may benefit from such facilities by agreement of the Interconnection Customer, such other entities, the NYISO, and the Connecting Transmission Owner. 4.1.2 The Interconnection Customer shall be responsible for its share of all reasonable expenses, including overheads, associated with (1) owning, operating, maintaining, repairing, and replacing its own Interconnection Facilities, and

  • Location and Facilities The Executive will be furnished with the working facilities and staff customary for executive officers with the title and duties set forth in Section 1 and as are necessary for him to perform his duties. The location of such facilities and staff shall be at the principal administrative offices of the Company and the Bank, or at such other site or sites customary for such offices.
