Preparation for Inspection. At the execution of this Agreement, Seller shall deliver to Purchaser copies of the following to the extent not previously delivered to Purchaser: (The Inspection Period shall be extended as a result of any delays by Seller in producing the items requested herein unless the Seller does not have them and notifies Purchaser with an extension of time to reflect delays of notification.) The current rent roll for the Property; detailed statements of income and expenses with respect to the Property for the past two years; the most recent tax bills for the Property; utility bills for the Property for the twelve (12) months previous to the date hereof; all contract, mortgages, and other documents creating liens of security interest on the Property, or any part thereof and all promissory notes secured thereby; all insurance policies applicable to the Property to include loss runs for the last three (3) years; Plans and Specifications for the Property to the extent in Seller's possession, service contracts, Certificates of Occupancy to the extent reasonably available; a copy of title policy and most recent survey for the Property. A copy of any environmental or engineering reports on the property. The rent roll shall be certified by Seller to be materially accurate and complete to Seller's knowledge. Except as expressly set forth in this Agreement, the delivery of the documents by Seller does not constitute a representation (expressed or implied) by Seller of the truth, accuracy, source or completeness of such information and Purchaser agrees to look to its own inspection and studies to determine such matters. However, Seller warrants that all such documents were used by Seller in the ordinary course of business and were produced from Seller's files.

Preparation for Inspection. 2.3.1.1 Review and understand DSA approved plans, specifications, addenda, change orders and Field Change Documents relevant to the tasks to be performed. Review shop drawings, manufacturer’s instructions, or other related documents which do not require the approval of DSA.
2.3.1.2 Coordinate with testing laboratory for any sampling and testing requirements. Coordinate with project inspector on the interface of the work inspected with other aspects of the work.
2.3.1.3 Verify that all materials, existing conditions, tools, consumables, formwork, shoring and other items that may affect working conditions meet requirements of DSA approved documents. Verify that construction workers are appropriately certified when required. 2.3.2 Inspection

All these items shall be certified BY Seller's management company to be accurate and complete to the best of its knowledge and belief.

At the execution of this Agreement, Seller shall deliver to Purchaser copies of the following documents: The current rent roll for the Property; a detailed statement of income and expenses with respect to the Property for the period January 1, 1996 through October 31, 1997, however, if available, Seller shall make books and records available for November and December 1997; the tax xxxx for the Property for the calendar year 1997; utility bills for the Property for the period November 1, 1996 through October 31, 1997 however, if available, Seller shall make books and records available for November and December 1997; any contract, mortgages, and other documents in the possession of the Seller which create a lien or security interest on the Property, or any part thereof and all promissory notes secured thereby; all insurance policies applicable to the Property including loss runs for the calendar years 1995, 1996 and 1997; all service contracts, Certificates of occupancy in the possession of or readily available to the Seller; and a copy of any environmental or engineering reports on the Property in the possession of or readily available to the Seller. All these documents shall be accompanied by a certification by Seller stating that they are accurate and complete to the best of its knowledge and belief as of the date of delivery.

Upon substantial completion of the Property (substantial completion shall be certified by the architect or engineer that Seller and Purchaser have agreed upon as the authority), Seller shall deliver to Purchaser copies of the following: The current rent roll for the Property; detailed statements of income and expenses with respect to the Property for the past two years; the most recent tax bills for the Property; utility bills for the Property since initial occupancy; all insurance policies applicable to the Property to include loss runs; "as-built" Plans and Specifications for the Property, service contracts, Certificates of Occupancy, to the extent reasonably available; a copy of the title policy and most recent survey for the Property. A copy of any environmental or engineering reports on the property, if any. All these items shall be certified by Seller to be accurate and complete to the best of its knowledge and belief. In addition, Seller shall deliver a "notice of time for final inspection".

PURCHASER ACKNOWLEDGES THAT ALL INFORMATION AND REPORTS DELIVERED OR TO BE DELIVERED BY SELLER OR ITS AGENTS OR CONSULTANTS TO PURCHASER ARE BEING MADE AVAILABLE SOLELY AS AN ACCOMMODATION TO PURCHASER AND MAY NOT BE RELIED UPON BY PURCHASER IN CONNECTION WITH THE PURCHASE OF THE PROPERTY. HOWEVER, SELLER WARRANTS THAT ALL RECORDS GIVEN TO THE PURCHASER WERE PREPARED IN THE ORDINARY COURSE OF BUSINESS AND WERE RELIED UPON BY THE SELLER. PURCHASER AGREES THAT SELLER SHALL HAVE NO LIABILITY OR OBLIGATION WHATSOEVER FOR ANY INACCURACY IN OR OMISSION FROM ANY REPORT. PURCHASER HAS CONDUCTED, OR WILL CONDUCT PRIOR TO THE EXPIRATION OF THE INSPECTION PERIOD, ITS OWN INVESTIGATION OF THE PHYSICAL CONDITION OF THE PROPERTY TO THE EXTENT PURCHASER DEEMS SUCH AN INVESTIGATION TO BE NECESSARY OR APPROPRIATE. Purchaser and its representatives shall hold in strictest confidence all data and information obtained with respect to the Property, whether obtained before or after the execution and delivery of this Agreement, and shall not disclose the same to others; provided, however, that it is understood and agreed that Purchaser may disclose such data and information to the employees, lenders, consultants, accountants and attorneys of Purchaser or as otherwise may be required by law.
