PRODUCER SERVICES. Producer will service Altius Plan members enrolled through applications submitted by Producer. Such service will include but not be limited to the following: (a) Acting as a liaison between the member and Altius if requested by Altius or the member including, but not limited to, the following: Assisting the member to take the proper action in connection with Altius coverage when there is a change of address, change in marital status or change in dependent status and assisting a family member/dependent to obtain coverage when he or she is no longer entitled to coverage as a family member, e.g., when a dependent child reaches the limiting age, or upon divorce. (b) Maintaining a working and current knowledge of the Altius Plan(s) designated on Exhibit 2 and the ability to explain the benefits and/or coverage.

PRODUCER SERVICES. Xxxxxx Xxxxxxxxx must actually and actively render producing services on each Picture (it being acknowledged that the parties contemplate Beacon delivering four (4) Pictures per year to Universal, each of which will be produced by Xx. Xxxxxxxxx), and must receive appropriate producer or executive producer in connection with each Picture. If at any time, for any reason, Xx. Xxxxxxxxx ceases or fails to render producer services on a Picture, or becomes incapable of rendering producer services on future pictures, or is no longer an employee or principal of Beacon, Universal shall have the right in its sole discretion to terminate this agreement.
PRODUCER SERVICES. 3.1 The PRODUCER shall undertake and perform the duties and responsibilities commonly associated with acting in the capacities of a PRODUCER. The PRODUCER agrees that their duties may be reasonably modified at the Company’s and the PRODUCER’s mutual agreement from time to time. 3.2 In providing the Services the PRODUCER shall: comply with all applicable local, state, provincial, national and federal statutes, laws and regulations; not make any misrepresentation or omit to state any material fact which results in a misrepresentation regarding the business of the Company; not disclose, release or publish any information regarding the Company without the prior written consent of the Company; and not employ any person in any capacity, or contract for the purchase or rental of any service, article or material, nor make any commitment, agreement or obligation whereby the Company shall be required to pay any monies or other consideration without the Company's prior written consent as provided by the Company's Board of Directors.
PRODUCER SERVICES. (a) Each Recording recorded hereunder shall be produced, subject to paragraph 4, by a producer mutually approved by you and Company. You shall be solely responsible for the engagement of such producer and for the payment of all monies becoming payable to such producer, unless such producer is a Staff Producer (as defined in subparagraph 8(b). In the event Company elects to pay any such producer directly, Company may deduct or recoup such payment from all monies payable to you under this agreement or any other agreement. Company agrees to comply with Artist's reasonable request to pay any producer directly, however, failure of Company to comply with Artist's request shall not be deemed to be a breach hereof. (b) With respect to Recordings produced by a mutually approved producer rendering services pursuant to an agreement with Company (other than an agreement relating solely and specifically to those particular Recordings) ("Staff Producer"), Company shall deduct from the applicable Recording Advance for such Recordings a sum equal to Four Thousand Dollars ($4,000.00) times the number of such Recordings, which sum shall constitute Recording Costs. Additionally, you hereby direct Company to deduct from all monies payable to you under this agreement or any other agreement a royalty computed at a Basic U.S. Rate of four percent (4%) for Net Sales of Singles, Maxi-Singles, EPs and Albums with royalties for all other uses (e.g., foreign sales, clubs, licensing, etc.) calculated, reduced and paid in the same manner as your royalties are calculated, reduced and paid for similar Net Sales under this agreement.

PRODUCER SERVICES. During the term of this Agreement, RMS will be the exclusive producer and supplier of, and will produce and/or supply, all Elements in the Sales Floor Shows for broadcast, air and play on the Network. ADVANCE will produce and supply, or cause to be produced or supplied, all Ads in the Sales Floor Shows for broadcast, air and play on the Network.

Provided that you provide Company with a copy of the payment provisions of your agreement with such mutually approved producer, Company shall not refuse to comply with your request to pay such producer solely on the basis that such request is for the Producer royalty to be paid to such producer retroactive to record one after recoupment of Recording Costs, other than the Producers advance, at the royalty rate payable to you hereunder net of any such royalty requested to be paid to such producer, (i.e. Artist Royalty less the Producer Royalty). (b) Maintaining a working and current knowledge of the PacifiCare P!an(s) designated on Exhibit 2 and the ability to explain the benefits and/or coverage.
PRODUCER SERVICES. Producer shall furnish all customary television production services required in compliance with Company’s requirements, including, without limitation, hiring talent and crew, filming, securing locations and required permissions, timely administrating all payroll, taxes, tax credits and the like, undertaking all necessary legal clearances and obtaining and delivering to Company all rights, clearances, permissions and releases (however denominated) required for Company’s full exhibition, exploitation, advertising and promotion of the Series, each Episode, and all other Material (as defined herein), and in compliance with Company’s Production Manual or instructions as provided to Producer by Company. Producer will provide non-exclusive but first priority and real, meaningful, substantial, material hands-on executive producing services with no other services materially interfering with the services hereunder during production and post production periods through delivery of the Series.

  • Our Services As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. We offer a wide range of products and services which may include: • Offering you a single or range of products from which to choose a product that suits your insurance needs; • Advising you on your insurance needs; • Arranging suitable insurance cover with insurers to meet your requirements; • Helping you with any subsequent changes to your insurance you have to make; • Providing all reasonable assistance with any claim you make. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered. This is a “one-stop” service that enables us to assist you with any claim you may incur. By purchasing motor insurance from us, you authorise Coversure and its agents to take all necessary actions to handle your claim including dealing with your insurers, third parties and their insurers and other service suppliers on your behalf. For all other policies, including optional additional products and premium finance (if relevant), before the insurance contract is concluded and after we have assessed your demands & needs, we will provide you with advice and make a personal recommendation. This will include sufficient information to enable you to make an informed decision about the policy that we have recommended, together with a quotation which will itemise any fees that are payable in addition to the premium. This documentation will also include a statement of your demands and needs. You should read this carefully as it will explain reasons for making the recommendation we have made.

  • Provider Services Charges for the following Services when ordered by a Physician for the treatment of an Injury or Illness.

  • Pharmacy Services The Contractor shall establish a network of pharmacies. The Contractor or its PBM must provide at least two (2) pharmacy providers within thirty (30) miles or thirty (30) minutes from a member’s residence in each county, as well as at least two (2) durable medical equipment providers in each county or contiguous county.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Billing Services 6 SECTION 3.01.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary. b) Program Member acknowledges that the Program Services are services that are not covered services under any insurance contract to which Program Member may be a party, including, without limitation, Medicare, and are not reimbursable by Program Member’s insurer, health plan or any governmental entity, including Medicare. Program Member agrees to bear sole financial responsibility for the Member Amenities Fee and agrees not to submit to Program Member’s insurer, health plan or governmental entity any xxxx, invoice or claim for payment or reimbursement of such Member Amenities Fee. c) Personalized Care Practice or its designated affiliate will separately charge Program Member or Program Member’s insurer, health plan or governmental entity for medical, clinical, diagnostic or therapeutic services rendered by Personalized Care Practice or its designated affiliate to Program Member, and Program Member may seek payment or reimbursement from Program Member’s insurer or health plan for any such service to the extent covered by Program Member’s insurer, health plan or governmental entity. d) Program Member understands, agrees and covenants that this Agreement is a service contract, and not a contract for insurance.
