Product Packaging and Labeling. Nipro shall be responsible for ------------------------------- packaging and labeling (including without limitation any final packaging and labeling), (i) each FreeStyle Product (other than the Strip Package) supplied to Nipro by TheraSense hereunder, (ii) the Lancets, and (iii) all printed materials to be inserted within or upon such packaging, in each case, subject to TheraSense's prior review and written approval, such approval not to be unreasonably withheld (the "Packaging Materials"). Once a particular Packaging Material has been approved by TheraSense, it may be used by Nipro without further approval from TheraSense. Nipro shall be also responsible for ensuring that all FreeStyle Products and Lancets are packaged and labeled in accordance with the requirements of all applicable regulatory authorities in Japan, including without limitation the requirements set forth by the Japan Ministry of Health and Welfare ("JMHW"). Except for the addition of information required by applicable laws and regulations, Nipro shall not re-label FreeStyle Products supplied to Nipro by TheraSense hereunder without the prior written consent of TheraSense.
Product Packaging and Labeling. 4.7.1 Product, Packaging and Labeling. TheraSense shall deliver each ------------------------------- FreeStyle Product to Disetronic, its Affiliate, or its Subdistributor, as instructed by Disetronic in each in purchase order. Each FreeStyle Product shall be delivered in a Package containing the FreeStyle Product together with a Strip package insert and/or a System Kit owners booklet.

Each Product and Existing Accessory marketed and sold by (or on behalf of) Orthovita under this Agreement to a Third Party shall be marked (to the extent not prohibited by law): (a) with a notice that such Product or Existing Accessory (as applicable) is sold by Orthovita under a license from Angiotech; (b) with all patent and other intellectual property notices pertaining to all relevant Licensed Patents; (c) with the Angiotech Trademark ANGIOTECHKNOWLEDGY® (or other Angiotech Trademark(s) that Angiotech may wish to substitute therefor during the Term upon the reasonable prior written notice to Orthovita, it being understood Orthovita shall be free to utilize any existing inventories of promotional materials, Products and/or Existing Accessories containing the previous Angiotech Trademark prior to such substitution); and (d) with respect to a CellPaker Product with the Angiotech Trademark CELLPAKER® (or other Angiotech Trademark(s) that Angiotech may wish to substitute therefor during the Term upon the reasonable prior written notice to Orthovita, it being understood Orthovita shall be free to utilize any existing inventories of promotional materials, CellPaker Products containing the previous Angiotech Trademark prior to such substitution). Solely for purposes of fulfilling Orthovita’s obligations under this Section 3.4 with respect to the Angiotech Trademarks ANGIOTECHKNOWLEDGY® and CELLPAKER® (or other Angiotech Trademark(s) that Angiotech may wish to substitute therefor during the Term), Angiotech grants to Orthovita a non-exclusive right and license to use such Angiotech Trademarks for this limited purpose.

In addition, except for the addition of information required by applicable laws and regulations within the Territory, JVC shall not relabel Products supplied to JVC by CBI in Japanese or English without the prior written consent of CBI. CBI hereby agrees that, subject to the terms and conditions of Section 14, JVC may label the Products with the JVC tradename and trademarks, provided JVC agrees to label all Products with the following legend in the Japanese language: "Distributed under authority from Ciphergen Biosystems, Inc.", or a substantially equivalent legend.
Product Packaging and Labeling. 11.1. Party B shall pack, package, and handle the Products in accordance with all prints and designs provided by Party A, and in packaging provided by or approved in writing by Party A, and in accordance with packaging instructions or specifications of Party A.

Subject to Clause 6.1 to Clause 6.4, NT Pharma shall control the content and type of all Packaging Specifications (and any changes or supplements thereto) for Product in the Territory, and shall be responsible, at its own expense, for performing any repackaging with respect to the secondary packaging of the Product as necessary to comply with Applicable Law or commercial requirements in the Territory.

ArthroCare shall, at ArthroCare’s expense, provide with the Licensed Products, any labels, instructions for use and other support materials used in connection with the sale of the Licensed Products within the United States. ArthroCare shall, at Collagen’s expense, provide with the Licensed Products translations of any labels, instructions for use, and other support materials used in connection with the sale of the Licensed Products outside of the United States. Collagen shall not repackage Licensed Products supplied to Collagen by ArthroCare hereunder without the prior written consent of ArthroCare. In addition, except for the addition of information required by applicable laws and regulations, Collagen shall not relabel Licensed Products supplied to Collagen by ArthroCare hereunder without the prior written consent of ArthroCare.
