Project Delays. Consultant will make all reasonable efforts to comply with the Project Schedule as stated in the Attachment Two to the Schedule(s), Schedule of Completion. In the event the Project Schedule will be delayed, Consultant will notify Valley Water Project Manager as soon as possible, providing the reason why, the length of the delay, and a description of the actions being taken to address the delay. In the event Consultant is delayed in performance of its services by circumstances beyond its control, Valley Water may, at its discretion, grant a reasonable adjustment in the Project Schedule.
Project Delays. If the Engineer is required to perform additional Engineering Services due to delays by the imposition of causes not within the Engineer’s control, such as by the re-advertisement of bids or by the delinquency or insolvency of contractors, such services associated with these delays shall be considered additional services, and the Engineer shall be compensated by the Owner for such extra services and expense in accordance with Article 8 hereof. Owner and Engineer shall execute a Supplemental Agreement setting forth such terms.
Project Delays. Contractor shall notify SBAC, in writing, within five (5) days of when Contractor knew or reasonably should have known of the impact of an occurrence of an event that may result in a delay of the performance of the Services. Thereafter, Contractor and SBAC shall immediately enter into discussions to arrive at a mutually satisfactory revision to the time of completion of the Services and/or compensation for the Services.
Project Delays. In the event Sponsor delays, suspends or places a hold on the Study for any reason, Sponsor shall promptly provide Worldwide with written notice of such delay, hold or suspension, and Sponsor and Worldwide will, [***] of such notice, [***] to this Agreement and each Party will complete its respective duties and obligations as described in any resulting Change Order. During the period following Worldwide’s receipt of Sponsor’s notice of delay, hold or suspension, if Sponsor desires Worldwide to continue the assignment of certain Worldwide Study personnel to the Study, [***] to Worldwide hereunder, Sponsor agrees that it shall [***] associated with such continued assignment at [***], such [***] to be agreed upon by the Parties prior to commencement of the delay, as evidenced by a Change Order. Said personnel fees shall be [***] and shall be due and payable by Sponsor within [***] days of Sponsor’s receipt of Worldwide’s invoice. If Sponsor does not wish to retain certain Worldwide Study personnel for the duration of the delay or on hold period, Worldwide shall have the right to reallocate any and all such staff after [***] day period. If the delay or on-hold period continues for [***] either Party may, by provision of written notice, terminate this Agreement without penalty.
Project Delays. Physician will inform Company as early as possible of any anticipated delays in meeting the timeframes and of the actions being taken to assure completion of the Services and Inventions within a time period acceptable to Company.

Project Delays. 2.5.1 Each Party shall through the JPT, notify the other promptly in the event of an actual or predicted material Project Delay, due to circumstances outside either Party’s control. A “Project Delay” means a material delay to the timelines of the applicable Project Schedule. Such Project Delay will be discussed by the Joint Project Team and if required the JSC to agree upon the impact and potential appropriate remedial action.
Project Delays. Each Party shall promptly communicate to the other Party any and all difficulties that might materially affect the timely completion of any milestone set forth in the relevant SOW and where possible estimate the probable or actual impact to the aforesaid milestone resulting from such difficulties, and any actions which might favorably resolve such difficulties. To the extent the completion of any activity defined in an SOW and required to be performed by either Party is delayed by such Party, there shall be an extension equal to such delay in the target completion dates of all subsequent dependent activities set forth in the SOW; provided, however, that each Party shall use commercially reasonable efforts to meet Project milestones.
Project Delays. If DAOU's ability to perform its obligations hereunder are materially delayed by virtue of Client's conduct or demands, DAOU's Executive Administrator and Client's Contract Administrator shall meet to discuss reasonable additional fees which Client might be required to pay DAOU based on the actual cost of the delay.
Project Delays. If Matrix is delayed at any time in performing the Services for any specific project or activity by an act, failure to act, or neglect of the CLIENT or the CLIENT'S employees or any third parties; by changes in the scope of work; by unforeseen circumstances including delays authorized by the CLIENT and agreed to by Matrix; by acts of force majeure including, without limitation, fires, floods, riots, and strikes; by delays caused by foreign or domestic governmental acts or regulations; or by any cause beyond the reasonable control of Matrix, then the time for completion of the Services shall be extended based upon the impact of the delay. Matrix shall receive an adequate compensation adjustment if the delays caused by any of the above result in changes, require additional services, or result in additional costs to Matrix.
