Material Delay definition

Material Delay means with respect to all Exclusive Air Transportation Services operated by any of the Air Carriers, an arrival greater than 15 minutes after the scheduled arrival time for any Blade Flight; provided, however, that in determining whether a flight has experienced a “Material Flight Delay,” delays attributable to factors outside the relevant Air Carriers’ direct control shall be excluded from this definition.
Material Delay. (i) a late delivery of the Product caused by GRC's instructions, changes, or modifications to the Products (including purchase orders for quantities of Product in excess of that contemplated by the forecasts described in Section 2.6) or (ii) any period of no more than two (2) weeks during which Product is not available for delivery to GRC FOB Ningbo Harbor, China due to a delay caused by a decision of a United States or Chinese governmental agency to review any Product which is the subject of any shipment.
Material Delay means a delay in the expiration or termination of the HSR waiting period or in obtaining any Material Approval until after the later of (x) the 120th day following the date of the execution and delivery of this Agreement in the case of HSR (or 120 days following the date of this Agreement, subject to extension on a day-by-day basis if and to the extent the Company fails to promptly respond to reasonable requests by DuPont with respect to filings and information required in connection with the Merger pursuant to Section 5.8) and (y) the satisfaction or waiver of all conditions set forth in Article VI hereof other than those set forth in Section 6.2(a) and (b) and those that are not satisfied by reason of the failure of the HSR waiting period to have expired or of any Material Approval to have been obtained.

Material Delay means any event or condition (or related series of events or conditions) that causes or results in a delay (or total stoppage) in the progress of the construction, renovation, installation, equipping, and improvement of the Project of such duration that the construction, renovation, installation, equipping, and improvement of the Project cannot reasonably be completed within the Cost Budget on or before the Final Completion date.
Material Delay means any event or condition (or related series of events or conditions) that causes or otherwise results in a delay (or total stoppage) in the progress of the Global Development Plan of more than [***] except (a) for any event or condition outside the reasonable control of Fulcrum that is not directly related to a breach by Fulcrum of this Agreement; (b) if such event or condition is substantially a result of any inaction or action by Sanofi, its Affiliates or Sublicensees; (c) if such event or condition is a result of Fulcrum’s reasonable response to guidance from or action or inaction by a Regulatory Authority or Governmental Authority (such as a clinical hold, recall or withdrawal); (d) for a Force Majeure Event; or (e) for any delay or stoppage mutually agreed upon by the Parties.
Material Delay means with respect to the consummation of any of the transactions contemplated hereby, a delay for more than 30 days or a delay beyond June 12, 1998, whichever is earlier.

  • Developmental delay means that a child has not reached developmental milestones expected for his or her chronological age as measured by qualified professionals using appropriate diagnostic instruments and/or procedures.

No period of time prior to expiration of such 48-hour period shall be included in the period of time charged to Tenant pursuant to such Tenant Delay Notice if Tenant corrects the Tenant Delay specified in the Tenant Delay Notice within such 48-hour period.
