Project Operation and Maintenance. A. Subject to annual appropriations, Grantee shall operate, manage, and maintain the Project in a reasonable state of repair for the purposes specified and for the useful life of the Project stated in the Project Application, in accordance with product warranties and/or the generally accepted standards in the parks/recreation community. Grantee has estimated a useful life of 15 years in the Project Application. Grantee also shall provide and maintain access to the Project and to the Property, regardless of the Property’s ownership. Failure to comply with this paragraph may be deemed a breach by Grantee under Paragraph 20 below.
X. XXXX shall not be liable for any cost of maintenance, management, or operation of the Project.
C. Within 60 days of a reasonable request by the Board, Grantee will provide the Board with adequate records reflecting the operating and maintenance costs of the Project and provide the Board with such other information concerning the use of the Project by the public and the impact of the Project.
D. Grantee’s staff shall request during the Grantee’s annual budget process an appropriation sufficient to meet the financial obligations of Grantee under this Agreement. Grantee will use its best efforts to fully consider such appropriation. The parties understand that the Board is relying upon fair and full consideration of annual appropriation in its decision to extend its resources and the Grant and to enter into this Agreement. In the event that Grantee fails to appropriate sufficient funds to meet the obligations of this Agreement, Grantee shall provide notice to the Board of the specific reason(s) for any decision not to appropriate funding. Grantee’s staff shall notify the Board of any recommendation not to fund or to partially fund the annual appropriation necessary to fulfill Grantee’s obligations under this Agreement.

(1) The Borrower shall pay all expenses of the operation and maintenance of the Project, including but without limitation adequate insurance thereon and insurance against all liability for injury to Persons or property arising from the operation thereof, and all taxes and special assessments levied upon or with respect to the Project and payable during the Term of Loan Agreement and further described in this Article 5.
(2) At the request of the Trustee or the Underwriter, the Borrower shall prepare and deliver to the Trustee and to the Underwriter, on January 1, 2037, and on every fifth anniversary thereafter, a needs assessment for the ensuing five (5) year period with respect to the Project (the “Capital Needs Assessment”). The Capital Needs Assessment will include the projected costs of the required capital expenditures for such period identified in the Capital Needs Assessment.

The Company shall pay all expenses of the operation and maintenance of the Equipment including, but without limitation, adequate insurance thereon and insurance against all liability for injury to persons or property arising from the operation thereof, and all taxes and special assessments levied upon or with respect to the Equipment and payable during the Term of this Lease.

MOE shall further ensure that representatives from local government, private sector, cultural and related social sector shall comprise at least 30% membership of University Councils of NUOL, CU, and SU by 2013.

(a) The Borrower shall pay, or pursuant to the Lease, cause the Cooperative to pay, all expenses of the operation and maintenance of the Project including, but without limitation, adequate insurance thereon and insurance against all liability for injury to Persons or property arising from the operation thereof, and all taxes and special assessments levied upon or with respect to the Project and payable during the Term of the Loan Agreement and further described in this Article V. The Borrower agrees that at all times during the Term of the Loan Agreement, the Borrower will, at the Borrower’s own expense, maintain, preserve and keep the Project open as an education services facility, or pursuant to the Lease cause the Cooperative to maintain, preserve and keep the Facility, with the appurtenances and every part and parcel thereof, open as am education services facility and in good repair, working order and condition and that the Borrower will from time to time make or pursuant to the Lease cause the Cooperative to make all repairs, replacements and renewals deemed proper and necessary by it.
(b) The Borrower shall pay or, under the terms of the Lease, cause the Cooperative to pay during the Term of the Loan Agreement, as the same respectively become due, all taxes, assessments, and other governmental charges of any kind whatsoever that may at any time be lawfully assessed or levied against or with respect to the Project or any part thereof, or any interest therein or the revenues derived therefrom or hereunder, all utility and other charges incurred in the operation, maintenance, use, occupancy and upkeep of the Project and all assessments and charges lawfully made by any governmental body for public improvements that may be secured by a lien on the Projecty, provided that with respect to special assessments or other governmental charges that may lawfully be paid in installments over a period of years, the Borrower shall be obligated to pay only such installments as are required to be paid during the Term of the Loan Agreement.
