Property Information and Confidentiality Sample Clauses

Property Information and Confidentiality. All Information (as hereinafter defined) provided to Purchaser shall be subject to the following terms and conditions: (a) Any information provided or to be provided with respect to the Property is solely for Purchaser’s convenience and was or will be obtained from a variety of sources. Except as otherwise provided in this Agreement, neither Seller nor any Seller Related Party has made any independent investigation or verification of such information and makes no (and expressly disclaims all) representations and warranties as to the truth, accuracy or completeness of the Information, or any other studies, documents, reports or other information provided to Purchaser hereunder and expressly disclaims any implied representations as to any matter disclosed or omitted. Neither Seller nor any Seller Related Party shall be liable for any mistakes, omissions, misrepresentations or any failure to investigate the Property nor shall Seller or any Seller Related Party be bound in any manner by any verbal or written statements, representations, appraisals, environmental assessment reports, or other information pertaining to the Property or the operation thereof, except as expressly set forth in this Agreement. (b) Purchaser agrees that neither Purchaser nor Purchaser’s Representatives (as hereinafter defined) shall, at any time or in any manner, either directly or indirectly, divulge, disclose or communicate to any person, entity or association the Information, or any other knowledge or information acquired by Purchaser or Purchaser’s Representatives from Seller, any Seller Related Party or by Purchaser’s own inspections and investigations, other than matters that were in the public domain at the time of receipt by Purchaser or Purchaser’s Representatives. Without Seller’s prior written consent, Purchaser shall not disclose and Purchaser shall direct Purchaser’s Representatives not to disclose to any person, entity or association any of the terms, conditions or other facts with respect to this Agreement, including, without limitation, the status hereof, and shall not market or offer the Property for sale. Notwithstanding the foregoing, Purchaser may disclose such of the Information and its other reports, studies, documents and other matters generated by it and the terms of this Agreement (i) as required by law or court order (provided prior written notice of such disclosure shall be provided to Seller) and (ii) as Purchaser deems necessary or desirable to Purchaser’s ...

Property Information and Confidentiality. The Purchaser agrees that, prior to the Closing, all Property Information shall be kept strictly confidential and shall not, without the prior consent of the Seller, be disclosed by the Purchaser or the Purchaser's Representatives, in any manner whatsoever, in whole or in part, and will not be used by the Purchaser or the Purchaser's Representatives, directly or indirectly, for any purpose other than evaluating the Property. Moreover, the Purchaser agrees that, prior to the Closing, the Property Information will be transmitted only to the Purchaser's Representatives (i) who need to know the Property Information for the purpose of evaluating the Property, and who are informed by the Purchaser of the confidential nature of the Property Information, (ii) who agree to be bound by the terms of this Section 17 and Section 6.3 and (iii) who have executed and delivered to the Seller the letter regarding use of the Property Information in the form of Exhibit J hereto. The provisions of this Section 17 shall in no event apply to Property Information which is a matter of public record and shall not prevent the Purchaser from complying with Laws, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements.

The provisions of this Section 16.14 shall in no event apply to information which is a matter of public record and shall not prevent Buyer from complying with applicable laws, including, without limitation, governmental regulatory disclosure, tax and reporting requirements. The provisions of this Section 16.14 shall survive the Closing or any termination of this Agreement.

The provisions of this Section 18 shall in no event apply to (i) Property Information which is a matter of public record, (ii) Property Information that is included by the Purchaser in any filing made with the Securities Exchange Commission or the New York Stock Exchange, or (iii) Property Information that is received by the Purchaser from a source other than the Sellers or Sellers' Affiliates. The provisions of this Section 18 shall not prevent the Purchaser or Purchaser's Representatives from complying with Laws, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements, and legal process.

Property Information and Confidentiality. 23.1 Purchaser agrees that, prior to the Closing, all Property Information (as defined below) shall be kept strictly confidential and shall not, without the prior consent of Seller, be disclosed by Purchaser or Purchaser's Representatives, in any manner whatsoever, in whole or in part, and will not be used by Purchaser or Purchaser's Representatives, directly or indirectly, for any purpose other than evaluating the Group A Portfolio. Moreover, Purchaser agrees that, prior to the Closing, the Property Information will be transmitted only to prospective tenants for the Group A Portfolio and/or Purchaser's Representatives, in each case, (i) who need to know the Property Information for the purpose of evaluating the Group A Portfolio, and who are informed by the Purchaser of the confidential nature of the Property Information and (ii) who agree to be bound by the terms of this Section 23 and Section 13.3 (each, a "Permitted Recipient"). The provisions of this Section 23.1 shall in no event apply to Property Information (a) which is a matter of public record; (b) which became available to Purchaser on a non-confidential basis from a source other than Seller or its representatives, which source was, in turn, not subject to confidentiality restrictions; or (c) which, if not disclosed by Purchaser, would prevent Purchaser from complying with Laws, including, without limitation, governmental regulatory, disclosure, tax and reporting requirements.
