Re-Xxxxxxx. Upon the occurrence of a Re-Xxxxxxx Trigger, the Note Insurer may instruct the Indenture Trustee and the Servicer to take or cause to be taken such actions as may, in the judgment of the Note Insurer or its counsel, be necessary to perfect or re-perfect the security interests in the Financed Vehicles in the name of the Indenture Trustee by amending the title documents relating to such Financed Vehicles or by such other reasonable means as may, in the judgment of the Note Insurer or its counsel, be necessary or prudent. The Indenture Trustee and the Servicer shall take or cause to be taken such actions. COAF hereby agrees to reimburse the Indenture Trustee for all Re-Xxxxxxx Expenses related to such perfection or re-perfection and to take all action necessary therefor, including the preparation, execution and delivery of all such documents as may be requested by the Indenture Trustee or the Servicer in connection therewith. In addition, as provided in Section 5.05(c) of the Indenture, the Indenture Trustee shall be entitled to be reimbursed for Re-Xxxxxxx Expenses incurred in connection with taking or causing to be taken such actions, to the extent not paid by the Servicer. On the Closing Date, the Servicer shall grant to the Indenture Trustee an irrevocable power of attorney, pursuant to which the Servicer shall appoint the Indenture Trustee as its attorney-in-fact, such appointment being coupled with an interest, to take any and all steps required to be performed by it pursuant to this Section 2.27 including execution of certificates of title or any other documents in the name and stead of the Servicer. If at any time a Person other than COAF becomes the Servicer, COAF shall grant to such Successor Servicer, promptly after its appointment as such, a power of attorney as described in the preceding sentence.

Re-Xxxxxxx. Exclusive of the Premises, Landlord shall have the exclusive right to make any replacement of electric light bulbs, fluorescent tubes and ballasts in the Building Complex throughout the Lease Term and any renewal thereof. Landlord may adopt a system of relamping and reballasting periodically on a group basis in accordance with good management practice.
Re-Xxxxxxx. Upon the occurrence of a Re-Xxxxxxx Trigger Event, at the direction of the Administrative Agent, the Borrower shall, and the Borrower shall direct and cause any Affiliate that is a Title Lien Nominee to and shall cooperate with the Servicer to, take all steps necessary to cause the Certificate of Title or other evidence of ownership of the related Financed Vehicles (or if such Re-Xxxxxxx Trigger Event relates to (i) one or more States, the related Financed Vehicles titled in such States or (ii) a Title Lien Nominee, the related Financed Vehicles liened in the name of such Title Lien Nominee) to be revised to name the Administrative Agent or its designee, on behalf of the Secured Parties, or another designee of the Administrative Agent as lienholder; any Re-Xxxxxxx Expenses shall be paid by the Servicer pursuant to the Servicing Agreement, and to the extent such costs are not paid by the Servicer but are paid by the Trust Administrator or the Administrative Agent, such costs shall be recovered as described in Section 2.7. In addition, at the sole expense of the Lenders, upon the request of the Administrative Agent, the Borrower shall, and the Borrower shall direct and cause any Affiliate that is a Title Lien Nominee and shall cooperate with the Servicer to, take all steps necessary to cause the Certificate of Title or other evidence of ownership of the related Financed Vehicles identified, individually or by characteristic, by the Administrative Agent to be revised to name the Administrative Agent or its designee, on behalf of the Secured Parties, or another designee of the Administrative Agent as lienholder. The Administrative Agent shall not direct the Servicer or the Borrower to take any steps to cause the Certificate of Title or other evidence of ownership of the related Financed Vehicle to be revised to name any other Person except in relation to a Permitted Take-Out, whereby the Administrative Agent may be instructed to do so by the Borrower based upon the Borrower’s determination that such steps are necessary to complete a Permitted Take-Out. In no event shall the Servicer be required to expend funds in connection with this Section that will not otherwise be reimbursed pursuant to Section 2.7.   • SHOP XXXXXXX The Shop Xxxxxxx shall be a County employee as selected by the Union. A list of shop stewards will be kept current and sent by the Union to each department head and to Human Resources. Duties required by the Union of its stewards, except attendance at meetings with the County, supervisory personnel and aggrieved employees arising out of a grievance already initiated by an employee under Article 14 hereof, shall not interfere with their or other employees, regular work assignments as employees of the County. The shop xxxxxxx, or their designee, involved with a particular grievance must be identified at Step 1 of the grievance procedure and will be designated as the only bargaining unit employee who will be able to gather information pertaining to that particular grievance. The Union will make reasonable efforts to control the amount of investigative time spent between the shop xxxxxxx and the aggrieved employee. Meetings scheduled with management and other proper investigative procedures, and attendance at meetings specified in Steps 1 and 2 of the grievance procedure shall be considered hours worked for compensation purposes to the extent such meetings occur during the normal hours of work, and not otherwise. In order to use union leave for this purpose, Shop Stewards must notify the supervisor/department head of meetings and other commitments at the time these are scheduled. Attendance at meetings specified in Step 3 of the grievance procedure shall be considered hours worked during regularly scheduled business hours of the County for the xxxxxxx involved, witnesses and the grievant. The County shall not be liable for any overtime as a result of the meeting. Witnesses and the shop xxxxxxx involved shall be granted leave with pay to the extent their presence at the proceedings is required.
