Record Documents and Mapping. The Compan y shall maintain at the Plant and make available to the Borough upon request for review and copying: (1) all designs, drawings, blueprints, plan s, specifications an d "as-built" or record drawings and docum ents pertaining to the Managed Assets and the Collection System w hich are delivered to the Borough by the Company pursuant to Appendix 4; and (2) similar documents relating to the Initial Capital Improvements, the Collection System Improvements and any Capital Modifications. The Compan y shall: (1) keep current all such System records to show any chan ges to the Managed Assets an d the Collection System (including valves, pipes, pumps, meters and other assets) made by the Company in the performance of the Contract Services; and (2) provide advice and assistance to the Borough, based on such records, in establishing and m aintaining any Borough geographic mapping and information system s.

Record Documents and Mapping. The Lessee shall maintain at the Incineration Facilities and m ake available to the Lessor upon request for review and copying: (1) all designs, drawings, blueprints, plans, specifications and "as-built" or record drawings and docum ents pertaining to the Incineration Facilities which are delivered to the Lessor by the Lessee pursuant to Appendix 5; and (2) similar documents relating to the Initial Capital Improvem ents and any Capital Modifications. The Lessee shall keep current all such Incineration Facilities records to show any changes to the Incineration Facilities (including valves, pipes, pumps, meters and other assets) m ade by the Lessee in the performance of the Leasehold Obligations.
Record Documents and Mapping. The Company shall maintain at the System and make available to the WPCA by computer- based, real-time, read only, remote cloud access all designs, drawings, blueprints, plans, specifications and “as-built” or record drawings and documents relating to any Capital Modifications performed by the Company, together with all CCTV video and pipe inspections for the Collection System. The Company shall: (1) keep current all such System records to show any changes to the System (including valves, pipes, pumps, meters and other assets) made by the Company in the performance of the Contract Services; (2) maintain a current and accurate record of maintenance and replacement of Equipment in accordance with the CMMS; and (3) provide advice and assistance to the WPCA, based on such records, in establishing and maintaining any WPCA geographic mapping and information systems. The Company shall identify issues, monitor and make necessary corrections with respect to such mapping and information systems to improve the accuracy of such mapping and information systems so as to insure that a fully accurate mapping and information system is in place within the Initial Term of this Agreement. Upon the termination of this Agreement (i) ownership to the computerized maintenance management system hardware shall be owned by the WPCA and the Company shall execute all necessary documentation to evidence such ownership (at no cost to the WPCA); and (ii) all related software (including documentation and related object and source codes, if available, at no cost to the WPCA) shall be licensed or sublicensed to the WPCA on a royalty-free basis as feasible and appropriate under the Company's existing agreements with its vendors and/or Affiliates.

  • SITE VISITS AND RECORD REVIEW The Applicant shall allow authorized employees of the District, the Comptroller, the Appraisal District, and the State Auditor’s Office to have reasonable access to the Applicant’s Qualified Property and business records from the Application Review Start Date through the Final Termination Date, in order to inspect the project to determine compliance with the terms hereof or as necessary to properly appraise the Taxable Value of the Applicant’s Qualified Property. A. All inspections will be made at a mutually agreeable time after the giving of not less than ninety-six (96) hours prior written notice, and will be conducted in such a manner so as not to unreasonably interfere with either the construction or operation of the Applicant’s Qualified Property. B. All inspections may be accompanied by one or more representatives of the Applicant, and shall be conducted in accordance with the Applicant’s safety, security, and operational standards. Notwithstanding the foregoing, nothing contained in this Agreement shall require the Applicant to provide the District, the Comptroller, or the Appraisal District with any technical or business information that is proprietary, a trade secret, or is subject to a confidentiality agreement with any third party.

  • Audits and Records 7.5.1 The Contractor agrees that the representatives of the Office of the City Auditor or other authorized representatives of the City shall have access to, and the right to audit, examine, or reproduce, any and all records of the Contractor related to the performance under this Contract. The Contractor shall retain all such records for a period of three (3) years after final payment on this Contract or until all audit and litigation matters that the City has brought to the attention of the Contractor are resolved, whichever is longer. The Contractor agrees to refund to the City any overpayments disclosed by any such audit.

  • Audit and Inspection of Plants, Places of Business and Records (a) The State and its agents, including, but not limited to, the Connecticut Auditors of Public Accounts, Attorney General and State’s Attorney and their respective agents, may, at reasonable hours, inspect and examine all of the parts of the Contractor’s and Contractor Parties’ plants and places of business which, in any way, are related to, or involved in, the performance of this Contract. (b) The Contractor shall maintain, and shall require each of the Contractor Parties to maintain, accurate and complete Records. The Contractor shall make all of its and the Contractor Parties’ Records available at all reasonable hours for audit and inspection by the State and its agents. (c) The State shall make all requests for any audit or inspection in writing and shall provide the Contractor with at least twenty-four (24) hours’ notice prior to the requested audit and inspection date. If the State suspects fraud or other abuse, or in the event of an emergency, the State is not obligated to provide any prior notice. (d) The Contractor will pay for all costs and expenses of any audit or inspection which reveals information that, in the sole determination of the State, is sufficient to constitute a breach by the Contractor under this Contract. The Contractor will remit full payment to the State for such audit or inspection no later than 30 days after receiving an invoice from the State. If the State does not receive payment within such time, the State may setoff the amount from any moneys which the State would otherwise be obligated to pay the Contractor in accordance with this Contract's Setoff provision. (e) The Contractor shall keep and preserve or cause to be kept and preserved all of its and Contractor Parties’ Records until three (3) years after the latter of (i) final payment under this Contract, or (ii) the expiration or earlier termination of this Contract, as the same may be modified for any reason. The State may request an audit or inspection at any time during this period. If any Claim or audit is started before the expiration of this period, the Contractor shall retain or cause to be retained all Records until all Claims or audit findings have been resolved. (f) The Contractor shall cooperate fully with the State and its agents in connection with an audit or inspection. Following any audit or inspection, the State may conduct and the Contractor shall cooperate with an exit conference. (g) The Contractor shall incorporate this entire Section verbatim into any contract or other agreement that it enters into with any Contractor Party.

  • Ownership of Documents and Materials A. All documents, records, programs, applications, data, algorithms, film, tape, articles, memoranda, and other materials (the “Materials”) not developed or licensed by the Contractor prior to execution of this Contract, but specifically developed under this Contract shall be considered “work for hire” and the Contractor hereby transfers and assigns any ownership claims to the State so that all Materials will be the property of the State. If ownership interest in the Materials cannot be assigned to the State, the Contractor grants the State a non-exclusive, non-cancelable, perpetual, worldwide royalty-free license to use the Materials and to use, modify, copy and create derivative works of the Materials. B. Use of the Materials, other than related to contract performance by the Contractor, without the prior written consent of the State, is prohibited. During the performance of this Contract, the Contractor shall be responsible for any loss of or damage to the Materials developed for or supplied by the State and used to develop or assist in the services provided while the Materials are in the possession of the Contractor. Any loss or damage thereto shall be restored at the Contractor’s expense. The Contractor shall provide the State full, immediate, and unrestricted access to the Materials and to Contractor’s work product during the term of this Contract.

  • Inspection of Property; Books and Records; Discussions Keep proper books of records and account in which full, true and correct entries in conformity with GAAP and all Requirements of Law shall be made of all dealings and transactions in relation to its business and activities; and permit representatives of any Lender (upon reasonable advance notice coordinated through the Administrative Agent) to visit and inspect any of its properties and examine and make abstracts from any of its books and records at any reasonable time and as often as may reasonably be desired and to discuss the business, operations, properties and financial and other condition of the Borrower and its Subsidiaries with officers and employees of the Borrower and its Subsidiaries and with its independent certified public accountants.

  • Places of Business and Locations of Records The principal places of business and chief executive office of such Seller Party and the offices where it keeps all of its Records are located at the address(es) listed on Exhibit III or such other locations of which the Agent has been notified in accordance with Section 7.2(a) in jurisdictions where all action required by Section 14.4(a) has been taken and completed.
