Records Containing Confidential Information. Confidential Records” means all documents and other records, whether in paper, electronic or other form, that contain or reflect any Confidential Information. The Executive shall immediately deliver to the Company or its designee (and shall not keep in the Executive’s possession or deliver to any other person or entity) all Confidential Records and all other Company property, whether tangible or intangible, in the Executive’s possession or control. The Executive understands and agrees that compliance with this paragraph may require that data be removed from the Executive’s personal computer or other electronic equipment. Consequently, upon written request from the Company, the Executive agrees to certify in writing to the Company that all Company Confidential Records previously existing on the Executive’s personal computer or other electronic equipment have been deleted and/or destroyed.

Records Containing Confidential Information. All documents or other records containing or reflecting Confidential Information (“Confidential Documents”) prepared by or provided to Employee are and shall remain the Company’s property. Except with the Company’s prior written consent, Employee shall not copy or use any Confidential Document for any purpose not relating directly to Employee’s work on the Company’s behalf, or use, disclose or sell any Confidential Document to any party. Upon the termination of Employee’s employment or upon the Company’s request, Employee shall immediately deliver to the Company or its designee (and shall not keep in Employee’s possession or deliver to anyone else) all Confidential Documents and all other property belonging to the Company. This paragraph shall not bar Employee from complying with any subpoena or court order, provided that Employee shall at the earliest practicable date provide a copy of the subpoena or court order to the Chief Executive Officer of the Company.

Executive understands and agrees that compliance with this subsection (d) may require that data be removed from Executive’s personal computer equipment. Consequently, upon reasonable prior notice, Executive agrees to permit the qualified personnel of Company and/or its contractors access to such computer equipment for that purpose. This Agreement shall not prohibit Executive from complying with any subpoena or court order, provided that Executive shall at the earliest practicable date provide a copy of the subpoena or court order to Company’s CEO or other designee, it being the parties’ intention to give Company a fair opportunity to take appropriate steps to prevent the unnecessary and/or improper use or disclosure of Confidential Information and Confidential Records, as determined by Company in its sole discretion.

Upon the termination of Cornxxxx'x xxxloyment, if any, with MDMI, UTI or any Affiliate of either MDMI or UTI, or upon the request of MDMI, UTI or any Affiliate of either MDMI or UTI, Cornxxxx xxxll immediately deliver to the designated person (and shall not keep in Cornxxxx'x xxxsession or deliver to any other person or entity) all Confidential Records and all other property of MDMI, UTI or any Affiliate of either MDMI or UTI in Cornxxxx'x xxxsession or control. This Agreement shall not prohibit Cornxxxx xxxm complying with any subpoena or court order, provided that Cornxxxx xxxll at the earliest practicable date provide a copy of the subpoena or court order to the President of MDMI, UTI or any Affiliate of either MDMI or UTI, as applicable, it being the parties' intention to give MDMI, UTI or any Affiliate of either MDMI or UTI a fair opportunity to take appropriate steps to prevent the unnecessary and/or improper use or disclosure of Confidential Records, as determined by MDMI, UTI or any Affiliate of either MDMI or UTI in its reasonable judgment.

This Agreement does not prohibit Consultant from complying with any subpoena or court order, provided that Consultant shall at the earliest practicable date provide Company with a copy of the subpoena or court order prior to disclosing Confidential Information or Confidential Records and take reasonable action to minimize the extent of the disclosure.

Notwithstanding the foregoing, the Executive (A) may retain a copy of the Confidential Information to the extent such retention is required to demonstrate compliance with law, regulatory authority or other applicable judicial or governmental order, or to comply with a bona fide document retention policy, and (B) shall not be obligated to destroy electronically stored Confidential Information to the extent that it is contained in an archived computer system backup; provided that, in each case, any Confidential Information that is retained or that is not destroyed (including any oral Confidential Information) shall remain confidential and subject to the terms of this Agreement.

If any Confidential Information and/or Confidential Records are shared with or disclosed to Executive during the Consulting Period, then such Confidential Information and/or Confidential Records shall be governed by the terms of this Section 7, and at the conclusion of the Consulting Period or upon the Company's earlier request Executive shall immediately deliver to Company or its designee (and shall not keep in Executive's possession or deliver to any other person or entity) all Confidential Records then in Executive's possession or control.
