REGISTRATION LICENSING FEES. 37.01 NAV CANADA shall reimburse an employee for his or her payment of registration or licensing fees to an organization, government or governing body when, as determined by NAV CANADA, such registration or license is a requirement for the continuation of the performance of the duties of the employee’s position. 37.02 Membership dues referred to in Article 5 (Check-off) of this agreement are specifically excluded as reimbursable fees under this Article.

REGISTRATION LICENSING FEES. Upon request of an employee, the Employer shall deduct the annual NSCMLT and CSMLS fees from the employee’s pay. It is the responsibility of the employee to ensure that all registration/licensing information is submitted to her professional association within the submission deadline dates.

(c) The Employer shall recover the licensing fee from any new employee who fails to successfully complete their probationary period. (d) All staff will be issued and required to have their photo identification card/LGA license visible at all times while at work. Should an employee lose their photo identification card/LGA license more than once within a two (2) year period the Employer shall charge a ten dollar ($10.00) replacement fee. The photo identification card/LGA license is considered Manitoba Liquor and Lotteries property. A lost or stolen photo identification card/LGA license must be reported immediately to Security.

Each Pledgor further agrees, upon such written request referred to above, to use its best efforts to qualify, file or register, or cause the issuer of such Pledged Securities to qualify, file or register, any of the Pledged Securities under the Blue Sky or other securities laws of such states as may be requested by the Collateral Agent and keep effective, or cause to be kept effective, all such qualifications, filings or registrations. Each Pledgor will bear all costs and expenses of carrying out its obligations under this Section 12. Each Pledgor acknowledges that there is no adequate remedy at law for failure by it to comply with the provisions of this Section 12 and that such failure would not be adequately compensable in damages, and therefore agrees that its agreements contained in this Section 12 may be specifically enforced.

If some but not all the shares of Issuer Common Stock with respect to which Issuer shall have received requests for registration pursuant to this Section 10(b) shall be excluded from such registration, Issuer shall make appropriate allocation of shares to be registered among the Selling Stockholders desiring to register their shares pro rata in the proportion that the number of shares requested to be registered by each such Selling Stockholder bears to the total number of shares requested to be registered by all such Selling Stockholders then desiring to have Issuer Common Stock registered for sale.
