Reseller Rights. AOL shall grant to Sun, effective as of the Closing Date and continuing for the term of this Agreement, (a) the right to distribute the Existing Netscape Software in binary form only except as set forth below; (b) the right to use the source code for the Existing Netscape Software solely for purposes of supporting and maintaining the binary copies distributed to Sun customers; and (c) the right to license the source code for the Existing Netscape Software to OEM licensees solely for the purpose of permitting such OEM licensees to support and maintain the binary copies distributed by such OEMs, provided that Sun may provide such source code to OEM licensees only pursuant to the terms of a written agreement substantially in conformance with a form approved by AOL, which approval shall not be unreasonably withheld or delayed, containing customary terms and conditions to preserve the confidentiality of such source code and containing customary limitations and disclaimers of warranties and exclusions and limitations of liability. The rights granted to Sun pursuant to this Section 9.6.2 with respect to the Existing Netscape Software shall terminate upon expiration or termination of this Agreement, except that Sun shall retain thereafter a limited source code license to retain and use such software solely for the support of existing customers as of such expiration or termination.
Reseller Rights. At NTL's option and upon NTL's request, Entrust --------------- shall promptly enter into a non-exclusive reseller agreement with NTL, on behalf of Nortel, in substantially the form set forth in Exhibit C (the "Reseller -------- Agreement") save as amended to comply with the provisions of this Article IV. --------- NTL represents as of the Effective Date that the terms of the Reseller Agreement are materially similar to the terms of an agreement recently concluded with a third-party reseller of the Entrust Products, except for the provisions of Section 4.02 hereof. Subject to early termination for material default, such Reseller Agreement shall expire either in three years or when ETI ceases to be a Subsidiary of NTL, whichever event occurs later.
Reseller Rights. For the term of this Agreement, Imagistics hereby grants PBMS the nonexclusive right to market, resell, re-lease, re-rent and bill for the Equipment to PBMS Customers pursuant to Facilities Manaxxxxnt Agreements or similar agreements and subject to the provisions of any third party lease for Equipment. Imagistics further grants PBMS the right to use Imagistics trademarks, trade names and other intellectual property solely for the purposes set forth in this Agreement and subject to the prior written approval of Imagistics.
Reseller Rights. ITXC reserves the right: (i) to solicit orders directly from and to sell directly to any potential Customer and (ii) to appoint other representatives on a nonexclusive basis to promote ITXC’s Services. Provided, however, ITXC will use its best efforts to refer Reseller’s Customers to Reseller for Services. 2.5.
Reseller Rights. Notwithstanding the foregoing, Nuventive may permit Licensee by separate written agreement to resell or distribute certain Software Services to individuals directly affiliated with Licensee.

Patriot shall have no rights under this Agreement to act as a certified reseller of Sourcefire or to otherwise directly or indirectly market and sell Products or Customer Ready Products to Customers. Such rights may be made available to Patriot by Sourcefire pursuant to separate reseller agreement.
