Purchase Targets. 9.1 Up to 31 December 2003 the Distributor shall use all reasonable endeavours to achieve the minimum purchase targets specified in schedule 4. Purchase targets for the second year will be subject to agreement following delivery of the first 10 Products and in subsequent years minimum purchase targets shall be agreed annually in advance. In the event that the parties do not agree the minimum purchase targets within thirty (30) calendar days of the end of the preceding year in which minimum purchase targets were set, the previous year's minimum purchase targets shall be increased by 10% for first 3 years following the date of this Agreement and shall be deemed to be the minimum purchase targets for the year in respect of which agreement was not reached.
Purchase Targets. Parties may agree on annual sales targets. If the parties cannot reach an agreement on the targets, Principal is entitled to set reasonable targets taking into consideration the market potential in the Territory. Agent agrees that it will use its best efforts in reaching the sales targets in compliance with the terms of this Agreement. Agent’s inability to reach a target is not however considered as a breach of this Agreement, unless Agent has otherwise materially violated its contractual duties under this Agreement. COMPLIANCE WITH LAWS AND REGULATIONS Agent shall at all times comply with all applicable laws and regulations when carrying out its business under this Agreement, especially all laws and regulations relating to export control, anti-corruption and bribery.
Purchase Targets. Purchaser will use its commercial best efforts to meet the Purchase Targets for the Software. Failure to meet the Purchase Targets will not constitute a material breach of this Agreement, provided that Purchaser has made good faith commercial best efforts to meet the Purchase Targets.

Purchase Targets.
