Right of Verification. A. LICENSEE agrees to maintain all necessary information in its books and records to allow SESAC to verify LICENSEE’s reports, payments, statements and computations required by this Agreement. SESAC shall have the right, on at least ten (10) days prior written notice, to examine LICENSEE's books and records during customary business hours to such extent as may be necessary to verify any and all reports, payments, statements and computations made or required hereunder. In connection with such an examination, LICENSEE agrees to furnish all pertinent books and records, including electronic records in industry standard format, to SESAC’s authorized representatives. Such books and records shall be kept by LICENSEE for at least three (3) years following any termination of this Agreement. B. In the event an examination reveals that LICENSEE has underpaid any License Fee due SESAC, LICENSEE shall submit the additional amount due within forty-five (45) days from SESAC’s written request for such payment. Should such an examination reveal that LICENSEE has underpaid SESAC any License Fee by five percent (5%) or more, LICENSEE shall pay the reasonable costs and expenses of the examination, including travel expenses. C. SESAC’s rights and LICENSEE’s obligations arising from this Paragraph 5 shall survive any termination of this Agreement. SESAC agrees that any non-public information discovered by SESAC as part of any examination instituted under this Paragraph 5 shall be treated as confidential and shall not be disclosed to any third party (other than SESAC’s attorneys, accountants and other professional advisors) without LICENSEE’s prior written consent, except as may be required by law. SESAC’s exercise of any rights under this provision shall not prejudice any of SESAC’s other rights or remedies, including the right to dispute any amounts owed to SESAC under this Agreement.

SESAC shall have the right on reasonable written notice, to examine during customary business hours, LICENSEE's books and records which pertain solely to this Agreement to such extent as may be necessary to verify any and all payments, statements, computations and reports rendered and accountings made or required hereunder. All data and information brought to SESAC's attention as a result of any examination shall be treated as confidential. B. LICENSEE hereby agrees to furnish quarterly to SESAC copies of any existing programs prepared for distribution to the audience or for the use or information of LICENSEE or any of its departments relating to musical compositions performed under the auspices of LICENSEE.

The Partner Service shall maintain appropriate records to enable verification by the Department or agents acting on its behalf that the general terms of this Funding Agreement are complied with. In particular, such records will include a staffing register which clearly shows the dates, times and durations of each staff member working in each session. Records of fee income should be kept up to date and available for verification purposes. 9.2. The Partner Service shall permit the Scheme Administrator to attend at the premises of the Partner Service and shall permit access to the Partner Service’s premises and personnel for the purposes of inspection. The Partner Service shall permit access to relevant financial and other records (including staff and fee records) for this purpose and shall facilitate and co-operate with inspections as required. 9.3. Verification and other inspections may be carried out without prior notice being given to the Partner Service. 9.4. Relevant records must be available at all times on-site for inspection and the Partner Service shall share such records or permit such records to be taken off-site if necessary for the purposes of carrying out such inspections. The Partner Service shall permit and facilitate representatives and agents of the Minister to make copies of records as deemed necessary. 9.5. The report of any such inspection, including the outcome of the inspection (“the decision”), shall be made available to the Partner Service.
Right of Verification m. Without limiting any obligation on Data Contributor under this Agreement, HDR shall have the right (itself and/or using a contractor) to verify that any of the Data provided by Data Contributor to a Data Repository is in compliance with the terms of this Agreement, including ensuring that any such Data is De-personalised. Where such verification reveals non-compliance by Data Contributor, HDR may, at its sole discretion, either (i) require Data Contributor to promptly rectify such non-compliance to a standard acceptable to HDR, or (ii) terminate this Agreement under clause oo.

Right of Verification. (a) ASCAP shall have the right, by its authorized representatives, at any time during customary business hours, and upon thirty days written notice, to examine the books and records of account of LICENSEE only to such extent as may be necessary to verify any statements of LICENSEE's Operating Policy required pursuant to this Agreement. ASCAP shall consider all data and information coming to its attention as the result of the submission of statements of LICENSEE's Operating Policy or as the result of any examination of LICENSEE's books and records hereunder as completely and entirely confidential. (b) In the event any such audit shows LICENSEE to have underpaid the license fees due ASCAP by less than 5%, LICENSEE shall pay a finance charge on the additional license fees due of 1 ½ % per month, or the maximum rate permitted by law, whichever is less, from the date ASCAP demands payment of such amount. In the event any such audit shows LICENSEE to have underpaid the license fees due ASCAP by 5% or more, LICENSEE shall pay a finance charge on the additional license fees due of 1 ½% per month, or the maximum rate permitted by law, whichever is less, from the date(s) the additional license fees were due. (c) ASCAP’s right to audit under this Agreement shall survive any termination of this Agreement.

Right of Verification. Europ Assistance may carry out checks and inspections at the Policyholder's premises to verify compliance with the contractual obligations. The Policyholder must cooperate.
