Role of the Assembly. The Assembly shall take measures and decisions related to: - election of two Regular Members of the Steering Committee (being said Founding Members cannot take part in the election of the Regular Members); - withdraw or expulsion of a Member of the Assembly; - approval of the annual budget based on the proposal made by the Steering Committee with the exception of the fixed fees covering the Coordinator costs and Trustee costs per Members (appendix 7) which will be charged upon the signature of the Consortium Agreement.

Role of the Assembly. 6.1.2.1 The Assembly shall take decisions in connection with the following: 6.1.2.1.1 approval of the Core Data before joint submission to the Agency; 6.1.2.1.2 approval of the Chemical Safety Report before joint submission to the Agency; 6.1.2.1.3 modification of any provision as well as the Appendices to this Agreement, if and when needed; 6.1.2.1.4 expulsion of a Member, subject to 5.3.4.1; 6.1.2.1.5 nomination of the candidate Lead Registrant/s upon the recommendation of the Secretariat; 6.1.2.1.6 annual ratification of the strategic programme of the Consortium; 6.1.2.1.7 approval of the annual budget and any unbudgeted expenditure; 6.1.2.1.8 approval of working and finance plans prepared by the Secretariat; 6.1.2.1.9 approval of the annual accounts; 6.1.2.1.10 establishment of the Steering Committee in accordance with 6.2 in the event that there are 10 Members in the Consortium or more, and coordination and supervisions of its activities. 6.1.2.2 Until such time as the Steering Committee is established pursuant to 6.2 the Assembly shall also take decisions in connection with the following: 6.1.2.2.1 management of the financial resources of the Consortium, including budget, funding collection and accounts; 6.1.2.2.2 establishment of a Technical Working Group pursuant to 6.3.1; 6.1.2.2.3 coordination of and guidance for the preparation of the Registration Dossier for the Substances covered by APPENDIX 1, including following proposals by the Technical Working Group, the acceptance of relevant and reliable existing Studies and Information and any decisions to develop new Studies and Information; 6.1.2.2.4 approval of testing programs; 6.1.2.2.5 appointment of external consultants to perform technical and scientific tasks and as proposed by the relevant Technical Working Group (when a budget is required); 6.1.2.2.6 coordination and supervision of activities of the Steering Committee, the Secretariat, the Technical Working Group and the Lead Registrant/s; 6.1.2.2.7 arbitration in cases of disagreement or disparities within or between the Steering Committee and the Technical Working Group; 6.1.2.2.8 decisions regarding admission of any new Member; 6.1.2.2.9 recommendations with respect to expulsion of a Member in accordance with 5.3.4.1 before the decision to expel the Member is taken pursuant to 6.1.2.1.4; 6.1.2.2.10 in the case of uncertainty as to whether an entity satisfies the definition of Affiliate set forth in 2.2, shall make a determination at the r...

Modification of any provision as well as the Appendices to this Agreement, if and when needed; 6.1.2.1.5. Expulsion of a Platform Member, subject to 5.3.4.1; 6.1.2.1.6. Nomination of the candidate Lead Registrant/s upon the recommendation of the Steering Committee; 6.1.2.1.7. Annual ratification of the strategic programme of the Platform; 6.1.2.1.8. Approval of the annual budget and unbudgeted expenditure which exceeds the authority of the Steering Committee to approve in terms of 6.2.2.2; 6.1.2.1.9. Approval of the annual accounts. 6.1.2.2. The Assembly shall elect the members of the Steering Committee in accordance with 6.2.1.1. 6.1.2.3. Decisions under 6.1.2.1.1 and 6.1.2.1.2 above may be delegated to the Steering Committee.

  • Object and Scope of the Agreement The competent authorities of the Contracting Parties shall provide assistance through exchange of information that is foreseeably relevant to the administration and enforcement of the domestic laws of the Contracting Parties concerning taxes covered by this Agreement. Such information shall include information that is foreseeably relevant to the determination, assessment and collection of such taxes, the recovery and enforcement of tax claims, or the investigation or prosecution of tax matters. Information shall be exchanged in accordance with the provisions of this Agreement and shall be treated as confidential in the manner provided in Article 8. The rights and safeguards secured to persons by the laws or administrative practice of the requested Party remain applicable to the extent that they do not unduly prevent or delay effective exchange of information.

  • Construction of the Agreement The Agreement sets forth the entire understanding between two sophisticated business entities with legal counsel as to its subject and supersedes all prior agreements, conditions, warranties, representations, arrangements and communications, including purchase orders issued by Client, whether oral or written, and whether with or by Accenture, any of its affiliates, or any of their employees, officers, directors, agents or shareholders. Each party acknowledges that it entered into the Agreement solely based on the agreements and representations contained herein, and has not relied upon any representations, warranties, promises, or inducements of any kind, whether oral or written, and from any source. If a court of competent jurisdiction finds any term of the Agreement to be invalid, illegal or otherwise unenforceable, such term or provision will not affect the other terms of this Agreement and will be deemed modified to the extent necessary, in the court’s opinion, to render such term enforceable while preserving to the fullest extent permissible the intent and agreements of the parties set forth in this Agreement. No waiver or modification of any provision of the Agreement will be effective unless it is in writing and signed by the party against which it is sought to be enforced. The delay or failure by either party to exercise or enforce any of its rights under this Agreement is not a waiver of that party’s right to later enforce those rights, nor will any single or partial exercise of any such right preclude any other or further exercise of these rights or any other right. There are no third-party beneficiaries to the Agreement. In the event of a conflict between these GTC and an Order Form, the Order Form controls for purposes of that Order Form only.

  • Role of the Parties Taboola acknowledges that Publisher is a Controller of Personal Data relating to its Visitors. Publisher acknowledges that Taboola shall also be an independent Controller of Personal Data that it processes about Visitors to provide its Services (both to Publisher and to Taboola’s other publishers). In no event shall the Parties process Personal Data that they each collect about Visitors as joint Controllers.

  • Role of the panel 1. The role of the Panel shall be to make an objective assessment of the dispute under its consideration, including an examination of the facts of the case and the applicability of and conformity with this Agreement, incorporating necessary findings for settling the dispute. 2. The report of the Panel shall be binding on the disputing Parties. 3. The Panel shall take its decisions by consensus. However, if the Panel is unable to reach consensus, it may take its decisions by majority vote. 4. Where a Panel concludes that a measure is inconsistent with this Agreement, it shall recommend that the Party complained against bring the measure into conformity with this Agreement. In addition to these recommendations, the Panel will be entitled to suggest ways in which the Party complained against could implement the recommendations. 5. The Panel, in its findings and recommendations, may not add to or diminish the rights and obligations provided in this Agreement. 1. The procedure before the Panel shall be conducted in accordance with the Model Rules of Procedure set out in Annex 12 (Model Rules of Procedure). Exceptionally, the disputing Parties may agree on different rules to be applied by the Panel. 2. The Model Rules of Procedure are necessary for the good development of all the steps in this Chapter. In addition, these rules shall regulate the development of the procedure, pursuant to the following principles: (a) the procedures shall ensure the right to at least one hearing before the Panel, as well as the opportunity for each disputing Party to provide initial and rebuttal written submissions, and allow the use of any technological means to ensure its authenticity; and (b) the hearings before the Panel, the deliberations, as well as all the submissions and communications submitted during the hearings, shall be confidential.

  • POSSESSION OF THE APARTMENT/PLOT 7.1 Schedule for possession of the said [Apartment/Plot] - The Promoter agrees and understands that timely delivery of possession of the [Apartment/Plot] to the allottee and the common areas to the association of allottees or the competent authority, as the case may be, is the essence of the Agreement. The Promoter assures to hand over possession of the [Apartment/Plot] along with ready and complete common areas with all specifications, amenities and facilities of the project in place on , unless there is delay or failure due to war, flood, drought, fire, cyclone, earthquake or any other calamity caused by nature affecting the regular development of the real estate project (“Force Majeure”). If, however, the completion of the Project is delayed due to the Force Majeure conditions then the Allottee agrees that the Promoter shall be entitled to the extension of time for delivery of possession of the [Apartment/Plot], provided that such Force Majeure conditions are not of a nature which make it impossible for the contract to be implemented. The Allottee agrees and confirms that, in the event it becomes impossible for the Promoter to implement the project due to Force Majeure conditions, then this allotment shall stand terminated and the Promoter shall refund to the Allottee the entire amount received by the Promoter from the allotment within 60 days from that date. The promoter shall intimate the allottee about such termination at least thirty days prior to such termination. After refund of the money paid by the Allottee, the Allottee agrees that he/ she shall not have any rights, claims etc. against the Promoter and that the Promoter shall be released and discharged from all its obligations and liabilities under this Agreement.

  • LIFE OF THE AGREEMENT 8.1 Unless otherwise terminated by operation of law or by acts of the parties in accordance with the terms of this Agreement, this Agreement will be in force from the effective date recited on page one and will remain in effect for the life of the last-to-expire patent licensed under this Agreement, or until the last patent application licensed under this Agreement is abandoned. 8.2 Any termination of this Agreement will not affect the rights and obligations set forth in the following Articles:

  • Interconnection Facilities Engineering Procurement and Construction Interconnection Facilities, Network Upgrades, and Distribution Upgrades shall be studied, designed, and constructed pursuant to Good Utility Practice. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

  • Innovative Scheduling Schedules which are inconsistent with the Collective Agreement provisions may be developed in order to improve quality of working life, support continuity of resident care, ensure adequate staffing resources, and support cost-efficiency. The parties agree that such innovative schedules may be determined locally by the Home and the Union subject to the following principles: (a) Such schedules shall be established by mutual agreement of the Home and the Union; (b) These schedules may pertain to full-time and/or part-time employees; (c) The introduction of such schedules and trial periods, if any, shall be determined by the local parties. Such schedules may be discontinued by either party with notice as determined through local negotiations; (d) Upon written agreement of the Home and the Union, the parties may agree to amend collective agreement provisions to accommodate any innovative unit schedules; (e) It is understood and agreed that these arrangements are based on individual circumstances and each agreement is made on a without prejudice or precedent basis. (f) It is understood and agreed that these arrangements can be utilized for temporary job postings for seasonal coverage (e.g. weekend workers, etc.).
