Rule 144A Global Security. If a holder of a beneficial interest in the Restricted Regulation S Global Security, the Unrestricted Regulation S Global Security or the IAI Global Security deposited with the U.S. Depositary wishes at any time to exchange or transfer its interest in such Restricted Regulation S Global Security, Unrestricted Regulation S Global Security or IAI Global Security to a Person who wishes to take delivery thereof in the form of an interest in the Rule 144A Global Security such holder may, subject to the rules and procedures of Euroclear or Cedel and the U.S. Depositary, as the case may be, exchange or transfer or cause the exchange or transfer of such interest for an equivalent beneficial interest in the Rule 144A Global Security, in accordance with, and subject to, this clause (iv). Upon receipt by the Trustee, at the Corporate Trust Office of (1) instructions from Euroclear or Cedel or the U.S. Depositary, as the case may be, directing the Trustee to credit or cause to be credited a beneficial interest in the Rule 144A Global Security equal to the beneficial interest in the Restricted Regulation S Global Security, the Unrestricted Regulation S Global Security or the IAI Global Security to be exchanged or transferred, such instructions to contain information regarding the Agent Member's account with the U.S. Depositary to be credited with such increase, and, with respect to an exchange or transfer of an interest in the Unrestricted Regulation S Global Security, information regarding the Agent Member's account with the U.S. Depositary to be debited with such decrease, and (2) a certificate in the form of Exhibit E attached hereto given by the holder of such beneficial interest and stating that the person exchanging or transferring such interest in the Restricted Regulation S Global Security, the Unrestricted Regulation S Global Security or the IAI Global Security, as the case may be, reasonably believes that the person acquiring such interest in the Rule 144A Global Security is a qualified institutional buyer (as defined in Rule 144A) and is obtaining such beneficial interest in a transaction meeting the requirements of Rule 144A, Euroclear or Cedel or the Trustee, as the case may be, shall instruct the U.S. Depositary to reduce the Restricted Regulation S Global Security, the Unrestricted Regulation S Global Security or the IAI Global Security, as the case may be, by the aggregate principal amount of the beneficial interest in the Restricted Regulation S Global...

Rule 144A Global Security. If the owner of a beneficial interest in the Regulation S Global Security or Institutional Accredited Investors Global Security wishes at any time to transfer such interest to a Person who wishes to acquire the same in the form of a beneficial interest in the Rule 144A Global Security, such transfer may be effected only in accordance with this paragraph (ii) and subject to the Applicable Procedures. Upon receipt by the Trustee, as Security Registrar, of (a) an order given by the Depositary or its authorized representative directing that a beneficial interest in the Rule 144A Global Security in a specified principal amount be credited to a specified Agent Member’s account and that a beneficial interest in the Regulation S Global Security or Institutional Accredited Investors Global Security, as applicable, in an equal principal amount be debited from another specified Agent Member’s account and (b) if such transfer is to occur during the Restricted Period, a Restricted Securities Certificate in the form of Exhibit B hereto, satisfactory to the Trustee and duly executed by the owner of such beneficial interest in the Regulation S Global Security or Institutional Accredited Investors Global Security, as applicable, or his attorney duly authorized in writing, then the Trustee, as Security Registrar, shall reduce the principal amount of the Regulation S Global Security or Institutional Accredited Investors Global Security, as applicable, and increase the principal amount of the Rule 144A Global Security by such specified principal amount.
Rule 144A Global Security. All of the Securities are being offered and sold to qualified institutional buyers as defined in Rule 144A ("QIBs") in reliance on Rule 144A and shall be issued initially in the form of a Rule 144A Global Security, which shall be deposited on behalf of the purchasers of the Securities represented thereby with the Trustee, at its Corporate Trust Office, as custodian for the depositary, The Depository Trust Company ("DTC") (such depositary, or any successor thereto, being hereinafter referred to as the "Depositary"), and registered in the name of its nominee, Cede & Co., duly executed by the Company and authenticated by the Trustee as hereinafter provided. The aggregate principal amount of the Rule 144A Global Security may from time to time be increased or decreased by adjustments made on the records of the Trustee and the Depositary as hereinafter provided subject in each case to compliance with the applicable rules and procedures of the Depositary.

  • Rule 144A Global Certificate to Temporary Regulation S Global Certificate If a holder of a beneficial interest in the Rule 144A Global Certificate deposited with the Certificate Registrar as custodian for the Depository wishes at any time during the Restricted Period to exchange its interest in such Rule 144A Global Certificate for an interest in the Temporary Regulation S Global Certificate of the same Class, or to transfer its interest in such Rule 144A Global Certificate to an institution that is required to take delivery thereof in the form of an interest in the Temporary Regulation S Global Certificate of the same Class, such holder may, subject to the rules and procedures of the Depository, exchange or cause the exchange of such interest for an equivalent beneficial interest in such Temporary Regulation S Global Certificate.   • Regulation S Global Notes Notes offered and sold in reliance on Regulation S shall be issued initially in the form of the Legended Regulation S Global Note, which shall be deposited on behalf of the purchasers of the Notes represented thereby with the Trustee, as custodian for the Depositary, and registered in the name of the Depositary or the nominee of the Depositary for the accounts of the designated Participants in the Depositary, duly executed by the Company and authenticated by the Trustee as hereinafter provided. The aggregate principal amount of the Regulation S Global Note may from time to time be increased or decreased by adjustments made on the records of the Trustee and the Depositary or its nominee, as the case may be, in connection with transfers of interest as hereinafter provided.

  • Non-Global Security to Non-Global Security A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 3.6(a), provided that if the Security to be transferred in whole or in part is a Restricted Security, the Securities Registrar shall have received a Restricted Securities Certificate duly executed by the transferor Holder or such Holder's attorney duly authorized in writing.
