Sales Data. 8.1.1. UC Fiscal Year to Date (beginning July 1).
Sales Data. NMC Distribution Center shall submit all Direct Product sales data, including Customer returns, rebillings and associated credits to IMS America, Ltd. ("IMS") and to any other third-party sales reporting organization as reasonably requested by Amgen, on a monthly basis, and within two (2) weeks after the close of each month. NMC Distribution Center shall provide all information and assistance reasonably required by Amgen to determine and verify Medicaid, other government, or third-party rebate claims or obligations. If NMC Distribution Center is unable to report such sales data to the agreed upon independent third-party sales reporting organization(s) due to unwillingness of the third party to deal with NMC Distribution Center, Amgen's sole recourse shall be to terminate the Direct Product purchase components of this Agreement.
Sales Data. Within fifteen (15) days after the end of each quarter, Valeant shall provide to Meda a report of all sales of Licensed Products occurring in the Elidel Territory or Xerese Territory, as applicable, such report shall include recorded sales of Licensed Products by volume and value and market share percentage by volume and value. Valeant shall use Commercially Reasonable Efforts to provide Meda with monthly reports, of gross sales, unit sales, IMS reports and its best estimate of Net Sales of Licensed Products in the Elidel Territory or Xerese Territory, as applicable, within fifteen (15) days of the end of each month.
Sales Data. Datascope shall maintain complete and accurate records of its sales of Licensed Devices. Masimo shall have the right to verify, at its expense and not more frequently than once per year and upon not less than ten (10) business days' prior written notice to Datascope, the accuracy of the accounting reports provided by Datascope hereunder, through inspection of
Sales Data. Each Party shall, on a quarterly basis, between thirty (30) and sixty (60) days after the applicable quarter, report to the other Party its sales of Covered Products broken down by product type. Such sales data shall only be provided to those with a need to know such data and shall be deemed to be “Confidential Information” as defined in Section 15.1. Under no circumstances shall such data be disclosed to individuals with price setting responsibilities. Each Party shall have the right, not more than once in a 12-month period, to have an accounting firm reasonably acceptable to both Parties solely to confirm the other Party’s sales of Covered Products at the reviewing Party’s expense, and solely to confirm the sales of the Covered Product by product type and report overages and underages of such. The accounting firm shall execute nondisclosure agreements with each Party that prevents any additional disclosure.
Sales Data. Seller shall deliver to Buyers, within 15 days after completion of April 2014 and each fiscal month ending after the date hereof and prior to the applicable Closing, a schedule for each Store setting forth the weekly sales and script count for that Store during that most recently completed fiscal month, as compiled from Seller’s records and in a form that would be reported to Parent for purposes of preparing its consolidated financial statements.
Sales Data. In performance of its duties and obligations under this Agreement, the Adviser shall use best efforts to not share sales data for the Fund with the Sub-Adviser.
Sales Data. Merchant shall evidence all sales and leases made through the use of Electronic Data Capture ("EDC") services involving the honoring of Cards (all such resulting sales data or electronic records being collectively referred to herein as "Sales Data").
Sales Data. The Seller has delivered to the Buyer the sales data identified in and attached to that certain letter dated December 20, 1995 from the Seller and CP to the Buyer. Case volume in such sales data includes inter-company sales as well as internal sales to the Seller's company stores or otherwise. All of such sales data was, as of their respective dates, true and correct in all material respects, and the Seller has no reason to believe that there will be a material decrease during the first eleven months of 1996 in total sales of the Domestic Product Line compared with the first eleven months of 1995 as same is reflected in such sales data. Additionally, the Seller is not aware, with respect to any of the Products which constitute the Domestic Product Line, that any of the top fifteen (15) customers identified in such sales data (exclusive of affiliates) with respect to each Product intends to discontinue carrying such Product or materially decrease its orders therefor.
Sales Data. In performance of its duties and obligations under this Agreement, the Manager shall not share sales data for any of the Funds in the Trust with the Subadviser.
