Scope of Subscription. Your subscription grants you access to the Service for an unlimited number of your employees. You agree not to allow access to the Service other than by your employees. You agree that each employee accessing the Service will register under a unique user name and password, unless Xxxxx Xxx agrees otherwise. You agree not to allow access to the Service as part of a service bureau, rental arrangement, or for any similar purpose.

Scope of Subscription. 1.1. Unless stated otherwise in the applicable Order Form, Application Services and access to content are purchased as Subscription for the Term. The Customer agrees that its purchases are not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by the Company regarding future functionality or features.

Scope of Subscription. The base subscription fee provides subscription services to XxxXxxxxxxxxx.xxx for Eleven (11) agencies and county-wide specialty teams, which are as identified on the county implementation plan attached hereto as Exhibit “A.” For the purpose of this Subscription Agreement, an “agency” is defined as a single entity with the ability to view all responders of each company and station of that entity on a single sub-site of the XxxXxxxxxxxxx.xxx system. Each entity which desires to view responders of its companies or stations on separate sub-sites of the system shall be treated as a separate agency for each sub-site established. For example, a fire department with two stations that desires to have each of its’ monitors display every responder to every event on a single sub-site of XxxXxxxxxxxxx.xxx constitutes one agency. A fire department with two stations that wants to view the separate responders assigned to each station on two separate sub-sites will be treated as two agencies. Multiple agencies and teams shall not share subscription services, and any sharing of services with any entity not specifically identified on the attached County Implementation plan shall constitute a material breach of this Agreement. In the event of such a breach, Subscriber shall pay to ESMC the sum of $850 per year of use for each non-identified entity sharing such services. Subscriber warrants that Eight (8) of the proposed agencies and teams are dispatched to more than 100 dispatches of their own dispatches per year, and Two (2) of the proposed agencies is/are dispatched to fewer than 100 dispatches of their own dispatches per year. One (1) Complimentary system is provided for Emergency Management.

  • Term of Subscriptions The Initial Subscription of each Subscription is set out on the relevant Order Form and starts on the earlier of: (a) the date a User first accesses the Service; or (b) the start date set out on the relevant Order Form. SUBSCRIPTIONS AUTOMATICALLY RENEW FOR A FURTHER 12-MONTH PERIOD (A RENEWAL) UNLESS EITHER PARTY HAS GIVEN THE OTHER NOT LESS THAN 60 CALENDAR DAYS’ NOTICE PRIOR TO ITS EXPIRY TO CANCEL IT ON EXPIRY. If Renewed before expiry any increase in Fees will be limited to the then rate of the UK Consumer Price Index plus 5% (unless We provide you, either directly or through a Reseller, with notice of a different increase at least 90 days’ prior to the Renewal date). This restriction will not: (a) limit any increase caused by changes in the number or type of Subscriptions; or (b) apply to a Subscription Renewed after its expiry. We do not commit to offering promotional discounts on Renewals. If you look to reduce your Subscriptions, or the length of your Renewal from those during the immediately prior Initial Subscription or Renewal (as applicable), this may result in re-pricing without regard to your current per-Subscription pricing. Notices may be given by Us by email or electronically submitted invoice or notice.

  • Software Subscription The Term of any Software Subscription shall automatically renew for an additional Subscription License Term unless written notice of termination is given to the other Party three (3) months prior to the expiration of the then-current Term.

Red Hat Storage Server for On-Premise is intended for use on a dedicated System, Physical Node, Virtual Node or Virtual Guest; running other applications and/or programs of any type on the System, Physical Node, Virtual Node or Virtual Guest can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage Server for Public Cloud Red Hat Storage Server for Public Cloud is intended to be used as a storage system and will be supported only when used as a storage node. When running in Amazon Web Services, an EC2 M1 Large dedicated instance is required in order to be supported. Running other applications and/or programs of any type on the same instance can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage for Red Hat Enterprise Linux OpenStack Platform Red Hat Storage Server for Red Hat Enterprise Linux OpenStack Platform is intended to be used as a storage system with Red Hat Enterprise Linux OpenStack Platform and will be supported only when used as a storage node.   • Software Subscription Lifecycle During the life cycle of Red Hat Software, the scope of Software Maintenance and Support evolves and, after a number of years, we discontinue Software Maintenance and Support for older versions of Software. The details of the Software Maintenance and Production Support life cycle are set forth at xxxxx://xxxxxx.xxxxxx.xxx/support/policy/update_policies.html. If available, you may purchase Extended Update Support and/or Extended Life Cycle Support, as described in Exhibit 1.G, to extend your Subscription Services for certain versions of Software.

  • User Subscriptions Unless otherwise specified in the applicable Order Form, (i) Services are purchased as User subscriptions and may be accessed by no more than the specified number of Users, (ii) additional User subscriptions may be added during the subscription term at the same pricing as that for the pre-existing subscriptions, prorated for the remainder of the subscription term in effect at the time the additional User subscriptions are added, and (iii) the added User subscriptions shall terminate on the same date as the pre-existing subscriptions. User subscriptions are for designated Users and cannot be shared or used by more than one User but may be reassigned to new Users replacing former Users who no longer require ongoing use of the Services.

  • Management Subscriptions Table 1.6 below lists the Management Subscriptions offered by Red Hat and the Unit description that is used to measure your use of the Management Subscription(s). The End User License Agreement that governs your use of the Software is located at xxx.xxxxxx.xxx/xxxxxxxx/XXXXx. The Exhibits listed in Table 1.6 contain additional information concerning the scope of the Management Subscriptions and how Red Hat provides Subscription Services to you.

  • Term of Purchased Subscriptions The term of each subscription shall be as specified in the applicable Order Form. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any renewal term will increase by up to 7% above the applicable pricing in the prior term, unless Xxxxxx provides Customer notice of different pricing at least 60 days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at Xxxxxx’x applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume for any Services has decreased from the prior term will result in repricing at renewal without regard to the prior term’s per-unit pricing.

  • Use of sub-processors (a) The data importer has the data exporter’s general authorisation for the engagement of sub-processor(s) from an agreed list. The data importer shall specifically inform the data exporter in writing of any intended changes to that list through the addition or replacement of sub-processors at least thirty (30) days in advance, thereby giving the data exporter sufficient time to be able to object to such changes prior to the engagement of the sub-processor(s). The data importer shall provide the data exporter with the information necessary to enable the data exporter to exercise its right to object.

  • ADDITIONAL USER SUBSCRIPTIONS 3.1 Subject to clause 3.2 and clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in paragraph 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreement.
