Seasonal Considerations. Due to seasonal climatic conditions or other unforeseen construction delays, it may be inappropriate, difficult and/or not in the Buyer's interest for certain exterior work to be performed on the building housing the Unit, and the surrounding grounds prior to the time that Buyer takes title. In this event, the Closing will take place at the time specified in Paragraph 7 hereof as the same maybe extended pursuant to the provisions of this Agreement; however, the Seller shall have a reasonable time, which in no event is to exceed approximately Six (6) months from the date of the Closing, to complete the exterior work, the nature of which will be specified at the Closing. If the Unit is deemed ready for Closing in accordance with the provisions of paragraph 7 hereof, no “hold back” or the escrowing of funds in any amounts due the Seller, will be required or permitted, to ensure the completion of the exterior work to be performed by Seller.
Seasonal Considerations. Training would need to follow the fire season, so late October through November are possibilities (al- though many participants might have conflicting needs for wood gathering). February-April are additional training months, according to Xxxxxxx. Training Time-line Development Part of TOT Process The exact time-line to accommodate the number of trainings suggested in Page 10 of this plan will emerge from participant interaction during the Official Training of Trainers sessions scheduled for mid-September. This process is neces- sary to honor the training philosophy identified earlier in this Training Plan. This session will also tackle the day-to-day curriculm de- sign for each of the training sessions. The Participation and Forest Training Specialist feel that full faculty involvement in this process will aid program ownership and thus, sustainability and diffusion of the pilot program to other Krais. Although this process shrinks the time between the TOT and the first off-fire-season opportunity for training, the TOT group should be able to produce a course structure to test in the first round of forest staff training in November. Results of this November training will be used to fine-tune additional trainings tenta- tively scheduled for late January through April. Preliminary estimates for the initial training rounds should produce approximately 200 trainees. Management Seminars Will Precede Field Staff Training As noted on Page 10 of this Plan, Management Seminars / Briefings will be held to inform the top orga- nizational structure and significant others of the Training Plan and Process. These Briefings will seek admin- istrative input to the Plan and also deliver any executive training requested by this audience. Similarly, Leskhoze Directors will receive a training program designed to support their administrative leadership in the FOREST Project fire prevention program. Each level in the staff structure will have instruction keyed to the needs of that level in the organizational structure as noted on Page 11 of this Training Plan.   • Ethical Considerations The study will be conducted in accordance with ethical principles founded in the Declaration of Helsinki. The Institutional Review Board (IRB)/Independent Ethics Committee (IEC) will review all appropriate study documentation in order to safeguard the rights, safety and well-being of the subjects. The study can only be conducted at study sites where IRB/IEC approval has been obtained. The protocol, informed consent form, Investigator’s Brochure, advertisements (if applicable), and all other forms of information given to subjects will be provided to the IRB/IEC by the Investigator. In addition, reports on the progress of the study will be submitted to the IRB/IEC by the Investigator at the appropriate intervals.

  • Financial Considerations 5.1 In the event aggregate funding provided to SCDDO from county, state and/or federal sources is reduced or in any way becomes insufficient to fund this Agreement, the obligations of both SCDDO and the CSP must thereupon be: (1) reduced on a pro rata basis, or (2) renegotiated or terminated, provided that any termination of this Agreement must be without prejudice to any obligations or liabilities of the parties accrued prior to the termination.

  • Environmental Considerations A. Company, its officers, agents, servants, employees, invitees, independent contractors, successors, and assigns will not discharge or spill any Hazardous Substance, as defined herein, into any component of the storm drainage system or onto any paved or unpaved area within the boundaries of the Premises. In addition, Company will not discharge or spill any Hazardous Substance into any component of the sanitary sewer system without first neutralizing or treating same as required by applicable anti-pollution laws or ordinances, in a manner satisfactory to Authority and other public bodies, federal, state, or local, having jurisdiction over or responsibility for the prevention of pollution of canals, streams, rivers, and other bodies of water. Company’s discharge, spill or introduction of any Hazardous Substance onto the Premises or into any component of Authority’s sanitary or storm drainage systems will, if not remedied by Company with all due dispatch, at the sole discretion of Authority, be deemed a default and cause for termination of this Agreement by Authority, subject to notice and cure. Such termination will not relieve Company of or from liability for such discharge or spill.

  • RISK CONSIDERATION There are no significant risks associated with the recommendations contained within this report. This application may be considered under existing MPS policies. Community Council has the discretion to make decisions that are consistent with the MPS, and such decisions may be appealed to the N.S. Utility and Review Board. Information concerning risks and other implications of adopting the proposed development agreement are contained within the Discussion section of this report. ENVIRONMENTAL IMPLICATIONS No environmental implications are identified.

  • FINANCIAL CONSIDERATION A. The College/University and the Facility shall each bear their own costs associated with this Agreement and no payment is required by either the College/University or the Facility to the other party, except that, where applicable, the Facility shall pay the tuition and other educational fees of students it places in the clinical experience program.

  • Other Considerations A. Changes to an Approved Scope of Work: The Recipient shall notify FEMA and shall require a sub-recipient to notify it immediately when a sub-recipient proposes changes to an approved scope of work for an Undertaking.
