Secondment Period. The secondment period shall begin on the date of the Stage I Closing, and shall have an Ending Date (“Secondment Ending Date”) either (A) on December 31, 2000, if the Stage I Closing occurs on or before September 30, 2000, or (B) on December 31, 2001, if the Stage I Closing occurs after September 30, 2000.
Secondment Period. The Secondment Period shall be deemed to have commenced on November 5, 2019, and shall continue until terminated by either party, as provided below in Section 8.
Secondment Period. Celadon shall second Xxxxxxx to TA Dispatch on a part-time basis of 50% of his work time for the duration of the Secondment (the "Secondment Period") to provide the services in accordance with the terms of this Agreement. The allocation of Xxxxxxx’x work time shall be coordinated by Celadon and TA Dispatch, in good faith, so as to effect a mutually agreeable allocation of 50% of his work time to Celadon and 50% of his work time to TA Dispatch and each Party will endeavor to notify the other Party in advance of any period of time for which it expects to require more than 50% of Xxxxxxx’x time. In the event either Party believes it is not receiving appropriate work time of Xxxxxxx, it shall promptly notify the other Party in writing, and the Parties shall cooperate in good faith to reallocate Xxxxxxx’x work time in accordance with the prior sentence. The Secondment Period shall commence on the Effective Date, and shall continue until April 15, 2020, or until terminated by either party, as provided below in Paragraph 9. The Parties currently contemplate that at the end of the Secondment Period Xxxxxxx will become a full-time employee of TA Dispatch, subject to TA Dispatch and Xxxxxxx reaching mutually agreeable terms of such employment.
Secondment Period. The Secondment Period shall commence on December 19, 2006 (the “Effective Date”) and shall continue for a period of nine (9) months, unless extended further or terminated earlier, in accordance with the terms of this Agreement. Secondment Period. Beginning on the Effective Date and continuing through the second anniversary of the Effective Date, (the “Initial Secondment Period”), SCF will assign Xx. Xxxxxxxx to the Company to provide his services as the Company’s Vice President, Strategic Development, which is an officer-level position with the Company. The Parties may, by mutual written agreement, renew this Agreement beyond the Initial Secondment Period. Notwithstanding the foregoing, this Agreement shall be terminated prior to the expiration of the Initial Secondment Period or any applicable extension period upon the occurrence of any of the following conditions: a) upon mutual agreement of the Parties; b) immediately upon election by a non-breaching Party following a material breach of this Agreement that is not cured by the breaching Party within thirty (30) days after receipt of written notice of such breach; c) immediately upon the termination of Xx. Xxxxxxxx’x employment with SCF; and d) upon the expiration of a thirty (30) day written notice to terminate this Agreement provided by the Company to SCF or by SCF to the Company.
Secondment Period. The Secondment Period commenced on July 15, 2007, and shall continue in effect until this Agreement is terminated upon the written agreement of the parties or the termination of Avidan’s employment with Employer.
Secondment Period. The period of secondment for each Seconded Employee (the “Secondment Period”) shall commence on the later to occur of (a) the Closing Date and (b) April 2, 2007 and end (x) not later than June 30, 2008 with respect to the Seconded Employees (and the corresponding Secondment Period for each Seconded Employee shall be set forth on Schedule 2.1.1 of this Agreement), other than the Seconded Employees listed on Schedule 3.1.3 of this Agreement, and (y) not later than December 31, 2009 with respect to the Seconded Employees listed on Schedule 3.1.3 of this Agreement; provided, however, that (i) the Secondment Period may be shortened or extended by written agreement of the Parties with respect to any given Seconded Employee, (ii) the Secondment Period shall be shortened, and shall terminate, with respect to any given Seconded Employee immediately upon Fujitsu’s receipt of written notice from the Company stating that such Seconded Employee has voluntarily or involuntarily retired from the Company (in which case any costs, including severance payments in accordance with Company policies and retirement allowances that the terminated Seconded Employee is eligible to receive as a result of having been an employee of the Company, arising from or in any way related to such voluntary or involuntary retirement shall be borne by the Company), (iii) the Secondment Period shall be shortened, and shall terminate, with respect to any given Seconded Employee, immediately upon the Company’s receipt of written notice from Fujitsu in accordance with Section 3.1.3, (iv) the Secondment Period may be extended by written agreement of the Parties, with respect to any given Seconded Employee (other than a Seconded Employee listed on Schedule 3.1.3 of this Agreement), in the event that the Company and Fujitsu are able to reach the agreements contemplated by Section 2.6 of the Foundry Agreement by December 31, 2007, (v) if the actual purchase requirements of the Company under the Foundry Agreement during any two (2) consecutive quarters on a rolling basis is more than ten percent (10%) less than the respective projected purchase requirement of the Company for each such quarter as set forth on Schedule 2.1.3A of this Agreement (as such Schedule may be amended from time to time by the Parties), Fujitsu shall have the right (which right may be exercised by giving the Company thirty (30) days prior written notice) to reduce the number of Seconded Employees who are operators, maintainers, tech...
