Security Procedures & Authentication ; Responsibility for Instructions and Transactions. W e will provide the Administrator with a Company ID, User ID and Temporary Passw ord. If the Business Online service you select is restricted to a single user, you agree that the Administrator will not, under any circum stances, share his/her User ID and Password, even with another individual who may an Authorized Signer. If the Business Online service you select allows m ultiple users, the Administrator (or any User with Administrator Authority) will be responsible for creating User IDs for all other User(s) authorized to use Business Online Services. Administrator(s), after logging in with a temporary password, and User(s) must create a custom ized passw ord (“Passw ord”) which will be used for future Business Online Services sessions. Passwords must contain letters and numbers (alphanum xxxx) and otherwise m eet the requirem ents established for Business Online. The Administrator and each User may change his/her Passw ord up to one time a day by following the instructions within Business Online. The Administrator and Users will also be prompted to change their Passw ord from time to time. Passwords should not be associated with any personal inform xxxxx, such as social security numbers, address, birthdays, phone numbers, or nam es that might be easy for others to determ ine. For security purposes, we also recommend that Administrator and User IDs and Passw ords be m emorize and not written down. In addition to the use of a Company ID, User ID and Password, we offer a number of methods of authentication and other security procedures related to access and transactions within Business Online. W ithin Business Online, the Administrator may establish maxim um single transaction and daily dollar lim its and/or require secondary authorization or verific ation of transactions that involve transfer of funds, including internal transfers, Positive Pay Decisions, Loan Advances/Paym ents, W ires and ACH transactions. Each Administrator and User will select a Picture and Personal Phrase that will be displayed on the Passw ord screen at each subsequent log-in. If the selected Picture and Personal Phrase are not displayed on the screen requesting the Password, the site being accessed is not authorized by us and the Administrator or User should not proceed. Each Administrator and User will also be required to choose from a pre-chosen list of Challenge Questions and will be required to provide a correct answer to a minimum of two (2) Challenge Questions.   • Termination of Contractor’s Responsibilities This Agreement will be considered complete when all work has been completed and accepted by the COUNTY and all warranty periods have expired. The CONTRACTOR will then be released from further obligation except as set forth in this Agreement.

These descriptions shall be recognized as the job descriptions for such positions.

  • Acknowledgement of Services and Responsibility of the Manager The Resident acknowledges that neither the Manager nor the Institution stands in loco parentis with respect to the Resident. The Residence provides living accommodations for independent students who are to be responsible and accountable for their personal needs and their interactions with their fellow residents as opposed to residential care. The Manager is responsible for the maintenance and operation of the residence. The Manager, in consultation with the Institution, may from time to time, in its sole and unfettered discretion, establish and/or amend policies, protocols and guidelines to uphold and ensure compliance with the standards set forth by the Manager, all of which will constitute part of the Residence Community Living Standards or Institution Code of Conduct, as appropriate. The Resident hereby acknowledges and agrees that they are solely responsible for their compliance with / review of such policies, protocols and guidelines (as may be created, amended, revised or restated by the Manager) found at xxx.xxxxxxxxxxxxxxxxx.xx.

  • Assignment of Responsibilities The parties understand that, while hourly rate may be used in statistical calculations or to report the fulfillment of duties to governing agencies, graduate assistants who are employed as research, teaching or instructional assistants (Class codes 9181, 9182, 9183, 9184, 9550) are salaried employees. Graduate assistants employed in Class code 9185 are appointed as non-exempt hourly employees and will need to complete a time sheet. Time clocks shall not be used to record work hours.

  • Responsibilities of Counsel Class Counsel and Defense Counsel are jointly responsible for expeditiously finalizing and filing the Motion for Preliminary Approval no later than 30 days after the full execution of this Agreement; obtaining a prompt hearing date for the Motion for Preliminary Approval; and for appearing in Court to advocate in favor of the Motion for Preliminary Approval. Class Counsel is responsible for delivering the Court’s Preliminary Approval to the Administrator.

  • Limitation on Custodian Responsibility The Custodian will not under any circumstances be responsible for the timing, purpose or propriety of any contribution or of any distribution made hereunder, nor shall the Custodian incur any liability or responsibility for any tax imposed on account of any such contribution or distribution. Further, the Custodian shall not incur any liability or responsibility in taking or omitting to take any action based on any notice, election, or instruction or any written instrument believed by the Custodian to be genuine and to have been properly executed. The Custodian shall be under no duty of inquiry with respect to any such notice, election, instruction, or written instrument, but in its discretion may request any tax waivers, proof of signatures or other evidence which it reasonably deems necessary for its protection. The depositor and the successors of the depositor including any executor or administrator of the depositor shall, to the extent permitted by law, indemnify the Custodian and its successors and assigns against any and all claims, actions or liabilities of the Custodian to the depositor or the successors or beneficiaries of the depositor whatsoever (including without limitation all reasonable expenses incurred in defending against or settlement of such claims, actions or liabilities) which may arise in connection with this Agreement or the custodial account, except those due to the Custodian’s own bad faith, gross negligence or willful misconduct. The Custodian shall not be under any duty to take any action not specified in this Agreement, unless the depositor shall furnish it with instructions in proper form and such instructions shall have been specifically agreed to by the Custodian, or to defend or engage in any suit with respect hereto unless it shall have first agreed in writing to do so and shall have been fully indemnified to its satisfaction.

  • Application of General Conditions These General Conditions set forth the terms and conditions generally applicable to the Development Grant Agreement to the extent and subject to any modifications set forth in such agreement.”

  • Escrow Agent Not Responsible for Furnished Information The Escrow Agent will have no responsibility for seeking, obtaining, compiling, preparing or determining the accuracy of any information or document, including the representative capacity in which a party purports to act, that the Escrow Agent receives as a condition to a release from escrow or a transfer of escrow securities within escrow under this Agreement.
