Seller Compliance. Seller shall have complied with each and every covenant, undertaking and agreement to be kept or performed by Seller as provided in this Agreement.
Seller Compliance. In performing its obligations under this Order, Seller will not use child labor as defined by local law, will not use forced or compulsory labor, will not physically abuse labor and will respect employees’ rights to choose whether to be represented by third parties and to bargain collectively in accordance with local law. In addition, in all wage and benefit, working hours and overtime and health, safety and environmental matters, Seller will comply with all applicable laws and regulations. Seller further agrees that, if requested by Enidine, it shall demonstrate, to the satisfaction of Enidine, compliance with all requirements in this paragraph. Enidine shall have the right to inspect any site of Seller involved in work for Enidine, and failure to comply with the obligations in this paragraph shall be cause for immediate termination without penalty or further liability to Enidine.
Seller Compliance. Upon not less than three (3) business days' notice, Seller will provide such Buyer personnel as Buyer reasonably deems appropriate with reasonable access from time to time to Seller's facilities and records for the purpose of confirming Seller's compliance with requirement as noted in this Section 4, and for the further purpose of confirming, if reasonably deemed necessary by Buyer, Seller's compliance with applicable specification for Batteries and Components.

(a) 41 C.F.R. § 60-741.5(a). This contractor and subcontractor shall abide by the requirements of 41 C.F.R. § 60-741.5(a). This regulation prohibits discrimination against qualified individuals on the basis of disability, and requires affirmative action by covered prime contractors and subcontractors to employ and advance in employment qualified individuals with disabilities.
(b) 41 C.F.R. § 60-300.5(a). This contractor and subcontractor shall abide by the requirements of 41 C.F.R. § 60-300.5(a). This regulation prohibits discrimination against qualified protected veterans, and requires affirmative action by covered prime contractors and subcontractors to employ and advance in employment qualified protected veterans.
(c) This contractor and subcontractor shall abide by the requirements of 41 C.F.R. Parts 60-1, 60-20, and 60-50 as set forth under EO 11246 and as amended under EO 13672, specifically section 202 and section 203, where these regulations prohibit discrimination on the bases of race, color, religion, sex, sexual orientation, gender identity, or national origin and require affirmative measures to prevent discrimination on those bases from occurring.
Seller Compliance. Seller shall comply, and cause its relevant Affiliate to comply, in all material respects with its obligations under all Applicable Employment Law; provided, that, no violation of the foregoing compliance obligations shall be deemed to have occurred to the extent the Applicable Buyer Affiliate does not provide Seller, within a reasonable time after Seller’s written request to Buyer, with the requisite information as is necessary for Seller or its relevant Affiliate to satisfy its consultation obligations under Applicable Employment Law. Seller shall provide to Buyers such information as Buyers may reasonably request in writing in order to verify such compliance.
Seller Compliance. If so required, Seller agrees to obtain or submit any and all consents, notices, acknowledgments, filings, or other requirements of any governmental entity or under any license held by Seller (the “Cannabis Consents”) in connection with the Seller’s business including, without limitation, the HC licenses.
Seller Compliance. Seller shall have performed, and shall have caused the Company and Lessee to have performed, all of the covenants, undertakings and obligations to be performed or complied with by Seller at or prior to the Closing.
Seller Compliance. Each Mortgage must be executed by the Mortgagor, acknowledged and recorded. The Seller shall endorse each Mortgage note to MLCC and shall prepare an Assignment of Mortgage from Seller to MLCC, in accordance with the requirements of the Guide.

Seller Compliance. Moneys as needed from Buyer to close escrow, deposited into escrow will be evidence that Buyer has inspected the property and has satisfied himself, through his own investigation, that Seller has complied with Item 35 of the Air Contract/Escrow Instructions and same will no longer be a condition of escrow.
