Service Trial. 4.1 Free Trial Period (a) PRIME may offer the Services to the Customer as a trial at no charge for a period of time (“Free Trial Period”). (b) Subject to clause 4.1(d), the parties acknowledge that the terms and conditions of this Agreement fully apply to the parties and the Services provided during the Free Trial Period. (c) PRIME may modify or terminate the Customer’s right to use the Services during the Free Trial Period at any time and for any reason in its sole discretion, without liability to PRIME. (d) To the maximum extent permitted by law, PRIME disclaims all obligations or liabilities with respect to the Services provided during any Free Trial Period, including any support, warranty and indemnity obligations. 4.2 Trial Conditions (a) the Customer demonstrating it has a legitimate interest in using the Services to the satisfaction of PRIME, in its sole discretion; (b) the Customer attending training provided by PRIME in relation to use of the Software; and (c) the Customer completing the demonstration for the Services provided by PRIME.

Service Trial. We may provide a service trial to enable you to evaluate one or more of the services prior to the commencement of the service period. The term, success criteria (the “Success Criteria”) and other features of the service trial are described in the Service Trial Addendum provided to you at the time of signing this agreement. The Service Trial Addendum is incorporated into and forms part of this agreement and services provided by TELUS during the trial constitute services for the purposes of this agreement. If there is any conflict or inconsistency between the Service Trial Addendum and any other part of this agreement, the Service Trial Addendum will take precedence. Notwithstanding anything to the contrary contained in Section 2 of Part B of this agreement (General Terms), where we have provided a service trial for a particular service the service period for the service will begin on the day immediately following the successful completion of the service trial. For clarity, during the service trial we will not charge you service charges for the services provided at trial sites. A service trial will be considered to be successfully completed where the service trial meets the Success Criteria. If the Success Criteria have not been met during the initial trial period we will work together to resolve the deficiencies for a period of 30 days and at the end of the 30 day period assess whether the Success Criteria have been met. If the Success Criteria have still not been met unless we otherwise mutually agree to extend the services trial you may cancel the applicable service(s) without incurring service cancellation charges by providing us with written notice of cancellation within ten (10) days of the conclusion of the 30 day resolution period. If you do not provide us a written cancellation notice within such time the service trial will be deemed to have been successfully completed as of the next day following expiry of the cancellation notice period. If you are renewing a service and the service is installed at the time you sign this agreement you will not be eligible for a service trial for the service.

  • In-Service Training The District may require an assigned Therapist, at his/her own expense, to attend training deemed by the District to be necessary for performing professional services.

  • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by CBB for resale pursuant to the Resale Attachment, upon request by CBB, Verizon will establish an arrangement that will permit CBB to route the CBB Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by CBB. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by CBB and a mutually agreed-upon schedule. This routing arrangement will be implemented at CBB's expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, CBB will be responsible for ongoing monthly and/or usage charges for the routing arrangement. CBB shall arrange, at its own expense, the trunking and other facilities required to transport traffic to CBB’s selected provider of operator and directory assistance services.

  • Covered Services You will receive Covered Services under the terms and conditions of this Contract only when the Covered Service is: • Medically Necessary; • Provided by a Participating Provider for in-network coverage; • Listed as a Covered Service; • Not in excess of any benefit limitations described in the Schedule of Benefits section of this Contract; and • Received while Your Contract is in force.

  • Detailed Description of Services / Statement of Work Describe fully the services that Contractor will provide, or add and attach Exhibit B to this Agreement.

  • Client Responsibilities You are responsible for (a) assessing each participants’ suitability for the Training, (b) enrollment in the appropriate course(s) and (c) your participants’ attendance at scheduled courses.

  • Maintenance of Services A. Reseller will adopt and adhere to the standards contained in the applicable BellSouth Work Center Interface Agreement regarding maintenance and installation of service. B. Services resold under the Company’s Tariffs and facilities and equipment provided by the Company shall be maintained by the Company. C. Reseller or its end users may not rearrange, move, disconnect, remove or attempt to repair any facilities owned by the Company, other than by connection or disconnection to any interface means used, except with the written consent of the Company. D. Reseller accepts responsibility to notify the Company of situations that arise that may result in a service problem. E. Reseller will be the Company's single point of contact for all repair calls on behalf of Reseller’s end users. The parties agree to provide one another with toll-free contact numbers for such purposes. F. Reseller will contact the appropriate repair centers in accordance with procedures established by the Company. G. For all repair requests, Reseller accepts responsibility for adhering to the Company's prescreening guidelines prior to referring the trouble to the Company. H. The Company will xxxx Reseller for handling troubles that are found not to be in the Company's network pursuant to its standard time and material charges. The standard time and material charges will be no more than what BellSouth charges to its retail customers for the same services. I. The Company reserves the right to contact Reseller’s customers, if deemed necessary, for maintenance purposes.

  • Provider Services Charges for the following Services when ordered by a Physician for the treatment of an Injury or Illness.

  • Sellers Engagement of Servicer to Perform Servicing Responsibilities Section 2.01. Contract for Servicing; Possession of Servicing Files. The Seller, by execution and delivery of this Agreement, does hereby contract with the Servicer as an independent contractor, subject to the terms of this Agreement, for the servicing of the Mortgage Loans. On or before the Servicing Transfer Date the Seller shall cause the Prior Servicer to deliver to the Servicer the Servicing Files with respect to the Mortgage Loans listed on the Mortgage Loan Schedule. The Servicer shall maintain a Servicing File with respect to each Mortgage Loan in order to service such Mortgage Loans pursuant to this Agreement and each Servicing File delivered to the Servicer shall be held in trust by the Servicer for the benefit of the Trustee; provided, however, that the Servicer shall have no liability for any Servicing Files (or portions thereof) not delivered by the Seller. The Servicer’s possession of any portion of the Mortgage Loan documents shall be at the will of the Trustee for the sole purpose of facilitating servicing of the related Mortgage Loan pursuant to this Agreement, and such retention and possession by the Servicer shall be in a custodial capacity only. The ownership of each Mortgage Note, Mortgage, and the contents of the Servicing File shall be vested in the Trustee and the ownership of all records and documents with respect to the related Mortgage Loan prepared by or which come into the possession of the Servicer shall immediately vest in the Trustee and shall be retained and maintained, in trust, by the Servicer at the will of the Trustee in such custodial capacity only. The portion of each Servicing File retained by the Servicer pursuant to this Agreement shall be appropriately marked to clearly reflect the ownership of the related Mortgage Loan by the Trustee. The Servicer shall release from its custody the contents of any Servicing File retained by it only in accordance with this Agreement.
