Software Maintenance Program. (SMP) The SMP for the IIU is comprised of the following: a. Current Release Maintenance (Defect Resolution) (i) Iridium will be responsible for the initial diagnosis and isolation of reproducible Software Defects. In the event of any such Software Defect, Iridium shall notify Motorola promptly of the Software Defect through the Gateway Technical Assistance Center (GTAC) and characterize the nature of the defect. (ii) When a Software Defect is reported by Iridium, Motorola will assign the concern as Service Affecting, Performance Affecting or Bothersome taking into account the information provided by Iridium. * Information has been omitted and files seperately with the Commission pursuant to Rule 406 of the Securities Act of 1933. (iii) Motorola shall provide such service as is necessary to correct Software Defects in accordance with the applicable published generic specifications on a priority basis according to the assigned severity of the problem. (iv) Motorola shall, if necessary, work with the appropriate subsystem suppliers to seek corrective action. Depending on the severity of the problem, the solution may be: a) a Software Patch, b) a procedural "work-around," c) the inclusion of corrective action in a Point Release, d) inclusion of corrective action in a future Major Release, or e) a combination of the foregoing methods. (v) Iridium will perform the installation of Software Patches, Point Releases, and Major Releases. The GTAC shall be available to consult with Iridium during the loading of Software. Any Motorola performed on-site loading of Software Patches, Point Release Software, and Major Release Software is subject to an additional charge. (vi) Motorola shall track all of the open problems and work with the subsystem suppliers and Iridium to reach closure. (vii) Motorola shall support the current Major Release installed on the IIU Equipment, but shall have no responsibility to support prior releases.

Software Maintenance Program. (SMP) The following describes Seller's SMP: 3.1. Definitions Terms which are capitalized have the meanings set forth below or, absent definition herein, as contained in the Agreement. Feature An innovation or performance improvement to Software that is made available to all users of the current Software release. Features are licensed to Customer individually and may be at additional cost. Major Release Indicates a new version of Software that adds new Features (excluding Optional Features) or major enhancements to the currently existing release of Software. Point Release Indicates a modification to Software resulting from planned revisions to the current release, or corrections and/or fixes to the current release of Software. Software Patch Software that corrects or removes a reproducible anomaly or "bug" in an existing Major Release.
Software Maintenance Program. 6.5.1 Per the terms of Licensee’s respective Purchase Agreement, Licensee may purchase subscriptions for the Software Maintenance Program for the Licensed Software; provided, however, that: (a) If Licensee fails to subscribe to the Software Maintenance Program in any year, then Licensee shall be forbidden from subscribing to the Software Maintenance Program at any time during the remaining Term of this Agreement; and (b) Licensor will not provide Software Maintenance for any modifications to the Licensed Software which have not been provided by Licensor.

Unless otherwise specified by this Agreement, Contractor will deliver all goods purchased by the Court “Free on Board Destination Freight Prepaid” to the Court at the address and location specified by the Court. Title to all goods purchased by the Court vests in the Court upon payment of the applicable purchase price. Contractor will bear the risk of loss for any Work being delivered until received by the Court at the proper location. All shipments by Contractor or its Subcontractors must include packing sheets identifying: this Agreement number, the Court’s purchase order number, item number, quantity and unit of measure, part number and description of the goods shipped, and appropriate evidence of inspection, if required. Goods for different Agreements shall be listed on separate packing sheets.

  • Routine Maintenance (i) CRC shall be responsible for Routine Maintenance when necessary or desirable to maintain the Shared Assets in a safe operating condition, and to permit and facilitate (A) the performance by CRC of its obligations pursuant to this Agreement, and (B) the use of Shared Assets by the Operators in accordance with this Agreement. (ii) CSXT or NSR, directly or through their respective affiliates, may perform the work which CRC performed prior to the date of this Agreement when (A) CRC does not possess the skills needed for such work, (B) CRC lacks the necessary employees to do such work in a timely fashion, or (C) CRC does not possess the equipment needed to do such work. CRC and the party performing the work shall agree to a reasonable fee for such work prior to performance. CRC, CSXT and NSR may agree to have additional work performed either by CSXT, NSR or their affiliates.
