STATEMENT OF WORK AND DELIVERABLES. Attachments A and B provide a detailed description of the work to be accomplished and reports and deliverables required by this Task Order. All changes to Attachments A and B must be incorporated via written modification to this Task Order.
STATEMENT OF WORK AND DELIVERABLES. 1. The obligations of each Party with respect to the work or research to be performed pursuant to this Agreement and the deliverables as a result of such work or research are set forth in detail in the Statement of Work for the Project (the "SOW") which is attached hereto as Exhibit A and hereby incorporated by reference. As more specifically described in Exhibit A, the Project will be performed in four phases (hereinafter Phase 1, Phase 2, Phase 3, and Phase 4), each of which is likely to xxxxxx xxxx xxx xxxxx.

STATEMENT OF WORK AND DELIVERABLES. 4.1 Where the Studio seeks a material change to the SOW, the Studio shall give the Contractor reasonable written notice requesting the same (or such other time frame as may be agreed between the Parties in writing in good faith). The Contractor shall use all reasonable endeavours to meet the changed requirements as detailed in the written notification. Payment for such changes (if any) shall be agreed between the Parties. In the event that such a change results in the Contractor suffering Losses or otherwise incurring costs (including, but not limited to, the redeployment of persons engaged or employed by the Contractor to provide the Services), the Parties agree that the Studio shall pay a reasonable sum (to be agreed between the Parties in writing in good faith) to compensate any damages actually suffered or costs actually incurred by the Contractor in such circumstances. If the Parties are unable to agree on additional charges and/or costs to be paid by the Studio to the Contractor, the Contractor shall be under no obligation to make the additional change to the SOW.

  • Statement of Work The Contractor shall provide the services and staff, and otherwise do all things necessary for or incidental to the performance of work, as set forth below:

  • Deliverables Upon satisfactory completion of the work authorization, the Engineer shall submit the deliverables as specified in the executed work authorization to the State for review and acceptance.

  • Technical Specifications The Technical Specifications furnished on the CD are intended to establish the standards for quality, performance and technical requirements for all labor, workmanship, material, methods and equipment necessary to complete the Work. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.

  • Scope of Work The Contractor has overall responsibility for and shall provide and furnish all materials, equipment, tools and labor as necessary or reasonably inferable to complete the Work, or any phase of the Work, in accordance with the Owner’s requirements and the terms of the Contract Documents.

  • Other Deliverables For any Deliverable that is not a System Deliverable, the applicable Work Order will set forth the acceptance criteria and other testing required for District to evaluate and accept (or, where necessary, reject) such Deliverable; provided, however, that in no case will a Deliverable be accepted by District until District has provided Contractor with District’s written acceptance thereof.

  • Statements of Work 2.2 Each Statement of Work shall be agreed in the following manner:

  • Project Plan Development of Project Plan Upon the Authorized User’s request, the Contractor must develop a Project Plan. This Project Plan may include Implementation personnel, installation timeframes, escalation procedures and an acceptance plan as appropriate for the Services requested. Specific requirements of the plan will be defined in the RFQ. In response to the RFQ, the Contractor must agree to furnish all labor and supervision necessary to successfully perform Services procured from this Lot. Project Plan Document The Contractor will provide to the Authorized User, a Project Plan that may contain the following items: • Name of the Project Manager, Contact Phone Numbers and E-Mail Address; • Names of the Project Team Members, Contact Phone Numbers and E-Mail Address; • A list of Implementation milestones based on the Authorized User’s desired installation date; • A list of responsibilities of the Authorized User during system Implementation; • A list of designated Contractor Authorized Personnel; • Escalation procedures including management personnel contact numbers; • Full and complete documentation of all Implementation work; • Samples of knowledge transfer documentation; and • When applicable, a list of all materials and supplies required to complete the Implementation described in the RFQ. Materials and Supplies Required to Complete Implementation In the event that there are items required to complete an Implementation, the Contractor may request the items be added to its Contract if the items meet the scope of the Contract. Negotiation of Final Project Plan If the Authorized User chooses to require a full Project Plan, the State further reserves the right for Authorized Users to negotiate the final Project Plan with the apparent RFQ awardee. Such negotiation must not substantively change the scope of the RFQ plan, but can alter timeframes or other incidental factors of the final Project Plan. The Authorized User will provide the Contractor a minimum of five (5) business days’ notice of the final negotiation date. The Authorized User reserves the right to move to the next responsible and responsive bidder if Contractor negotiations are unsuccessful.

  • Description of Work (a) that has been omitted or

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil. Company shall be solely responsible for the sufficiency and adequacy of the Specifications [***].

  • Service Level Agreement Subject to the terms and conditions of this Agreement, Bank agrees to perform the custody services provided for under this Agreement in a manner that meets or exceeds any service levels as may be agreed upon by the parties from time to time in a written document that is executed by both parties on or after the date of this Agreement, unless that written document specifically states that it is not contractually binding. For the avoidance of doubt, Bank’s Service Directory shall not be deemed to be such a written document.
