Sublandlord’s Costs Sample Clauses
Sublandlord’s Costs. Subtenant shall reimburse Sublandlord, on demand, for all costs and expenses incurred by Sublandlord in connection with any proposed assignment or subleasing by Subtenant, including reasonable attorneys' fees. Subtenant shall also pay to Sublandlord, its administrative fee, as established by Sublandlord from time to time, in connection with Sublandlord's review and consideration of any such request for Sublandlord's consent.
Sublandlord’s Costs. In any case where Subtenant requests permission from Sublandlord or Master Landlord to assign, sublet, make alterations, or receive any other consent or obtain any waiver from or modification to the terms of this Sublease, Subtenant shall pay to Master Landlord any reasonable fees and costs charged by Master Landlord and to Sublandlord a reasonable administrative charge and reasonable attorney’s fees incurred in reviewing such request, which administrative charge will not exceed [***] in any one case.
Sublandlord’s Costs. Subtenant shall reimburse Sublandlord, on demand, for all costs and expenses incurred by Sublandlord in connection with any proposed assignment or subleasing by Subtenant, including reasonable attorneys’ fees and any costs and expenses payable to Master Landlord under the Master Lease, which amounts shall be included in the transaction costs Subtenant may recover in determining the portion of excess rents payable to Sublandlord pursuant to Paragraph 12.5.
Sublandlord’s Costs. Subtenant hereby agrees and acknowledges that Subtenant shall, within ten (10) days following written notice thereof, pay Sublandlord for all third-party costs and expenses incurred by Sublandlord, including, but not limited to, all charges and/or fees (i.e., attorney, architect, engineer, consultant, independent contractors, etc.), arising in connection with modifying this Sublease and/or reviewing such information and documents as Sublandlord deems necessary in connection with or related to requests made by Subtenant for (i) Sublandlord’s consent, approval or permission or (ii) Sublandlord’s execution of any and all documents, agreements, estoppels, etc.
Sublandlord’s Costs. Subtenant shall be responsible for payment of the reasonable out-of-pocket fees (not to exceed $5,000) incurred by, and the reasonable out-of-pocket cost of documents and materials supplied by, Sublandlord and Sublandlord's consultants in connection with the preparation and review of the Construction Drawings and otherwise relating to the construction of the Subtenant Initial Improvements.
Sublandlord’s Costs. Sublandlord shall pay all the Subtenant ------------------- Improvement Costs up to, but not exceeding: the Sublandlord's Allowance; the Sublandlord's Additional Allowance (subject to reimbursement as set forth above and Section 3.2); provided Sublandlord's Costs shall include any Change Order requested and approved by Sublandlord. Architect and Contractor shall submit duplicate invoices to Sublandlord and Subtenant. Sublandlord shall disburse the Allowance and any Subtenant's Costs amounts to pay the Subtenant Improvement Costs, as and when the same become due and payable based upon such invoices and fee statements. Sublandlord shall be entitled to rely on the accuracy of all invoices and fee statements for labor performed or materials furnished in connection with the Subtenant Improvements and to rely on any certification as to the Subtenant Improvement Costs submitted by Contractor or Architect. The obligation of Sublandlord to make any one or more payments pursuant to this Work Letter or to proceed with the construction of the Improvements shall be suspended without further act of the parties during any such time as there exists any event of Default or Breach under the Sublease or any event or condition which, with the passage of time or the giving of notice or both would constitute such a Default. Nothing in this Work Letter shall affect the obligations of Subtenant under the Sublease with respect to any alterations, additions and improvements within the Premises, including, without limitation, any obligation to obtain the prior written consent of Sublandlord thereto.
Sublandlord’s Costs. If Subtenant shall Transfer this Sublease or all or any part of the Sublease Premises or shall request the consent of Sublandlord to any Transfer, Subtenant shall pay to Sublandlord as Additional Rent Sublandlord’s reasonable out-of-pocket costs related thereto, including Sublandlord’s reasonable attorneys’ fees not to exceed $5,000.
