SUPPLIER DIVERSITY PROGRAM. To the extent legally permissible, SELLER will use commercially reasonable efforts to ensure the use of diverse owned suppliers, including women owned suppliers, and in the United States of America also including ethnic minority, military veteran, people with disabilities, and LGBT owned suppliers, to meet XXXXX’s goals.
SUPPLIER DIVERSITY PROGRAM. Seller shall comply with Xxxxx’s Supplier Diversity Program in accordance with Appendix XII.
SUPPLIER DIVERSITY PROGRAM. Supplier shall comply with the requirements of Aetna’s Supplier Diversity Program as detailed in the Supplier Diversity Exhibit D. Supplier shall submit to Aetna a quarterly report as described in the M/WBE Quarterly Results Report Exhibit.

Xxxxx’s policy states that all suppliers receiving contracts from Buyer in excess of five-hundred thousand dollars ($500,000), except small business concerns defined above, *** CONFIDENTIAL TREATMENT REQUESTED Navistar, Inc Enova Systems Supply Agreement will set a 5% minimum spending goal to further subcontract with Small Disadvantaged-Owned Business Concerns; will set a 5% minimum spending goal to further subcontract with Minority-Owned Business Concerns; will set a 5% minimum spending goal to further subcontract with Women-Owned Business Concerns; and will set a 3% minimum spending goal to further subcontract with Veteran-Owned Business Concerns, Service Disabled-Owned Business Concerns, and Hubzone-Located Business Concerns commensurate with the Seller’s sales to the Buyer. The Seller further agrees to submit an annual written plan to Buyer by August 31st outlining how the above stated goals will be achieved. SUPPLIER DIVERSITY PROGRAM. After Closing, Buyer will support fully the Supplier Diversity Program of Seller, a copy of which is attached as Schedule 12.12, in an effort to provide opportunities for minority-owned, women-owned, and Detroit-based businesses to work with and provide goods and services to Buyer and the Hospitals.
SUPPLIER DIVERSITY PROGRAM. 18.1 is committed to the utilization of Small Businesses and encourages the use of Small Businesses whenever and wherever possible. SUPPLIER is encouraged to utilize Small Businesses in the manufacture and distribution of SUPPLIER’s products and Services, and support ***Company policy, which includes goals outlined in Exhibit “D” –Supplier Diversity Program Data Worksheet.

18.3 Where SUPPLIERS’s utilizes Small Businesses as distributors, SUPPLIER is requested to offer pricing to such distributors in order that ***may purchase from these distributors at the same price(s) as those identified in this Agreement.
18.4 For these purposes, the term “Small Business” shall mean a U.S. firm, including its affiliates, that is independently owned and operated, is not dominant in its field, and has been categorized by the United States Small Business Administration as “Small” in accordance with 13 CFR Part 121, Small Business Size Standards and shall include those certified as a Small Disadvantaged Business pursuant to National Defense Authorization Act, Public Law 99-681 of 1987, and/or a Woman Owned Small Business pursuant to the Federal Acquisition Streamlining Act, Public Law 103-355 of 1994, and/or a Hub-Zone Business pursuant to the Hub Zone Empowerment, Public Law 101-135 of 1997, and/or a business owned by a disabled veteran pursuant to the Disabled Veteran / Veteran Requirement, Public Law 93-237 of 1999.
SUPPLIER DIVERSITY PROGRAM. CPK has an established supplier development program to develop and maintain a qualified diverse supply base. CPK actively seeks diverse suppliers and encourages Seller to use diverse suppliers. A diverse supplier is a business establishment which meets one or more of the following criteria: (a) a small business, as defined in Title 15, Section 632 of the United States Code and related regulations; (b) a small business owned and controlled by socially disadvantaged individuals (at least fifty-one percent (51) percent of the business is owned and controlled by one or more socially and economically disadvantaged individuals and the management and daily business operations are controlled by one or more such individuals); (c) a business that is at least fifty-one percent (51) percent owned by a woman or women who also control and operate the business; (d) a small business that obtains HUBZone (Historically Underutilized Business Zone) certification (maintains a principal office in a HUBZone, at least fifty-one percent (51) percent of the business is owned and controlled by one or more U.S. citizens, and at least thirty-five percent (35%) of its employees reside in a HUBZone); (e) a business that is at least fifty-one percent (51) percent owned by a service-disabled veteran (an individual who has served in the U.S. armed forces and has received an honorable discharge documented by DD Form 214, Certificate of Release of Discharge from Active Duty) or veterans who also control and operate the business; (f) a business that is at least fifty-one percent (51) percent owned by a veteran or veterans who also control and operate the business; or (g) other categories of diverse businesses as CPK may include in its diversity supplier development program. Seller will report monthly to CPK in accordance with CPK’s diversity supplier development program requirements, on the content provided by any such suppliers for the goods or services purchased hereunder as well as the basis for claiming that such content was provided by such a supplier.
SUPPLIER DIVERSITY PROGRAM. The Authority’s current goal for Minority Business Enterprise (“MBE”), Women Business Enterprise (“WBE”), Disadvantaged Small Business Enterprise (“DBE”), Small Business Enterprises (“SBE”) and Veteran Business Enterprise (“VBE”)/Service Disabled-Veteran Business Enterprises (“SDVBE”) participation is between ten percent (10%) to twenty-five percent (25%) of the total dollar value of the Authority’s contracts. The Authority’s duty and obligation to make final payment under this Agreement is conditioned upon the Authority’s receipt of a report from Vendor, with each invoice submitted by Vendor, detailing (i) the total dollar amount of the Agreement that went to WBEs, along with the names and addresses of the WBEs (if any), (ii) the total dollar amount of the Agreement that went to MBEs, along with the names and addresses of the MBEs (if any), (iii) the total dollar amount of the Agreement that went to DBEs, along with the names and addresses of the DBEs (if any), (iv) the total dollar amount of the Agreement that went to SBEs, along with the names and addresses of the SBEs (if any), (v) the total dollar amount of the Agreement that went to VBEs/SDVBEs, along with the names and addresses of the VBEs/SDVBEs (if any), and (vi) an explanation of any failure to meet the MBE, WBE, DBE, SBE and VBE/SDVBE goals set forth herein. This Section does not convey a requirement to meet MBE, WBE, DBE, SBE and VBE/SDVBE goals and final payment to Vendor shall not be withheld if the Authority’s goal is not achieved, unless Vendor fails to provide an explanation as to why the MBE, WBE, DBE, SBE and VBE/SDVBE goals were not met.
