Suspension or Termination of Access. The AMS reserves the right to suspend and/or terminate access to AMS eBooks without prior notice if the Institution or its authorized users violate any term of this Agreement. Any use of AMS eBooks beyond the scope of the License or any fraudulent, abusive, or otherwise illegal activities may be grounds for termination of access.
Suspension or Termination of Access. In addition to any other suspension or termination rights of CCH SFS pursuant to this Agreement, CCH SFS may suspend or terminate any Licenses or Online Account(s) without notice (a) in the event Customer (including any Authorized User, Client or other person or entity acting through or on behalf of Customer) is determined by CCH SFS, in CCH SFS’ sole judgment, to have or attempted to have damaged, harmed or misused CCH SFS’ software, server, network or other systems, (b) in the event Customer (including any Authorized User, Client or other person or entity acting through or on behalf of Customer), as determined by CCH SFS, in CCH SFS’ sole judgment, threatens, harasses, berates or otherwise treats in a disrespectful or abusive manner any person or persons employed or engaged by CCH SFS (including, without limitation, customer support representatives), (c) as necessary or appropriate to comply with any law, regulation, court order, or other governmental request or order which requires immediate action or otherwise protect CCH SFS from potential legal liability or harm to its business, or (d) Customer has obtained unauthorized access to the Product(s) as set forth in subsection 2.7. CCH SFS will use commercially reasonable efforts to notify Customer of the reason(s) for such suspension or termination action as soon as reasonably practicable unless such action is due to subsections (a) or (b) hereof. In the event of a suspension (other than due to subsections (a) or (b) hereof), CCH SFS will promptly restore Customer’s access to its Online Account(s) as soon as the event giving rise to the suspension has been resolved as determined in CCH SFS’ discretion. Nothing contained in this Agreement will be construed to limit CCH SFS’ actions or remedies or act as a waiver of CCH SFS’ rights in any way with respect to any of the foregoing activities. CCH SFS will not be responsible for any loss or damages incurred by Customer as a result of any termination or suspension of access as set forth in this Section.
Suspension or Termination of Access. Igneous may suspend or terminate Customer’s access to the Services at any time: (a) if Igneous determines that use of the Services by Customer: (i) reasonably presents a security or intellectual property integrity risk to the Services; (ii) is damaging to, or degrading of, Igneous’ network integrity or may adversely impact the Services or the systems or content of any other Igneous customer; (iii) may subject Igneous or its Affiliates (as defined in Section 1.5 below) to legal liability to third parties; (iv) may be fraudulent; or (v) if Igneous reasonably believes that Customer is in breach of Section 8.2 or if required to comply with any law, regulation, court order or other governmental request or order which requires immediate action. If Igneous suspends access to the Services, Customer will: (x) remain responsible for all fees and charges incurred through the date of suspension, (y) remain responsible for any applicable fees and charges for any Services to which Customer continues to have access, as well as applicable data storage fees and charges, and fees for in-process tasks completed after the date of suspension, and (z) no longer be entitled to any service credits under any applicable service level agreements for any period of suspension. Igneous will not erase any content as a result of the suspension and, if the account is not terminated for cause, will promptly restore such access after the event giving rise to the suspension has been resolved to Igneous’ reasonable satisfaction. If the suspension culminates in termination of Services, the process of termination will be governed by the terms of Section 3 below.

In addition to any other suspension or termination rights of Publisher pursuant to this Agreement, Publisher may suspend or terminate any Licenses or without notice (a) in the event Customer (including any Authorized User, Client or other person or entity acting through or on behalf of Customer) is determined by Publisher, in Publisher’s sole judgment, to have or attempted to have damaged, harmed or misused Publisher’s software, server, network or other systems, (b) in the event Customer (including any Authorized User, Client or other person or entity acting through or on behalf of Customer), as determined by Publisher, in Publisher’s sole judgment, threatens, harasses, berates or otherwise treats in a disrespectful or abusive manner any person or persons employed or engaged by Publisher (including, without limitation, customer support representatives), (c) as necessary or appropriate to comply with any law, regulation, court order, or other governmental request or order which requires immediate action or otherwise protect Publisher from potential legal liability or harm to its business, or (d) Customer has obtained unauthorized access to the Software as set forth in subsection
Suspension or Termination of Access. In its sole and absolute discretion, with or without notice to you, Q Sciences may suspend or terminate your access to or use of the Site, terminate your account or remove and discard anything transmitted by you, or information stored, sent, or received from you via the Site for any reason, including, but not limited to:
Suspension or Termination of Access. SHAPE may, directly or indirectly, suspend, terminate or otherwise deny CUSTOMER’s or any other Authorized User’s access to or use of all or any part of the Shape Security Software, without incurring any resulting obligation or liability, if: (i) SHAPE receives a judicial or other governmental demand or order, subpoena or law enforcement request that expressly or by reasonable implication requires SHAPE to do so; or
Suspension or Termination of Access. The Annals of Mathematics reserves the right to suspend and/or terminate access to the Annals of Mathematics electronic journal without prior notice if the subscribing institution or subscribing individual, or any Authorized User violates any term of this Agreement. The Annals of Mathematics will ordinarily seek to contact the subscriber to provide notice of such violation in advance of suspension/termination. Any use of the electronic journal beyond the scope of the License or any fraudulent, abusive, or otherwise illegal activities may be grounds for termination of access. The foregoing includes but is not limited to activity that may burden the Annals of Mathematics' server(s), such as computer programs that automatically download content, commonly known as robots, spiders, crawlers, wanderers or accelerators.
Suspension or Termination of Access or Use of the Services or Platform. BTCS may suspend, terminate, or otherwise deny User’s, any Authorized User’s, or any other Person’s access to or use of all or any part of the Services or Platform, without incurring any resulting obligation or liability, if: (a) BTCS receives a judicial or other governmental demand or order, subpoena, or law enforcement request that expressly or by reasonable implication requires BTCS to do so; or (b) BTCS believes, in its good faith and sole and absolute discretion, that: (i) User or any Authorized User has failed to comply with any term of this Agreement, or accessed or used the Services or Platform beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any of BTCS’s instructions; (ii) User or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading, or unlawful activities relating to or in connection with any of the Services or Platform; or (iii) this Agreement expires or is terminated. This Section 3.4 does not limit any of BTCS’s other rights or remedies, whether at law, in equity, or under this Agreement.
Suspension or Termination of Access. The AMS reserves the right to suspend and/or terminate access to MathSciNet for any Consortium participant without prior notice if a Consortium participant violates any term of this Agreement. Any use of the MathSciNet database beyond the scope of the License or any fraudulent, abusive, or otherwise illegal activities may be grounds for termination of access.
Suspension or Termination of Access. R1 may suspend, terminate or otherwise deny Client or any Client User access to or use of all or any part of the R1 Technology, without any resulting obligation or liability, if: (a) a suspension or termination is necessary to comply with any legal obligation; or (b) R1 believes, in its reasonable discretion, that Client or any Client User (i) has failed to comply with any material term of this MSA or any SOW (including any failure to pay Fees) or (ii) accessed or used R1 Technology for any purpose that is not permitted under this MSA. This Section 2.4 does not limit any of R1’s other rights or remedies, whether at law or in equity.
