Terms and Condition of Sale a) Prices: NECII agrees to pay prices for PRODUCTS as set forth in Schedule B hereto for the term of the Agreement. All prices are net of taxes and are F.O.B. at any Info-Hold manufacturing facility. NECII and Info-Hold will negotiate in good faith to reduce the price if required to be competitive in the market. Info-Hold certifies that the terms and conditions in this Agreement are no less favorable than the terms and conditions of similar customers with similar volumes and commitments. Info-Hold agrees that if other terms and conditions are subsequently granted to other similar customers that such terms and conditions will be offered to NECII.

Terms and Condition of Sale. PRICE: All prices given herein are subject to change based upon manufacturer’s pricing to integraONE. Unless otherwise stated, pricing is F.O.B. at integraONE and does not include freight or installation. Prices are exclusive of all taxes now in force or enacted in the future and are therefore subject to an increase equal to the amount Integra may be required to collect or pay associated with the sale or delivery of the items and services herein. Maintenance may be made available under a separate agreement. Modification of this order by Customer after order acceptance by integraONE will be subject to expenses of material and labor incurred by integraONE in making said modification. WARRANTY: With the exception of network services, provided by integraONE, the only applicable warranties will be those provided by the manufacturers of the equipment listed herein. integraONE will act on the Customer’s behalf with the manufacturers to obtain warranty service, if required. OTHER THAN AS SET FORTH ABOVE, INTEGRAONE MAKES NO WARRANTIES REGARDING ITS PRODUCTS OR SERVICES (INCLUDING WITHOUT LIMITATION WARRANTIES AS TO MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE), EITHER EXPRESSED OR IMPLIED. INTEGRAONE SPECIFICALLY MAKES NO WARRANTIES AS TO THE SUITABILITY OF THE PRODUCTS FOR ANY PARTICULAR APPLICATION, CUSTOMER AGREES THAT ITS CHOICE OF SO-CALLED “SOFTWARE” WILL BE AN INSTRUMENTAL FACTOR IN THE OUTPUT OF THE PRODUCTS FOR PURPOSES AND USE INTENDED BY CUSTOMER. IN NO EVENT SHALL INTEGRAONE BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THE FURNISHING, PERFORMANCE OR USE OF ANY PRODUCT COVERED BY THIS AGREEMENT. RESPONSIBILITY AND/OR LIABILITY OF INTEGRAONE SHALL, IN CONNECTION WITH A WARRANTED PRODUCT, BE LIMITED IN MAXIMUM AMOUNT TO THE ORIGINAL PURCHASE PRICE OF THAT PRODUCT. PAYMENT: integraONE reserves the right to make partial shipments. Title passes to the customer when presented to the freight carrier (or customer) at integraONE’s facilities. If Integra is to deliver and/or shall install the product at the customer’s site, then title shall pass to the customer at the time of the delivery.
