The Purpose of the Lease. 8.1 The Lessee hereby leases the leased premises with the sole purpose of using it to operate a Biotechnology business.
8.2 The Lessee hereby undertakes that is shall not use and shall not allow the use of the leased premises or any part thereof for any other purpose except the lease purpose. To remove any doubt and without derogating the generality of the aforementioned, the Lessee undertakes to operate only his business in the leased premises and no other business.
8.3 The Lessee acknowledges that it knows that the Lessor is entitled to grant and/or grants and/or will grant exclusivity for different purposes in the project. The Lessor is also entitled to prevent use of the leased premises in the project for different purposes, all to create an appropriate balance of the businesses in the project, at the Lessor's discretion, as will be from time to time. Granting exclusivity and/or preventing use from other Lessees, shall be decided at the sole and absolute discretion of the Lessor and the Lessee does not have and will not have any claims against and demands from the Lessor on this matter, provided that the Lessor shall not effect a change in the character of the project and that the rights of the Lessee according to this agreement shall not be affected.
8.4 The Lessee states and warrants that is has the knowledge, experience and ability to operate the leased premises as detailed in the purposes of the lease, that it will operate the leased premises and maintain it with all the equipment appropriately and as required by the instructions of any law and that the leased premises were leased to the Lessee by the Lessor on the basis of this statement, with due consideration of the obligation of the Lessor to lease the project to industries of a certain type in a certain quantity.
8.5 The violation of any provision of the provisions of this clause consists a material breach of the agreement.
The Purpose of the Lease. The Lessee undertakes not to use the leased premises for any purpose whatsoever in any way whatsoever except for the purpose of the lease as specified in Appendix A. The instructions of this section represent a fundamental condition to this contract and a breach of them will represent a fundamental breach of the contract.
The Purpose of the Lease. 7.1. The Leased Premises are hereby leased to the Tenant for the purpose of management of its business which includes development of medical devices. The Tenant has available thereto the right to sublet part of the area of the Leased Premises to any other subtenant, including companies that are directly or indirectly connected to the Tenant, provided that the Landlord shall not object to the identity of the subtenant, except on reasonable grounds.
7.2. The Landlord hereby declares and confirms that the purpose of the use conforms with the building permits and the zoning plan which applies to the land and that the use specified above does not constitute use which deviates from a plan or permit.
7.3. The parties agreed and stipulated that the Tenant shall not be entitled to use the Leased Premises for any purpose other than the above-specified purpose without the Landlord’s consent thereto in advance and in writing. Use for one of the items of the purpose or part thereof shall not constitute a different purpose. The Landlord and/or others on its behalf may enter the Leased Premises at any reasonable time and with advance coordination with the Landlord, in order to examine the condition of the Leased Premises and ensure the Tenant’s fulfillment of the terms and conditions of this contract.
7.4. The Landlord undertakes to sign any document and/or application that will be required for obtaining a business license and/or other permit that is required to launch the transaction for the purpose of the lease, to the extent that will be necessary.
7.5. The Tenant’s undertaking and the Landlord’s representations pursuant to this section are a material undertaking whose breach shall constitute a fundamental breach of the contract.
The Purpose of the Lease. 6.1. The Tenant declares and undertakes that it is a tenant of the premises solely for the purpose of the lease as detailed and defined in Appendix A to this contract, and solely for this purpose.
6.2. The Tenant undertakes to operate its business from the premises solely within the purpose of the lease without any non-conformities or deviations from the purpose of the please and additionally will operate the premises in a manner that complies with the provisions in the law. Any change or broadening of the purpose of the lease is subject to obtaining the Landlord’s written consent in advance, who may refuse to agree to such a change or broadening for any reason of the Landlord’s discretion and without having to reason its refusal. In the event of a doubt or dispute between the parties with regard to that included or not included in the purpose of the lease, the purpose of the lease will be construed narrowly and pursuant to the circumstances that exist and are known on the date this contract is signed and without referring to future changes in the Tenant’s activity and/or the Tenant’s field of business and/or the purpose of the lease. 6.3. Without prejudicing the generality of the provisions above, the Tenant confirms that it is aware that operating the premises pursuant to a change or nonconformity with the purpose of the lease, other than constituting a material breach of this contract, may cause a breach of other lease contracts between the Landlord and other tenants in the complex, and therefore the Landlord may, without prejudicing its right to any other relief or remedy, in any event of managing a business in the premises pursuant to a nonconforming purpose or deviation from the purpose of the lease, receive an injunction against such operation and/or bring the lease contract to an end after giving notice of 7 days and the Tenant will not have any allegation and demand as a result thereof. Whereupon the lease contract was brought to an end as stated above, the provisions in Section 25 below will apply mutatis mutandis.
6.4. The Tenant declares and undertakes that it has the know-how, experience and ability to operate its business as detailed in the purpose of the lease. The Tenant will endeavor, while exploiting all of the resources available to it, for its business in the premises to succeed.
6.5. The Tenant is aware of the fact that the Landlord may, if it so chooses, grant uniqueness and/or exclusivity to certain busines...
The Purpose of the Lease. 3.1 The Tenant is leasing the Demised Premises in order to operate / manage offices therein (hereinafter: the "LEASE PURPOSE"), and for no other purpose.
3.2 Any substantive change or broadening of the Lease Purpose requires the prior written approval of the Landlord.
3.3 The Tenant represents and warrants that it will not object to the fact that the other businesses and offices or some of them will conduct their businesses at the times and the hours that they deem fit and that it will not have any complaint whatsoever with regard thereto.
3.4 The Tenant represents and warrants that it is aware that other businesses and offices will operate in the Building, and it represents and warrants that it will not have any complaint whatsoever against the Landlord with regard thereto, including with regard to their hours of operation, the entry and exit arrangements they have, the noise interference, the oppression of smells, or any other nuisance whatsoever resulting from their activities.
3.5 In order to avoid doubt, it is agreed and clarified hereby that the Tenant itself shall be responsible for obtaining all permits required by law to open and operate its business in the Demised Premises. The Tenant commits to fulfill all the terms required for the purpose of obtaining all the permits, as aforesaid, to manage its business pursuant to their terms, and to maintain them in effect throughout the entire lease term.
The Purpose of the Lease. 6.1. The Tenant undertakes not to use the Leased Property for any other purpose in any manner except for the purpose of the lease as set forth in the addendum.
6.2. The Landlord undertakes to operate his business in the Leased Property for the purpose of the lease only without any deviation from the purpose of the lease. Any change or expansion of the purpose of the lease are subject to receiving the prior written consent of the Landlord, which shall be entitled not to agree to any change or expansion as mentioned, for any reason according to the Landlord’s discretion.
6.3. The Tenant declares and undertakes that he has the knowhow, experience and the ability to operate his business as set forth in the purpose of the lase. The Tenant shall make every effort, using all the resources available to him, for the success of his business in the Leased Property.
6.4. The provisions of this section constitute a material term of this agreement and their breach shall constitute a material breach of this agreement.
The Purpose of the Lease. The purpose of the lease is for the purpose of a manufacturing plant and accompanying uses such as offices and storage only.

The purpose of the lease is for managing and operating a business of developing and manufacturing software including for performing actions of different types in the field of high technology and associated fields and any other action connected to the day to day activities of the Tenant and/or or another purpose in respect to which he shall notify the Landlord in advance and in writing, provided that it shall comply with the urban zoning plan, except for commerce and except if the activities shall contradict previous undertakings of the Landlord towards other Tenants, insofar as shall exist (hereinafter the “Purpose of the Lease”). 6.3 The Tenant undertakes to use the Premises’ parking bays for parking vehicles of the Tenant or of anyone on its behalf and not for any other and/or additional purpose. The entry of vehicles to the parking basement will be arranged via magnetic cards or remote controls that will be supplied to the Tenant at its expense.
6.4 Despite the provisions in this Agreement, the Lessor undertakes not to lease areas in the building, apart from for uses of high-tech and/or offices and/or commerce and/or restaurants and apart from usages that are a nuisance to the Tenant, for example odors, noise, pollution etc.
