Trading Suspension. The official quotation of Parent’s subordinated voting shares on the CSE is suspended for a period in excess of five consecutive trading days or, in the case of a voluntary suspension, 10 consecutive trading days.

Trading Suspension. (a) The Majority CB Holders determine that the Issuer Shares are suspended or halted from trading on the Main Board of the Hong Kong Stock Exchange at the request of any regulatory authority from trading for any period due to any adverse effect or potential adverse effect on the Group and/or the share price of the Issuer (including any decrease in the share price, negative publicity of the Issuer and/or its controlling shareholders (including Profit East or Ms Xxxx), disappearance of, or loss of contact with, key person(s), such as the chairman and the controlling shareholder of the Issuer). (b) The Issuer Shares are suspended or halted from trading on the Main Board of the Hong Kong Stock Exchange (other than a trading suspension which is an Event of Default under paragraph (a) above) pursuant to Chapter 14 or 14A of the Listing Rules for more than five consecutive TradingDays. (c) The Issuer Shares are suspended or halted from trading on the Main Board of the Hong Kong Stock Exchange (other than a trading suspension which is an Event of Default under paragraph (a) or (a) above) for more than two consecutive Trading Days. (d) For avoidance of doubt, a trading suspension or trading halt in the paragraphs above does not include trading suspension or trading halt in connection with clearance for any announcement(s), circular(s) or notice(s) pursuant to applicable laws, rules and regulations, including, without limitation, the Listing Rules and the Takeovers Code, or otherwise required by the Stock Exchange or SFC (such as those enquiries made by the Stock Exchange in relation to unusual price and trading volume movements), provided that such trading suspension or trading halt is not due to any fact or mater which may have or may reasonably likely to have a Material Adverse Effect.
Trading Suspension. As part of the operation of the Trading Service, VIA acknowledges that there may be certain circumstances where ME, upon the advice of counsel or otherwise, determines that it is necessary or appropriate to suspend transfers and trading in its Units in order to comply with applicable corporate and securities laws. ME agrees that upon any such determination by its Board of Directors, it shall promptly notify VIA in writing of the need to suspend transfers of, and trading in, its Units and VIA agrees that it shall, upon receipt of written notice from ME, suspend the operation of the Trading Service with respect to the Units. VIA and ME further agree that in the event of any such suspension of the operation of the Trading Service with respect to ME’s Units, any transfers or transactions involving Units that were begun prior to such suspension but had not yet been completed at the time of such suspension (“Incomplete Transactions”) shall be terminated and declared null and void. Any proceeds or Units delivered to ME, VIA, the escrow agent or otherwise as part of such Incomplete Transactions shall be returned to the prospective buyer or seller who delivered such items. VIA and ME further agree that any agreements or other documents regarding the purchase and sale of Units used in connection with the operation of the Trading Service shall include comparable provisions.
