Transition Services Upon Termination. Should a notice of termination of this Agreement be delivered pursuant to Section 5.2 (other than any such termination notice delivered by Hess pursuant to Section 5.2(a) due to a Company default), then the Parties shall, during the pendency of such termination, use their commercially reasonable efforts to agree upon a transition services agreement.
Transition Services Upon Termination. Upon termination or expiration of this Contract, the Company shall cooperate with the City to assist with the orderly transfer of the Products, Services, functions and operations provided by the Company hereunder to another provider or to the City as determined by the City in its sole discretion. Transition Services Upon Termination. Upon termination or expiration of this Agreement, CONTRACTOR shall cooperate with COUNTY to assist with the orderly transfer of the services provided by CONTRACTOR to COUNTY. Prior to termination or expiration of this Agreement, COUNTY may require CONTRACTOR to perform and, if so required, CONTRACTOR shall perform, certain transition services necessary to shift the services of CONTRACTOR to another provider or to COUNTY itself as described below (the "Transition Services"). The Transition Services may include but shall not be limited to:
Transition Services Upon Termination. If this Agreement or any portion thereof is terminated for convenience, upon COUNTY's decision to retain the work product COUNTY shall pay for services performed and those portions of the deliverables it has received, less any disputed amounts, due hereunder, including Hold Backs, and upon receiving such payment, ORION shall immediately turn over to COUNTY all project materials, data, working papers, Deliverables, partially complete Deliverables, and any materials or data provided by COUNTY to ORION in connection with this Agreement. Upon COUNTYs request and for compensation at the rates set forth on Exhibit C, ORION shall also provide reasonable training for COUNTY personnel and other transition services as reasonably requested by COUNTY.
Transition Services Upon Termination. Upon termination of any Subscription or this Agreement, as the case may be, and upon Client’s written request, and subject to agreement on a statement of work therefor, Xxxxxxxxxxx will provide Professional Services at Nightingale’s then-current time and materials rates to: (a) deliver to Client, in a suitable electronic format and on the media available to Nightingale at the time of the request, to the extent it is technically feasible, all of the Client Data relating to the Subscription or this Agreement, as the case may be; and (b) assist Client in the de- conversion and transfer of information to Client or a third parties identified by Client and with such other actions as may be necessary or appropriate, in Client’s reasonable judgment, to facilitate the transfer of the functions performed by Nightingale to Client or its service providers.
Transition Services Upon Termination. Upon any termination of this Agreement in accordance with Article 11, Cayenta shall provide to Client reasonable transition services of the Web Site and any related domain names to servers other than Cayenta servers. A detailed description of these services will be negotiated by the parties in good faith, and Cayenta shall provide such services for period of time sufficient for an effective transition in accordance with Section 6.5 of this Agreement.
